Investor Declaration

GFIC Limited's products and services may be classified as complex or alternative investments which are not authorised and not regulated by the Financial Conduct Authority in the United Kingdom, and as such, are available only to "qualified investors" being either per se professional clients, who are Investment Professionals, or elective professional clients, who under the exemption from the restriction on promotion of non-mainstream pooled investments, as provided by Financial Services and Markets Act 2000 (Financial Promotion) Order 2005, are either Certified High Net Worth Individuals, Certified Sophisticated Investors, or Self-Certified Sophisticated Investors.

GFIC Limited must obtain your declaration (and, if required, evidence) that you are a Investment Professional, Certified High Net Worth Individual, Certifed Sophisticated Investor, or Self-Certified Sophisticated Investor, and your agreement that the investments may expose you to a significant risk of losing all of the money or other property invested, and that it is open to you to seek advice from an authorised person who specialises in advising on complex or alternative investments, including those which are non-mainstream pooled.

I declare that I am an investment professional for the purposes of the Financial Services and Markets Act 2000 (Financial Promotion) Order 2005. I am an investment professional because at least one of the following applies:

(a) I am an ‘authorised person’ for the purposes of FSMA;

(b) I am a person who is ‘exempt’, as a result of an exemption order made under section 38(1) of FSMA, in relation to one or more relevant scheme activities;

(c) I am a person:

(i) whose ordinary activities involve him in participating in unregulated schemes for the purposes of a business carried on by him; or

(ii) who it is reasonable to expect will so participate for the purposes of a business carried on by him;

(d) the individual is a government, local authority (whether in the United Kingdom or elsewhere) or an international organisation;

(e) the individual is a person (“A”) who is a director, officer or employee of a person (“B”) falling within any of sub-paragraphs (a) to (d) above, when the communication is made to A in that capacity and where A’s responsibilities when acting in that capacity involve him in B’s participation in unregulated schemes.

I am aware that it is open to me to seek advice from someone who specialises in advising on investments (including unregulated investment schemes).

I declare that I am a certified high net worth individual for the purposes of the Financial Services and Markets Act 2000 (Financial Promotion) Order 2005. I am a certified high net worth individual because at least one of the following applies:

(a) I had, during the financial year immediately preceding the date below, an annual income to the value of £100,000 or more;

(b) I held, throughout the financial year immediately preceding the date below, net assets to the value of £250,000 or more. Net assets for these purposes do not include:

(i) the property which is my primary residence or any loan secured on that residence;

(ii) any rights of mine under a qualifying contract of insurance within the meaning of the Financial Services and Markets Act 2000 (Regulated Activities) Order 2001; or

(iii) any benefits (in the form of pensions or otherwise) which are payable on the termination of my service or on my death or retirement and to which I am (or my dependants are), or may be, entitled.

I accept that the investments to which the promotions may relate may expose me to a significant risk of losing all of the money or other property invested.

I am aware that it is open to me to seek advice from someone who specialises in advising on investments (including unregulated investment schemes).

I make this statement so that I am able to receive promotions in relation to the Fund which are exempt from the restrictions on financial promotion in the Financial Services and Markets Act 2000. The exemption relates to certified sophisticated investors and I declare that I qualify as such in relation to investments of the following kind: investments in unregulated collective investment schemes which intend to invest in shares and other unlisted securities. I accept that the contents of promotions and other material that I receive may not have been approved by an authorised person and that their content may not therefore be subject to controls which would apply if the promotion were made or approved by an authorised person. I am aware that it is open to me to seek advice from someone who specialises in advising on this kind of investment.

I will provide a signed statement from an "authorised person", in terms of the Financial Services and Markets Act 2000, that certifies me as a "sophisticated investor", in terms of the Financial Services and Markets Act 2000 (Financial Promotion) Order 2005 and the Financial Services and Markets Act 2000 (Promotion of Collective Investment Schemes)(Exemptions) Order 2001.

I declare that I am a self-certified sophisticated investor for the purposes of the Financial Services and Markets Act 2000 (Financial Promotion) Order 2005. I am a self-certified sophisticated investor because at least one of the following applies:

(a) I am a member of a network or syndicate of business angels[1] and have been so for at least the last six months prior to the date below;

(b) I have made more than one investment in an unlisted company in the two years prior to the date below;

(c) I am working, or have worked in the two years prior to the date below, in a professional capacity in the private equity sector, or in the provision of finance for small and medium enterprises; or

(d) I am currently, or have been in the two years prior to the date below, a director of a company with an annual turnover of at least £1 million.

I accept that the investments to which the promotions may relate may expose me to a significant risk of losing all of the money or other property invested.

I am aware that it is open to me to seek advice from someone who specialises in advising on investments (including unregulated investment schemes).

[1] For the purposes of the Regulations an association of High Net Worth or Sophisticated Investors is an association, the membership of which the person making the communications believes on reasonable grounds comprises wholly or predominantly persons who are Certified Sophisticated Investors, High Net Worth Companies, unincorporated associations of Certified High Net Worth Individuals or Sophisticated Investors or partnerships all with net assets of not less than £5 million or High Value Trusts all within the meaning of the Regulations and relate only to an investment under the terms of which a person cannot incur a liability or obligation to pay or contribute more than he commits by way of investment.

1. I confirm that GFIC Limited has not given me any investment advice, or other advice, or exercised its judgment on the merits, suitability or otherwise of the proposed investment(s).

2. I understand that GFIC Limited has the discretion to restrict the amount(s) that can be invested or not to proceed with the investment(s) at all and shall have no liability if it exercises this discretion.

3. I shall be held responsible for all or any costs, losses, expenses, taxes (or other) charges or liabilities, made, incurred or suffered by me personally or by my assets as a result of making the investment(s) and I hereby undertake to indemnify and keep indemnified GFIC Limited from and against any such costs, losses, expensees, taxes (or other) charges or liabilities, made, incurred or suffered by it or them (including any associated legal or other fees and costs incurred by them) as a result of the investment(s) being made.

4. I confirm that I have, or that I will, read and understand the terms and conditions of the investment(s). 

5. I confirm that I have, or that I will, read and understand the information provided about the investment(s).

6. I confirm that I am aware of the level of risk for the investment(s) and that although higher risk could mean higher returns, there is no guarantee of this and I may get back less than I invested or nothing at all.

7. I understand that if the investment(s) may deemed by HMRC as ‘taxable property’ there may be a tax charge for which I will be liable.

8. I confirm that all the details provided on this form are, to the best of my knowledge and belief, true and complete.
