Partners & Sponsors Agreement

TLE PTA is a registered 501(c) (3) non-profit organization and our Federal Tax ID is 95-6206617.

Partnerships and Sponsorships will be eligible for renewal every 12 months.

Our Partners and Sponsors help fund incredible programs that are not paid for by LAUSD, including: enrichment classes like our Music and Garden Ranger programs, as well as play yard additions like our Kinder Cub House, soccer field and Gaga Ball pits.

Conditions of Partnership or Sponsorship:

1. By executing this Agreement, Partner/Sponsor agrees to provide sponsorship funds to the TLE PTA and in exchange for such funds may refer to itself as a “Partner/Sponsor of the Toluca Lake Elementary PTA” and will receive the tier benefits as noted above. Partner/Sponsor shall not be entitled to any other benefits in exchange for the sponsorship fee. For the avoidance of doubt, the executionof this Agreement and/or provision of the sponsorship fee confers no benefits on the Partner/Sponsor with respect to the Los Angeles Unified School District (“LAUSD”) and the Partner/Sponsor may not make any reference to LAUSD in any communicationsof any format. Further, TLE, TLE PTA and LAUSD reserve the right to terminate this Agreement with or without cause at any time and with immediate effect upon written notice to the Partner/Sponsor. Upon any termination of this Agreement, Partner/Sponsor shall immediately cease referring to itself as a Partner/Sponsor of Toluca Lake Elementary (“TLE”) or TLE PTA and shall not be entitled to any refund of the fees already paid.
2. Partner/Sponsor acknowledges and agrees that it shall not hold itself out to the public as having any authority to act on behalf of LAUSD or TLE by virtue of this Agreement. All rights not expressly granted herein to Partner/Sponsor are reserved by TLE and LAUSD.
3. The Partner/Sponsor acknowledges that by accepting this partnership/sponsorship, TLE and LAUSD are not endorsing the Partner/Sponsor’s products, services or business activities and will not make any representations or communicate in any form that they endorse Parnter/Sponsor or Partner/Sponsor’s products nor shall they be under any obligation to do so.
4. The Partner/Sponsor agrees to indemnify and hold LAUSD and the Board of Education of the City of Los Angeles, Toluca LakeElementary, Toluca Lake Elementary PTA, its agents, representatives or employees harmless from and against any and allactions, awards, claims costs, damages, demands, expenses, injuries, judgments, liabilities, and/or losses whatsoever (includingreasonable attorneys’ fees) arising from the subject matter of this agreement and/or Parnter/Sponsor’s negligence including without limitation, violations of intellectual property law, or any copyright infringement claims resulting from or arising out of the use ofsponsor’s name and logo under this Agreement.

   TLE PTA IS NOT RESPONSIBLE FOR ANY LOSS OR DAMAGE TO BANNERS

On behalf of the above named Partner/Sponsor, I agree to provide the partnership or sponsorship described above and agree to comply with the Conditions of partnership or sponsorship listed above.
