This Agreement is entered into by and between Bridge of Life, "BOL," a 501(c)(3) public charity, and the company identified below, "Contributor," for support of Move It with Purpose (MIWP), a fundraising event organized by DaVita, Inc., "DaVita," for the benefit of BOL.

MIWP will take place October 1 - 31, 2022. In the event that MIWP is canceled, then the Contributor's contribution will carry over to a future fundraising event at the Contributor's sole discretion.

BOL LIAISON

BOL OBLIGATION

BOL shall provide an appropriate tax acknowledgement of Contribution. The tax acknowledgement will confirm the dollar amount of the Contribution. Neither this agreement nor any tax acknowledgement will constitute any advice from DaVita or BOL to Contributor regarding the value of any contribution or the tax implications for Contributor of any contribution. BOL's tax identification number is 46-2960097.

TERM

This Agreement will become effective the day you initial this document and submit. It will continue in effect until December 31, 2022.

USE OF MIWP BRAND

Except as set forth herein, neither BOL nor DaVita grants to Contributor any license or permission under this agreement to use any DaVita or BOL trademarks, and Contributor will not use DaVita's or BOL's company names or trademarks or refer to any of their employees, in any form of advertising, publicity or release, without BOL's prior written approval, which will not be unreasonably withheld. For social media campaigns, once Contributor receives BOL's prior approval for the campaign, individual communications do not need prior approval, provided they fall within the scope of the approved campaign. Without prior approval, Contributor may make a public statement that it is a Contributor to MIWP, a fundraising event benefitting BOL organized by DaVita; however, a more lengthy description, or any use of a BOL or DaVita logo or other MIWP content must receive BOL's written consent prior to public release. QUALIFIED CONTRIBUTOR ARRANGEMENT

The Contribution is intended by the parties to be a qualified sponsorship payment within the meaning of section 513(i) of the Internal Revenue Code, and both parties shall take all reasonable available measures to ensure that it may be treated as such by BOL. Specifically, the parties acknowledge that in connection with this Agreement there is no expectation or arrangement that Contributor will receive any substantial benefit herunder, other than the use and acknowledgement of Contributor’s name and marks in connection with MIWP and BOL, as applicable. The request for sponsorship and the Contribution are in no way intended to influence present, past, or future use of or support of the products and services of Contributor or DaVita. No use or acknowledgement of Contributor’s name or marks in connection with MIWP shall be associated with any advertisement of any Contributor product or service, including any messages containing qualitative or comparative language, price information, other indications of savings or value, any endorsement, or any inducement to purchase or use any Contributor product or service.

LIMITED LICENSE

Similarly, this Agreement provides to BOL and DaVita certain rights to use certain names and marks of Contributor. Such rights are strictly limited to the purpose and uses contemplated and described in the MIWP sponsorship brochure based on your sponsorship levels and the sponsor benefits attached to this level. BOL and DaVita shall comply with any instruction of Contributor to alter or cease its use of any name or mark hereunder; so long as such instruction is not unreasonable burdensome and does not clearly violate the intent of this Agreement.

LIMITATION OF LIABILITY

In no event shall DaVita or BOL be liable to Contributor for any indirect, special, incidental, punitive or consequential damages, including, without limitation, loss of use, loss of profits or loss of goodwill. Notwithstanding anything herein to the contrary, in no event shall DaVita and BOL's combined liability to Contributor for any claimed loss or damage under this agreement, or in any way related to MIWP, exceed the sponsorship amount paid hereunder by Contributor.
