To use NetworkBD, you need to submit content or information related to your prospective and current customers and relationships ("Customer Data"). You agree to grant NetworkBD the right to process your Customer Data for the NetworkBD analysis. NetworkBD will comply with all applicable Data Protection Laws in the processing of Customer Data. You own all content and data and you retain sole ownership of all rights, title and interest in, and to, your Customer Data. You have the sole responsibility for the legality, reliability, integrity, accuracy and quality of your Customer Data.
NetworkBD will in relation to the Customer Data implement appropriate technical and organizational measures to ensure a level of security appropriate to that risk, including, as appropriate, the measures referred to in Article 32(1) of the GDPR. NetworkBD accepts that any confidential information obtained will not be disclosed or made available to any other person or entity without your written consent. However, these restrictions do not apply if NetworkBD is required by a competent court and/or a competent government agency to disclose information (in this case, as far as the law allows, NetworkBD must promptly inform you of this obligation and must reasonably cooperate with you in legal attempts to prevent or limit such disclosure). NetworkBD will notify you without undue delay after we become aware of any Personal Data Breach and will provide timely information relating to the Personal Data Breach as it becomes known or reasonably requested by you. NetworkBD will promptly and in any event within 10 business days delete and procure the deletion of all copies of the Customer Data upon your request.
All intellectual property rights and title to the NetworkBD analysis, including without limitation photographs and graphical images (save to the extent they incorporate any Customer Data or third party owned item) shall remain owned by us and our licensors and no interest or ownership in the NetworkBD analysis is transferred to you. Nothing in this Agreement shall be construed to mean, by inference or otherwise, that the you have any right to obtain source code for the software comprised within the NetworkBD analysis.
You agree to defend, indemnify and hold NetworkBD and its employees, sub-contractors or agents harmless from and against any costs, losses, liabilities and expenses, including reasonable legal costs arising from any claim relating to or resulting directly or indirectly from use by us of any Customer Data or the NetworkBD analysis; or breaches of data protection law or regulations resulting from the processing the data.
