DESCRIPTION OF SERVICES.
Beginning on (Today's date), the Contractor will provide the following services (collectively, the "Services"): Event Video Coverage with 2 camera coverage at the ceremony and reception. TVS Digital Media is under no obligation to utilize the services of the Contractor.

PAYMENT FOR SERVICES PER ASSIGNMENT.
TVS Digital Media will pay compensation to the Contractor in the amount of $50.00 per hour for a contracted Wedding Video Event. The contractor is responsible for submitting an invoice for payment. Payment will not be remitted without an invoice. This compensation shall be payable in full sum upon completion of the services and once files are uploaded to the studio. Payment will be sent electronically.

SUBMISSION AND EDITING.
The contractor agrees to deliver all video and audio files no later than 48 hours after the event. A contractor will not edit the footage. The contractor agrees to archive RAW footage for a period of no less than four (4) weeks.

TERM/TERMINATION.
TVS Digital Media reserves the right to terminate this agreement for cause at any time. Otherwise, this Agreement may be terminated by either party upon 30 days’ written notice to the other party.

RELATIONSHIP OF PARTIES.
It is understood by the parties that the Contractor is an independent contractor with respect to TVS Digital Media and not an employee of TVS Digital Media. TVS Digital Media. will not provide fringe benefits, including health insurance benefits, paid vacation, or any other employee benefit, for the benefit of the Contractor.

WORK PRODUCT OWNERSHIP.
Any copyrightable works, ideas, discoveries, inventions, patents, products, or other information (collectively, the "Work Product") developed in whole or in part by the Contractor in connection with the Services shall be the exclusive property of TVS Digital Media. Upon request, the Contractor shall sign all documents necessary to confirm or perfect the exclusive ownership of TVS Digital Media. to the Work Product.

CONFIDENTIALITY.
The contractor will not at any time or in any manner, either directly or indirectly, use for the personal benefit of the Contractor, or divulge, disclose, or communicate in any manner any information that is proprietary to TVS Digital Media. The contractor will protect such information and treat it as strictly confidential. This provision shall continue to be effective after the termination of this Agreement. Upon termination of this Agreement, the Contractor will return to TVS Digital Media all records, notes, documentation, and other items that were used, created, or controlled by the Contractor during the term of this Agreement.

INJURIES.
Contractor acknowledges Contractor's obligation to obtain appropriate insurance coverage for the benefit of Contractor (and Contractor's employees, if any). Contractor waives any rights to recovery from TVS Digital Media for any injuries that Contractor (and/or Contractor's employees) may sustain while performing services under this Agreement and that is a result of the negligence of Contractor or Contractor's employees.

INDEMNIFICATION.
The contractor agrees to indemnify and hold harmless TVS Digital Media from all claims, losses, expenses, and fees including attorney fees, costs, and judgments that may be asserted against TVS Digital Media that result from the acts or omissions of Contractor, Contractor's employees, if any, and Contractor's agents.

ENTIRE AGREEMENT.
This Agreement contains the entire agreement of the parties, and there are no other promises or conditions in any other agreement whether oral or written.

SEVERABILITY.
If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.

APPLICABLE LAW.
This Agreement shall be governed by the laws of the State of Illinois.
