    CONFIDENTIALITY DEED


    This Confidentiality Deed is entered into between Strong Pilates Franchising UK Limited (Company number 16140200)


    (“Strong Pilates”) and the undersigned party (“Recipient”). This Deed is entered into on the date signed by the Recipient below.


    1. PURPOSE
    Strong Pilates will provide confidential information to the Recipient to evaluate a potential Strong Pilates franchise opportunity
    ("Business Opportunity").


    2. CONFIDENTIAL INFORMATION
    "Confidential Information" means all information disclosed by Strong Pilates relating to: (a) the Business Opportunity; (b)
    Strong Pilates' intellectual property, business methods, and operations; (c) Financial information and trade secrets; (d) any
    information that could give Strong Pilates a competitive advantage.


    3. OBLIGATIONS
    The Recipient agrees to: (a) ase Confidential Information solely to evaluate the Business Opportunity; (b) maintain strict
    confidentiality of all information received; (c) not use the information to compete with Strong Pilates; (d)Store information
    securely and prevent accidental disclosure; (e) Only disclose information to professional advisors (legal/financial) as necessary;
    and (f) keep confidential the existence of this agreement and discussions.


    4. EXCEPTIONS
    These obligations do not apply to information that: (a) is publicly available when disclosed; (b) Becomes public through no fault
    of the Recipient; and (c) Must be disclosed by law or court order.


    5. RETURN OF INFORMATION
    The Recipient must return or destroy all Confidential Information; (a) immediately upon Strong Pilates' request; (b) if franchise
    negotiations terminate; (c) if the Recipient decides not to proceed.


    6. REMEDIES
    The Recipient acknowledges that; (a) monetary damages alone are insufficient for breach; (b) Strong Pilates may seek injunctive
    relief; (c) these obligations continue indefinitely.


    7. GENERAL
    This Deed; (a) is governed by the laws of England and Wales; (b) represents the entire agreement between the parties; (b)
    benefits Strong Pilates' successors and assigns; (c) is binding on the Recipient's successors.
