Volunteer Agreement

I,   First Name   Last Name,  a director of Union County Pride, Inc. confirm that I received a copy of the Union County Pride Board Handbook on   Date.

I also acknowledge that this Board Handbook will be made available to on a permanent basis on Union County Pride's shared drive, and that I may access it at any time.

I further acknowledge that I have reviewed the policies contained in the Board Handbook. I agree to abide by the policies contained in this Board Handbook, as well as any other policies established by Union County Pride, Inc in the course of my association with Union County, Pride, Inc.

I,   First Name   Last Name, a director of Union County Pride, Inc. acknowledge that I have reviewed the Union County Pride “Zero Tolerance” Policy located in the Board Manual. During the course of my association with Union County Pride, I agree to abide by the Zero Tolerance Policy. Further, I will report any inappropriate conduct by any employee, volunteer, vendor, officer, or director to the Board of Directors for appropriate action, and I will willingly participate in any investigation into any allegations of harassment or violations of the Zero Tolerance Policy. 

This Board Commitment Agreement is made by and between   First Name   Last Name and Union County Pride, Inc. on    Date .

In consideration of Union County Pride’s offer to permit the Volunteer to participate as a volunteer with Union County Pride, the Director and Union County Pride agree as follows: 

Our Board functions as an administrative board. It’s primary function is to provide fiduciary oversight on behalf of the community we serve and our financial supporters. While board members typically involve themselves in select Union County Pride, Inc activities, they do so outside their board role and under the leadership of the Volunteer Department.

SERVICE COMMITMENT:
Members are elected to serve a three-year term. They may serve a maximum of six consecutive years.

WORK COMMITMENT:
Typically, board members are assigned to work with one of our teams (e.g., promotion, entertainment, security, etc) in an operational role and policy-level oversight. 

MEETING COMMITMENT:
The board generally meets as needed. Board members are required to attend the annual meeting and at least the required board meeting of all directors. Board members are expected to attend a minimum of three meetings a year.

FINANCIAL COMMITMENT:
Each Board of Directors are required to either be a Partner of Pride at any level or recruit another person and to obtain sponsorship or vendors. 

FUNDRAISING COMMITMENT:
There are no explicit non-festival fundraising requirements of board members. We find that such commitments limit the ability of some in our community to participate. We assume that board members will find ways to demonstrate their commitment to the team’s mission.

TIME COMMITMENT:
The time commitment can vary considerably, but should expect to give 4 to 10 hours a month in the late spring to early summer and possibly more as it gets closer to the festival. It depends on a board member’s appetite for getting involved in delivering our mission.  

FESTIVAL WEEK COMMITMENT:
Board members are required to volunteer ALL DAY for the annual festival and at least three of the four kick-off parties or other events. 

OTHER COMMITMENTS: 
We encourage, but do not require, that board members to get involved in delivering one of our programs, such as partner breakfast, business meetings, and other events throughout the year. 

I represent and warrant that I am not under any pre-existing obligations inconsistent with the provisions of this agreement. 

By my signature below, I indicate that I agree with and will follow the terms and conditions of this Board Commitment Agreement.

This Confidential Information Agreement is made by and between First Name   Last Name and Union County Pride, Inc. on Date   In consideration of Union County Pride’s offer to permit the Volunteer to participate as a volunteer with Union County Pride, the Director and Union County Pride agree as follows: 

I will perform services for Union County Pride that may require Union County Pride to disclose confidential and proprietary information ("Confidential Information") to me. I understand that Confidential Information is information and data of any kind concerning any matters affecting or relating to Union County Pride, the business or operations of Union County Pride, and/or the products, drawings, plans, processes, or other data of Union County Pride not generally known or available outside of the company.) 

I may also learn confidential information related to Union County Pride’s community partners, vendors, volunteers, suppliers, and other third-parties with whom Union County Pride has a professional relationship.  

Accordingly, to protect the Confidential Information that will be disclosed during participation, I agree as follows: 

A. I will hold the Confidential Information received from Union County Pride in strict confidence and will exercise a reasonable degree of care to prevent disclosure to others.  

B. I will not disclose or divulge, either directly or indirectly, the Confidential Information to others unless first authorized to do so in writing by the Union County Pride Board of Directors or a member of the Union County Pride staff.  

C. I will not reproduce the Confidential Information nor use this information commercially or for any purpose other than the performance of my duties with Union County Pride. 

D. I will, upon request or upon termination of my relationship with Union County Pride, deliver to Union County Pride any drawings, notes, documents, equipment, and materials, of any kind and of any nature, in whatever form and wherever stored, in my possession or under my control, that I received from Union County Pride or originating from my participation with Union County Pride.  

E. I understand that Union County Pride will have the sole right to determine the treatment of all inventions, writings, publications, designs, ideas and discoveries received from me during the period I am involved with Union County Pride, including the right to keep the same as a trade secret, to use and disclose the same without prior patent applications, to file copyright registrations in its own name, or to follow any other procedure as Union County Pride may deem appropriate. 

F. I understand that Union County Pride reserves the right to take disciplinary action, up to and including termination of my role, against me for violations of this agreement in addition to pursuing civil or criminal penalties. 

G. I understand that this agreement will be interpreted under and governed by the laws of the state of North Carolina.  

H. I also agree that all provisions of this agreement will be applicable only to the extent that they do not violate any applicable law and are intended to be limited to the extent necessary so that they will not render this agreement invalid, illegal or unenforceable. I further agree that if any provision of this agreement or any application thereof will be held to be invalid, illegal or unenforceable, the validity, legality and enforceability of other provisions of this agreement or of any other application of such provision will in no way be affected thereby. 

Immunity from Liability for Confidential Disclosure of a Trade Secret to the Government or in a Court Filing: 
Immunity—I understand that I will not be held criminally or civilly liable under any federal or state trade secret law for the disclosure of a trade secret that (A) is made (i) in confidence to a federal, state or local government official, either directly or indirectly, or to an attorney and (ii) solely for the purpose of reporting or investigating a suspected violation of law or (B) is made in a complaint or other document filed in a lawsuit or other proceeding, if such filing is made under seal. 

I represent and warrant that I am not under any pre-existing obligations inconsistent with the provisions of this agreement. 

By my signature below, I indicate that I agree with and will follow the terms and conditions of this Confidential Information Agreement.

I,   First Name   Last Name   , a director of Union County Pride, Inc. acknowledge that I have reviewed the Union County Pride Conflict of Interest Policy located in the Board Manual. I agree to abide by the terms of the Conflict of Interest Policy and will immediately report any conflict of interest which may arise during my participation with Union County Pride to the Union County Pride Board of Directors. Unless otherwise disclosed below, I confirm that I know of no conflicts of interest that would interfere with my service with Union County Pride.
