The above-named artist ("Artist") is submitting the above-identified artwork ("the Artwork") for consideration to be included in the Art of Trash and Trashion Show ("AOT") sponsored by Malama Maui Nui ("MMN"). Artist agrees to indemnify and hold harmless MMN and its trustees, employees, partners and agents from any claim relating to damage or loss of property, including court costs and attorney fees relating thereto. Artist agrees that the Artwork, Artist's name, likeness and submitted information, in whole or in part, may be used or displayed on MMN's website and in social media, marketing and fundraising campaigns. The Artist authorizes MMN and its representatives to record, produce, reproduce and edit videos, pictures and/or print of the Artist and/or the Artwork to be used at the discretion of MMN. Prizes and awards granted at AOT are determined by the sole discretion of MMN. Artist understands and agrees that, apart from the prizes awarded to the winners of the Art of Trash Exhibition and/or Trashion Show, no compensation will be paid to Artist for the rights granted by this Agreement. Artist is responsible for all solicitations and communications regarding the sale of Artwork and will hold harmless MMN and its trustees, officers, employees and agents against any loss, liability, and expense arising out of or relation to any action, proceeding or claim arising from the process of selling the Artwork. Artist represents and warrants that the Artwork is original and that Artist is the sole creator and owner of the Artwork, that the Artwork does not infringe the copyright, trademark, right of privacy or any other right of any party, that Artist is free to grant the rights granted by this Agreement without violating the rights of any third party, and that the Artwork is not libelous or otherwise contrary to law. Artist agrees to indemnify MMN and its trustees, officers, employees and agents and hold them harmless against any loss, liability, and expense (including reasonable attorney fees) arising out of or relating to any action, proceeding or claim (or its settlement) based on the alleged breach of any of the foregoing representations and warranties.

The undersigned agrees that failure or refusal to comply with any protocols in place at AOT could result in expulsion of their Artworks and terminate their participation.

When the Artist is a minor or under 18, a parent or guardian is required to sign below.

In consideration of MMN, and submitted Artwork, I approve and agree to all of the terms above, consent to use of the Artist's name, likeness and biographical material as indicated above, guarantee Artist's obligations under the Agreement are met, and that, if the Artist breaches or disaffirms the Agreement, I will indemnify Malama Maui Nui and its trustees, officers, employees and agents and hold them harmless against any loss, liability, and expense (including reasonable attorney fees) arising from any such breach or disaffirmation.
