INDEMINFICATION, WAIVER AND RELEASE OF LIABILITY FORM - FITCLUB PA NORTH CLASSES AND CAMPS for Minors

The minor listed below (the "Minor Participant") desires to participate in Fit Club - PA North located at or around 2000 Village Run Drive, Suite 203, Wexford, Pennsylvania 15090, including, all activities hosted by J Amelio LLC d/b/a Studio Beyond ("J Amelio LLC") and Fit Club PA North, LLC (the "Event" The undersigned parentor guardian legal understands that the Minor Participant's participation in the Event is conditioned, in part, upon his or her execution of this Indemnification, Waiver & Release (this "Release"

In consideration of the Minor Participant's right to participate in the Event, and intending to be legally bound hereby, the undersigned, for: (i) himself or herself; (ii) the Minor Participant; (iii) any other parent and/or legal guardian of the Minor Participant; and (iv) the heirs, personal representatives, and assigns of the aforementioned parties (collectively, the "Releasing Parties"), hereby voluntarily, knowingly, completely and forever releases, waives and discharges J Amelio LLC, Fit Club PA North, LLC, Studio Beyond, LLC, and each of their respective parents, subsidiaries, affiliates, predecessors, successors, partners, officers, members, managers, directors, employees, volunteers, representatives, and assigns (collectively, the"Indemnified and Released Parties"), from any and all claims, actions, costs, losses, expenses, demands, damages or other liabilities, known or of unknown, absolute or contingent, and whether or not fixed, which the Releasing Parties ever had, now have or might in the future have againstany the Indemnified and Released Parties, resulting in any manner from and/or by reason of the Minor Participant's participation in the Event, including, but not limited to: (1) any liability that may arise from the negligence of the Indemnified and Released Parties, or (2) potential exposure to the COVID- 19 virus. Without limiting the generality hereof, this Release covers claims for personal and emotional injuries, claims for attorneys' fees and costs, claims for compensatory, general and punitive damages, and every other kind of relief available at law or in equity, whether accrued now or hereafter.

The undersigned hereby represents, warrants and covenants that: (a) he or she is the parent or legal guardian of the Minor Participant; (b) the Minor Participant is in good physical condition and does not suffer from any conditions that would make it dangerous, hazardous, or harmful for him orher to participate in the Event; (c) he or she voluntarily chooses to allow the Minor Participant to participate in the Event, and knowingly and completely assumes any and all hazards and risks that may arise, directly or indirectly, as a condition of, as a result of or during the Minor Participant's participation in the Event; (d) he or she and the Minor Participant shall at all times comply with the rules and decisions of the Indemnified and Released Parties; and (e) he or she and the Minor Participant understand that the Minor Participant's participation in the Event: (i) has inherent risks, dangers andhazards; and (ii) may result in injury or illness including, but not limited to, bodily injury, death or other ailments that could cause serious disability, including as a result of exposure to the COVID-19 virus. The undersigned hereby expressly assumes: (x) all risks and dangers and all responsibility for anylosses and/or damages, whether caused in whole or in part by the conduct or omission of any of the Indemnified and Released Parties; (y) any and all risk of physical injury or death resulting from, or in any way related to, the Minor Participant's participation in the Event; and (z)theriskof any loss of, or damage to, any of the Minor Participant's property that may occur as a result of the Minor Participant's participation in the Event.

The undersigned hereby further agrees to protect, indemnify, hold harmless, and defend the Indemnified and Released Parties, from and against any and all claims, actions, suits, losses, costs, damages, liabilities or expenses of any nature whatsoever (including, but not limitedto,thecosts and expenses of experts, consultants and attorneys) arising out of, or relating to, the Minor Participant's participation in the Event. The undersigned's duty to protect, indemnify, hold harmless, and defend the Indemnified and Released Parties shall survive the duration of the Minor Participant's participation in the Event.

This Release shall be construed in accordance with the laws of the Commonwealth of Pennsylvania, and shall be construed broadly to provide a release and waiver to the maximum extent permissible under applicable law.

THE UNDERSIGNED HEREBY REPRESENTS, WARRANTS AND COVENANTS THAT: (I) HE OR SHE HAS FULLY READ AND UNDERSTANDS EACH PROVISION OF THIS INDEMNIFICATION, WAIVER & RELEASE; (II) HE OR SHE HAS BEEN GIVEN A SUFFICIENT AND REASONABLE TIME TO CONSIDER IT; (III) NO ORAL REPRESENTATIONS, STATEMENTS, OR INDUCEMENTS APART FROM THOSE SET FORTH IN THIS INDEMNIFICATION, WAIVER & RELEASE HAVE BEEN MADE BY THE INDEMNIFIED AND RELEASED PARTIES; AND (IV) HE OR SHE HAS RELIED UPON HIS OR HER OWN ADVICE OR THE ADVICE OF HIS OR HER OWN ATTORNEY IN CONNECTION WITH HIS OR HER EXECUTION OF THIS INDEMNIFICATION, WAIVER & RELEASE.

STUDIO BEYOND / Fit Club PA North PHOTO RELEASE FORM

I hereby grant J Amelio LLC d/b/a Studio Beyond ("J Amelio LLC") and Fit Club PA North, LLC permission to use my likeness or the likeness of my minor participant(s) listed below, in photographs, videos, or other digital media (collectively "Imagery") in any and all of its publications, including web-based publications or social media, without payment or other consideration. I understand and agree that all Imagery will become the shared property of J Amelio LLC and Fit Club PA North, LLC and will not be returned.

I hereby irrevocably authorize the J Amelio LLC and Fit Club PA North, LLC to edit, alter, copy, exhibit, publish, or distribute this Imagery for any lawful purpose. In addition, I waive any right to inspect or approve the finished product wherein my likeness (or the likeness of my minor participant(s) listed below) appears. Additionally, I waive any right to royalties or other compensation arising or related to the use of the Imagery.

I hereby hold harmless, release, and forever discharge J Amelio LLC, Fit Club PA North, LLC, Studio Beyond, LLC, and each of their respective parents, subsidiaries, affiliates, predecessors, successors, partners, officers, members, managers, directors, employees, volunteers, representatives, and assigns (collectively, the "Indemnified and Released Parties") from all claims, demands, and causes of action which I, my heirs, representatives, executors, administrators, or any other persons acting on my behalf or on behalf of my estate have or may have by reason of use of the Imagery or this authorization.

THE UNDERSIGNED HEREBY REPRESENTS, WARRANTS AND COVENANTS THAT: (I) HE OR SHE HAS FULLY READ AND UNDERSTANDS EACH PROVISION OF THIS PHOTO RELEASE; (II) HE OR SHE HAS BEEN GIVEN A SUFFICIENT AND REASONABLE TIME TO CONSIDER IT; (III) NO ORAL REPRESENTATIONS, STATEMENTS, OR INDUCEMENTS APART FROM THOSE SET FORTH IN THIS PHOTO RELEASE HAVE BEEN MADE BY THE INDEMNIFIED AND RELEASED PARTIES; AND (IV) HE OR SHE HAS RELIED UPON HIS OR HER OWN ADVICE OR THE ADVICE OF HIS OR HER OWN ATTORNEY IN CONNECTION WITH HIS OR HER EXECUTION.
