Blue Heron Community Cooperative Membership Agreement Member Rights, Disclosures and Member Responsibilities
In consideration of the mutual promises and money amounts recited herein, the Parties agree as follows:
Member Rights
The Member shall have all rights as an owner of the Cooperative as presented in the Articles of Incorporation and By-laws of the Cooperative or as otherwise provided under applicable laws of Washington State. No other rights shall be inferred or provided. Member's rights may be amended pursuant to the Cooperative's By-laws or changes in state or federal law.
Member's rights may be suspended provided that the Cooperative finds the Member no longer in good standing pursuant to this Agreement and adjudicates the matter pursuant to the Cooperative's By-laws.
Disclosures and Member Responsibilities Upon acceptance of Membership by the Coopera- tive, the Member agrees to the following:
1. Membership. Member Cooperative hereby acknowledges that its membership is made up exclusively of natural persons over the age of eighteen (18) who commit to this agreement and other qualifications established by the Board of Directors ("Board")
2. Membership Fee. Member hereby agrees to pay a Membership Fee of Seventy-seven Dollars ($77.00 Member shall be entitled to one (1) vote at the annual meeting and to run for election for a seat on the Board of the Cooperative.
3. Rules and Policies. Member agrees to abide by such additional rules and regulations adopted by the Board from time to time which are not in conflict with the Articles of Incorpora- tion and By-laws.
4. Access. Members have the right to access the Articles of Incorporation By-laws, Annual Minutes Year-end Financial Statements, and Board of Directors' meeting minutes.
5. Monetary Benefits. In the event mone- tary benefits are realized by the Cooperative through any of its operations or activities, such benefits may be allocated to the Member, in a form such as membership discounts or patron- age dividends, in accordance with the By-laws and policies of the Cooperative.
6. Other Benefits. Any other benefits of mem- bership shall be determined by the Board of Directors, in accordance with the By-laws and policies of the Cooperative
7. Withdrawal. In the event that the Member chooses to withdraw from the Cooperative, they recognize that they will be limited to only those rights specified in the Articles of Incorpo- ration and may have to reapply if they choose to return to the Cooperative In the event of a Member withdrawal, the Membership Fee may be refundable in accordance with the By-laws
8. Obligation to Update. Member agrees and acknowledges that it is the Member's responsi- bility to provide updated contact information to the Secretary of the Cooperative whenever any of the below contact information changes.
9. Entirety of Agreement. This Agreement, together with the Cooperative's Articles of Incorporation and By-laws. which are both hereby incorporated by reference, constitute the entire Agreement between the Cooperative and Member.
10. Choice of Law. This Security Agreement shall be governed by the laws of the State of Washington. Venue shall be proper only in Thurston County.
11. Acknowledgement of Risk. By signing this Agreement the Member acknowledges that the Member understands that the Mem- ber's entire investment is at risk of loss if the Cooperative is not financially successful. The Member understands that if the Cooperative cannot achieve its business plan, the Member not only may not receive any patronage divi- dend, but may also lose the Membership fee. I acknowledge that my entire investment is at risk of loss if the Corporation is not financially successful I understand that if the Cooperative cannot achieve its business plan, I not only may not receive any patronage dividend, but that I may also lose my $77 membership fee as well, for example if the Cooperative goes bankrupt
12. Employment Agreement. This Agreement does not imply or create a labor contract for those members employed by the Cooper- ative or assign any other rights than those established in the governing documents of the organization The agreement only pertains to the rights and responsibilities of membership in the Cooperative
