ANNUAL MEMBER MEETINGS.

   At least one annual meeting of the members will be held each year. This annual meeting will be held at the principal office of the Corporation designated in Article I or such other place as chosen by the Board of Directors. The annual meeting of Members shall be held on a date and time designated by the Board of Directors and shall be announced a minimum of thirty (30) days in advance of the annual meeting with the finalized location, date, and time. The purpose of the annual meeting will be to transact all business of the Corporation, including but not limited to the election of the Board of Directors, amending of By-Laws as necessary, and the ratification of the actions taken by the Board of Directors undertaken since the last meeting of members.

REGULARLY SCHEDULED QUARTERLY MEMBERS MEETINGS.  

 The general membership meeting shall be held on the 2nd Friday of January, April, July, and October at a place and time to be determined by the President or the majority of the Board of Directors. The Officers or the Board of Directors meet prior to each general membership meeting at a place and time to be determined by the President. The purpose of this meeting is to address, discuss or recommend items on the agenda to be presented to the general membership meeting.

MAJORITY RULES.

 At a duly called meeting with a quorum present, the vote of the majority of the Members shall determine the passage of any corporate resolution or other business matter.
