1. Mentee has agreed to purchase of Private Mentorship for one time fee of $2382.00 or payment plan option to equal amount for 6 weeks of mentorship. In exchange, Aimee Bartolo (Aimee) agrees to provide the services outlines in the Course Details (2) below.
2 a.Course details: Private Mentorship is a 6 week online private mentorship for people who want to work towards taking their online coaching business full-time
b. Aimee will provide the following throughout the 6 week course:
- 1 x 60 minute live session via zoom per week for 6 weeks
- Private messenger access via Facebook messenger during 9am - 5pm Monday to Friday
- Access to Basecamp course modules in full from date mentorship commences
- A series of worksheets & templates
c. Mentee confirms that they have read the course details and asked Aimee any and all necessary questions to feel that they understand what is and isn't being provided in the program.
3. Confidentiality
a. This Agreement is considered a mutual non-disclosure agreement, meaning both Mentee and Aimee agree not to disclose, reveal, or make use of any confidential information learned by either party during discussions, calls, emails, or otherwise. Such “Confidential Information” includes, but is not limited to, worksheets, video content, activities, templates or other methodologies Mentee learns as a result of working with Aimee, or any other original work created by Aimee, and any and all other intellectual property (discussed below.).
b. Mentee and Aimee agree that the responsibility to refrain from disclosing or sharing any and all Confidential Information learned as a result of Mentee working with Aimee shall survive the expiration of this Agreement and Mentor’s services. This means Mentee and Aimee both agree to continue to keep Confidential Information private, even after the completion of working with Aimee.
c. Should Mentee breach this provision and disclose confidential or proprietary information belonging to Aimee or another participating in Private Mentorship, Mentee understands additional action may be taken by Aimee up to and including legal action.
4. Intellectual Property Rights
a. Mentee agrees and understands that Aimee has created numerous original, creative works in connection with the Private Mentorship, and agrees that Aimee maintains all intellectual property rights in all original or derivative content associated with or included in Private Mentorship whether created prior to working with Mentee or specifically for Mentee, including but not limited to: documents, templates, worksheets, tutorial videos, guides, calculators and any other original work created by Aimee. Mentee agrees they may be granted a limited right to use selected materials in the course for her own training, but understands that the rights remain with Aimee. Nothing in this Agreement shall constitute a transfer of ownership of any Intellectual Property from Aimee to Mentee, nor grant any license to use the information, other than that which is expressly provided throughout the course of Private Mentorship.
b. Mentee agrees and understands they are not to copy, repost, publish, sell, assist others in selling, manipulate, distribute, or in any way exploit any of the content or intellectual property provided by Aimee or obtained through working with Aimee, without Aimee’s express written consent. If such behavior is discovered or suspected, Aimee reserves the right to immediately end your participation in Private Mentorship without refund, as well as access to any program or materials you may have purchased, without refund, and reserve the right to prosecute any actionable infringement or misuse to the full extent of the law.
5. Payment Plan
a. If Aimee has offered Mentee a payment plan and should the Mentee fail to make timely payments, or if additional payments are not able to be processed, Mentee understands the reminder of Private Mentorship may be forfeited until payment is made. Accounts that have not been paid after 30 days will be turned over to collections, and the balance of Mentee’s account will be come due and payable. If Mentee's account is turned over to collections, Mentee understands and agrees he/she is responsible for any and all fees accrued, in addition to the original account outstanding balance.
b. Aimee reserves the right to cancel or cease working with Mentee should they fail to complete their paymet plan in accordance with the Payment Plan as agreed upon at the beginning of Private Mentorship. Should this occur, Mentee understands they are not entitled to a refund of funds already issues to Aimee in exchange for work completed thus far, and it is up to the sole discretion of Aimee whether Mentee is to have continued access to any materials made available to Mentee during Private Mentorship up until payments were missed.
6. Voluntary Participation
Mentee understands and agrees that they are voluntarily choosing to enroll in the Private Mentorship and is solely responsible for any outcomes or results. While Aimee believes in her services and that Private Mentorship is able to help many people, Mentee acknowledges and agrees that Private Mentorship is not responsible nor liable to Mentee should Mentee sustain any harm, or encounter any negative ramifications. Mentee agrees that they are fully responsible for their own results and outcomes, including participation in Private Mentorship and any results therein.
Mentee and Aimee agree this Agreement constitutes the entire agreement between Aimee and Mentee, taking place of and superseding any and all prior agreements, discussions, correspondence, or proposals between parties. Mentee understands that if a portion of Private Mentorship or an expectation is not included in this Agreement, it does not apply and is not included within Private Mentorship. Mentee has taken any necessary measures to discuss further and have any questions answered by Aimee, and is in full agreement with the terms outlined herein.
