THE WALLACE MEDIA COMPANY, LLC
VIDEO PRODUCTION AGREEMENT
This Video Production Agreement is entered on the date stated below between The Wallace Media Company, LLC ("Producer") and the Bride and Groom listed above ("Client");
Whereas, Client desires to purchase video production and marketing services from Producer. Wherefore the parties hereby agree to be bound to the following terms and conditions;
Producer shall provide to Client all produced assets (“Deliverables”) listed under the package listed in the Jotform submission.
2. Client shall pay Producer the outlined fee for Deliverables via PayPal. Payment must be made before Deliverables are presented to Client.
3. The Deliverables will be ready prior to the release date, provided Client has provided Producer with all necessary materials within a reasonable time of Producer’s request, including but not limited to photos, graphics, schedules, etc. Client understands that any delay on Client’s part to deliver content for Deliverables may affect delivery date.
4. Producer guarantees that the production of the video will meet Client’s expectations. If it does not, Client may request revisions as long as they do not exceed the amount of revision rounds allotted with their package. A revision qualifies as any requested changes for which the Producer is not at fault. Any additional revision rounds will add an additional $100 to the total cost and are due before revisions are completed.
5. Once the full fee has been paid, Client will have copyright ownership of the completed Deliverables. Producer may use Deliverables for valid business promotion including but not limited to demo reels, website content, and marketing material.
6. Producer will perform services to the best of their ability, but the Producer accepts no responsibility for unforeseen circumstances including, but not limited to equipment failure, power outages, inability to attend and perform services due to illness, and/or any circumstances beyond the Producer’s control. In the event that such circumstances occur, the Producer will use best efforts to provide similar services. Producer’s sole liability in any case shall be limited to a monetary amount no greater than the total of monies paid by Client.
7. This Agreement may be canceled at any time, as long as Producer has not begun any services. Once service have begun as outlined in this Agreement, any deposits submitted are forfeited.
8. This Agreement shall be governed and construed exclusively in accordance with the laws of the State of South Carolina. All disputes and conflicts will be resolved by binding arbitration in Richland County, South Carolina.
9. This Agreement replaces all previous conversations, advertisements and agreements. No other terms or conditions are implied or agreed upon by the parties.
