^{_{1. Services Provided
The Contractor agrees to provide influencer marketing services for the Client, which include buy are not limited to the created of social media content, sponsored posts, job ads, product/services reviews, videos, promotional shout-outs, and other services as described in Exhibit A, attached hereto (the “Services”). The scope and deliverables will be mutually agreed upon by both parties. The Services include, but are not limited to, content creation such as videos, articles, blog posts, social media content, photography, and other materials as agreed upon by both parties. This includes the full Scope of Work for scheduling interviews and performing the duties involved in operating our Agent Recruitment Program.}}

The term of this Agreement shall begin on the date written below and shall continue until the completion of the Services [the full duration of employment] unless terminated by either party or within the sole discretion of said Broker & Ceo of Jessica Jackson Real Estate Brokerage Firm LLC, herein.}}

a. Payment of Fees: The Client agrees to pay the Contractor a fee of [$10 - $50 per agent or employee referral] for the Services rendered.
b. Membership fees: All membership fees will be deducted from Contractor's monthly paychecks as follows: [e.g., 10% for every $100 earned in addition to the month-to-month flat rate fee established by said broker, which may vary upon start date and upon completion of deliverables].
c. Payout schedule: Any payments due to said Contractor will be deposited directly into the bank account on file and disbursed on a continuous month-to-month basis for as long as their job referrals remain employed at Jessica Jackson Real Estate Brokerage Firm LLC or INDEPENDENT CONTRACTOR AGREEMENT is canceled by either party or within the sole discretion of Client.}}

 

^{_{4. Independent Contractor Relationship
The Contractor is an independent contractor and is not an employee of the Client. The Contractor is responsible for paying their own taxes, insurance, and any other expenses incurred in the performance of the Services. The Contractor has no authority to bind the Client to any agreements or obligations.}}

^{_{5. Ownership of Scope of Work
a. All content created by the Contractor under this Agreement in their efforts to operate said Agent/Employee Recruitment Program, including but not limited to videos, images, text, and other materials, shall be the property of the Client during work and after this agreement is canceled by either party or by the sole discretion of Client.
b. The Contractor agrees to assign all rights, title, and interest in the scope of work to the Client upon creation. The Contractor retains no rights to use the work product without the express permission of the Client.}}

^{_{6. Content Requiremnts}}

^{_{The Contractor agrees to create content according to the Client's guidelines and specifications, as outlined in Exhibit A. The Contractor shall submit drafts for approval prior to finalizing and publishing content. The Client has the right to request revisions if the content does not meet agreed-upon standards.}}

^{_{7. Confidentiality
The Contractor agrees to maintain the confidentiality of any proprietary information or materials shared by the Client during the term of this Agreement and to use such information solely for the purpose of providing the Services.}}

^{_{8. Termination
Either party may terminate this Agreement at any time with written notice. If the Client terminates the Agreement prior to completion of the Services, the Client agrees to pay for any Services rendered up to the termination date.}}

^{_{9. Indemnification
The Contractor agrees to indemnify, defend, and hold harmless the Client from any and all claims, damages, or expenses arising from the Contractor’s work under this Agreement, including any breach of this Agreement.}}

^{_{10. Miscellaneous
a. Governing Law: This Agreement shall be governed by the laws of [Georiga/United States]. The Contractor agrees to comply with all appliable laws, including those related to humann resources, advertising, endorsements, and influencer marketing. This includes adherence to the Federal Trade Commission (FTC) guidelines for endorsements and disclosures, and adhering to HR Employment Law for Compliance guidelines.
b. Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes any prior understandings or agreements.
c. Amendments: Any amendments to this Agreement must be in writing and signed by both parties.}}
