  • INVOICE TERMS AND CONDITIONS OF SALE


    1. GENERAL
    All goods are supplied by Building Plastics (Wales) Ltd (Company No. 07681432, VAT No. 191922296) of Unit 1-2, Block E, Penmaen Ind Est, Pontllanfraith, NP12 2DQ.
    These terms apply to all sales including credit account and retail transactions. Acceptance of goods constitutes acceptance of these terms.
    2. PRICE
    All prices are exclusive of VAT unless stated otherwise. VAT is charged at the prevailing rate. Prices may be amended prior to dispatch. Prices may change without notice from time to time.
    3. PAYMENT
    Credit accounts: Strictly 30 days End of Month unless agreed in writing. Credit facilities may be withdrawn at any time.
    Retail customers: Payment due at time of purchase.
    Late payments: Interest charged at 8% above Bank of England Base Rate under the Late Payment of Commercial Debts (Interest) Act 1998 plus statutory compensation and recovery costs occurred by our delegated 3rd Party collection agency.
    4. DELIVERY & RISK
    Delivery dates are estimates only. Risk passes upon delivery or collection. Shortages/damage must be reported within 48 hours or delivery.
    5. RETENTION OF TITLE (ALL MONIES)
    5.1 Title remains with the Company until full payment of all monies due from the Customer on any account.
    5.2 Until title passes the Customer shall:
    (a) store goods separately and clearly identify them;
    (b) hold goods as fiduciary agent and bailee;
    (c) insure goods at full replacement value;
    (d) not pledge or charge goods.
    5.3 Goods may be resold in the ordinary course of business, but proceeds shall be held on trust for the Company and kept separate.
    5.4 If goods are mixed or incorporated into other products, the Company retains title to the identifiable proportion and/or the proceeds of sale.
    5.5 The Company may enter premises to recover goods where payment is overdue.
    6. RETURNS
    Retail customers may return unused resaleable stock items within 14 days with proof of purchase. We do not usually accept returns on correctly supplied goods unless faulty. Any discretionary return may be subject to inspection and a deduction reflecting any reduction in resale value usually 20%
    Special order or bespoke items are non-returnable except if faulty.
    Trade returns require prior written approval and may incur 20% handling charge.
    Statutory rights under the Consumer Rights Act 2015 remain unaffected.
    7. WARRANTY & LIABILITY
    Goods supplied subject to Sale of Goods Act 1979 and Consumer Rights Act 2015 where applicable.
    No liability for indirect or consequential loss, loss of profit, or improper installation.
    Nothing excludes liability for death or personal injury caused by negligence or fraud.
    Liability limited to invoice value of goods supplied.8. PERSONAL GUARANTEE (CREDIT ACCOUNTS)
    In consideration of credit being granted, each director/owner signing the credit application jointly and severally guarantees payment of all sums due.
    The Guarantor agrees to indemnify the Company against all losses arising from default and acknowledges this is a continuing guarantee.
    9. INSOLVENCY
    If the Customer becomes insolvent or enters administration/liquidation, the Company may suspend supply and recover goods.
    10. DATA PROTECTION
    Personal data processed in accordance with UK GDPR and Data Protection Act 2018 for credit control and account management.
    11. GOVERNING LAW
    These terms are governed by the laws of England and Wales. Jurisdiction of the Courts of England and Wales.
