AUSTIN ARENA COMPANY/MOODY CENTER USE OF LIKENESS AGREEMENT

In consideration for the opportunity to attend, volunteer and/or participate in the activities (the “Activities”) offered, provided, staged or hosted by Austin Arena Company, LLC (“AAC”) and/or at that arena commonly known as Moody Center, located on the University of Texas at Austin (“UT”) campus, the participant (the “Participant”), or the Participant’s parent or legal guardian if the Participant is under the age of eighteen (18) years or otherwise lacks legal capacity (the “Guardian” and together with the Participant, “you” or “your”), hereby certifies, warrants, and represents to AAC, UT, the University of Texas System, Live Nation Worldwide, Inc., and each of their respective corporate parents, subsidiaries, affiliated entities, stockholders, regents, members, directors, officers, employees, contractors, agents, successors, heirs and assigns, any sponsors or promoters of the Activities and all others acting with the authority of AAC (all of the foregoing, collectively, the “Releasees”), and hereby agrees, to the following:

LIKENESS & PUBLICITY. You hereby grant to each and all of the Releasees the perpetual, worldwide and irrevocable right to use, license, reproduce, print, publish, sublicense and disseminate, and to permit third parties to do all of the foregoing, in all manners and media now existing or hereafter invented, your name, image, voice, appearance and other identifying information provided or captured in connection with the Activities (the “Likeness”), and to record, broadcast, copyright and otherwise exploit the Likeness in any and all promotions, advertisements and/or public displays or announcements of any kind. The Releasees shall have full and exclusive ownership and control of any video, photograph or recording of the Likeness (the “Material”). You shall have no rights in or to such Material, and the Releasees may use, alter or modify all or part of the Material and/or Likeness for any lawful purpose, regardless of whether you are recognizable. You waive all right of inspection or attribution of the Material, and all claims and further compensation for the Releasees’ use thereof.

ENTIRE AGREEMENT. THIS USE OF LIKENESS AGREEMENT (“AGREEMENT”) CONSTITUTES THE ENTIRE AGREEMENT BETWEEN YOU AND THE RELEASEES WITH REGARD TO THE SUBJECT MATTER HEREIN. By signing below, you agree that you: (i) understand all terms of this Agreement, (ii) have full knowledge of its content and significance, including that, through this Agreement, you give up legal rights that may otherwise be available, and (iii) sign this Agreement knowingly, freely and voluntarily, without inducement or coercion. This Agreement is intended to be as broad and inclusive as applicable law allows and, if any portion is held illegal, invalid or unenforceable, the balance of this Agreement shall continue in full legal force and effect, and such portion shall be given effect to the maximum extent possible by narrowing or limiting only that aspect found overbroad or unenforceable. This Agreement shall be governed by the laws of the State of Texas without reference or regard to its conflict of laws provisions and all disputes arising from or relating to this Agreement shall be brought and resolved solely and exclusively by the state or federal courts located in Travis County, Texas.

PARENT/GUARDIAN CONSENT & RELEASE (if applicable). The Guardian hereby agrees that they have executed this Agreement on behalf of the Participant, a minor under the age of eighteen (18) years or otherwise lacking legal capacity. The Guardian represents that they have the legal capacity and authority to act for or on behalf of the Participant, and agrees to bind the Guardian, the Participant, and each of their agents, legal representatives, successors, heirs and assigns to the terms of this Agreement. The Guardian hereby forever and irrevocably covenants not to sue and to not assist the Participant in any claims against any Releasees, and hereby releases, indemnifies and holds harmless the Releasees from all claims related to or arising from the Guardian’s legal capacity or authority to act for or on behalf of the Participant or the Guardian’s execution of this Agreement.
