Production Agreement

 

AGREEMENT FOR MARKETING, AMC THEATER, FASHION SHOW VENUE, MODELS, AND OTHER SERVICES

 

This agreement (“Contract”) is made effective as of [4/12/2023], by and between Party (A) MODEL MAFIA LLC, having its principal place of business at 8500 Wilshire Blvd, Beverly Hills, CA 90211, (“MODEL MAFIA LLC”), and Party (B) {input10:1}, having its principal place of business at {businessAddress}, (“{input10:1}”).

RECITALS

WHEREAS, MODEL MAFIA LLC will be location scouting, biased on, provided necessary, paperwork, agreements, award letters, and or budgets by Party (B) {input10:1} to secure an AMC Theater, for the movie premiere of "Prince of Detroit". And a second location for the "Comedy Jam After Party" meet and greet, sponsored by MODEL MAFIA LLC.

WHEREAS, “{input10:1} wishes to host a fashion show and requires the use of MODEL MAFIA LLC's services to provide the necessary resources for the event.

NOW, THEREFORE, in consideration of the mutual promises and covenants contained in this Agreement, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows:

SERVICES

Services Provided by MODEL MAFIA LLC. MODEL MAFIA LLC shall provide the following services to “{input10:1}":
a. Marketing services to promote the "Fashion Show".

b. Access to the venue for the "Comedy Jam After Party" meet and greet, on 6/23/2023 from {afterParty} to {fashionShow20} . Access to "Fashion Show Venue" {input10:2} , on 6/24/2023 from {fashionShow} to {movieShow18}. (Access to AMC Theater will be provided from {input10:1} funding). Funding must be completed 30 days before 6/23/2023.

c. Use of AMC Theater audio and video equipment.

d. Access to a dressing room for the models.

e. Use of the restrooms, and any other areas necessary for the event.

f. Provision of Number of Models {numberOf} models to perform modeling services during the fashion show.

Services Provided by {input10:1}. {input10:1} shall provide the following services to MODEL MAFIA LLC:
a. Bring their artist, production team, sponsor, and designer garments and clothes to the appropriate shows on time.

b. Honor the date and time of each show and not double book the event for the agreed-upon date and time.

c. All money that is made will be discussed and properly allocated amongst both parties.

PAYMENT

Payment. MODEL MAFIA LLC shall pay {input10:1} 40% for the "Comedy Jam After Party" meet and greet 6/23/2023 under this Agreement.
Payment Method. Payment shall be made via [Payment Method Zelle ].
Deposit. {input10:1} shall pay a non-refundable deposit of {paymentdeposit} upon signing this Agreement, which shall be applied towards the total amount due.

TERMINATION

Termination by {input10:1}. {input10:1} may terminate this Agreement by providing written notice to MODEL MAFIA LLC at least 77 Days prior to the scheduled event. In such event, {input10:1} shall forfeit the non-refundable deposit.
Termination by Service Provider. MODEL MAFIA LLC may terminate this Agreement at any time without cause by providing written notice to {input10:1}. In such event, MODEL MAFIA LLC shall refund any amounts paid by {input10:1}, less any expenses incurred by MODEL MAFIA LLC in preparation for the event.
CONFIDENTIALITY

Confidentiality. The parties acknowledge that in the performance of this Agreement, each party may have access to certain confidential information and trade secrets of the other party, including but not limited to, customer lists, business plans, and financial information (“Confidential Information”).
Protection of Confidential Information. The parties agree to hold all Confidential Information in strict confidence and to use it only for the purposes of this Agreement. Each party shall take reasonable measures to protect the Confidential Information from disclosure to unauthorized third parties.
INDEMNIFICATION

Indemnification by {input10:1}. {input10:1} shall indemnify and hold harmless MODEL MAFIA LLC, its officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with {input10:1} use of MODEL MAFIA LLC's services.
