- This Agreement is made between Amp U LLC (a Texas Limited Liability Company), (referred to as the “Company”) and {name} (referred to as the “Artist”) in consideration of mutual covenants and promises, made by each to the other.
- TERMS. Company and Artist establish an independent relationship. Artist has chosen to participate in an Amp U program (referred to as "program" or "the program").*

- PAYMENT. By paying you agree to all accompanying and relevant terms of service. No refunds will be distributed by Company.*

- ATTENDANCE. Makeup sessions are not scheduled. No credits will be applied for missed sessions. In case of illness or other extreme circumstances that will result in an Artist’s absence from a scheduled session, Artist should contact Amp U as soon as possible.*

- ROLLOVER CREDIT. If Artist is unable to complete all sessions during month in which services are expected to be provided, session credits can be rolled into the following month. Session credits cannot be rolled into a third month. All session credits will expire 60 days after payment of invoice for said services.”*

- NON-SOLICITATION. Artist agrees to not solicit or engage in services with Company coaches, writers, producers and staff during the term of this agreement and within three (3) years of the termination of this agreement. Any contractual relationship between Artist and Company coaches, writers, producers and staff within three (3) years of the termination of this agreement will entitle Company to 20% of the net proceeds from services provided. Artist agrees to allow Company to audit Artist's financial records including bank statements and tax returns in this case.*

- REPRESENTATIONS AND WARRANTIES. Company makes no representation or warranty that Artist will be offered a recording contract due to their participation in the Program. Should Artist sign with a record label, management company or publishing company, Company shall receive no benefit or income derived from such contract unless other arrangements are established in writing and mutually agreed upon.*

- INTELLECTUAL PROPERTY RIGHTS. The Company shall make no claim to any intellectual property created by Artist. The Company shall in no way own, control or receive revenue from any songs or recordings created by Artist unless other arrangements are established in writing and mutually agreed upon.*

- LIMITED LICENSE. Artist grants Company a limited license to use photographs, videos, recordings, or any other record of the Program activities or services discussed herein on its website and social networking sites solely for advertising purposes for a period of (5) five years from the effective date of this agreement. Notwithstanding the foregoing, all intellectual property created by Artist during the Program is and shall remain the sole property of Artist. The Company shall in no way own, control or receive revenue from (i) any songs or recordings created during the Program, or (ii) Artist’s likeness or image. *

- PROFESSIONAL CONDUCT. Artist will, at all times, exhibit proper behavior during participation in the Program and while using any facilities the Company engages during the Program. Prohibited behavior includes fighting, foul language, alcohol, illegal drugs, destruction of property and sexual misconduct. The Company reserves the right to dismiss an Artist from the Program due to the Artist’s intentional disruption of the Program, including but not limited to verbal and physical aggression against the coaches or other participants, repeated failure to follow reasonable instructions, and any other prohibited behavior as defined above. Company shall not refund Artist if Artist is dismissed from the Program for cause.*

- ARBITRATION. A controversy or claim arising out of or relating to this Agreement, or the breach thereof, may be settled by arbitration in accordance with American Arbitration Association Rules, at the option of the party making a claim. The prevailing party may enter a judgment on the award of the arbitrators in any court having jurisdiction thereof.*

- GOVERNING LAW. This Agreement shall be governed by and construed in accordance with the laws of the State of Texas. Arbitration hearings shall take place in Harris County, Texas and shall have exclusive venue and jurisdiction for the purpose of adjudicating all disputes that may arise under this Agreement. Local laws, of the place where the Company signs this Agreement, shall apply to it. Hearings shall be at a location set by the Company. This Agreement and any attachments are the entire exclusive agreement between Company and the Contractor. Neither party shall assign it without written permission. It inures to the benefit of the successors and assign of the parties. The parties make no express or implied representations, warranties, promises or guarantees about this Agreement, except as it expressly provides. In the Agreement, the masculine includes the feminine and the singular the plural.*
