Web Development / Contract

The following terms, conditions, and disclaimers will be upheld as a contractual agreement to perform the Services hereunder solely as an independent contractor. This Agreement, constitutes the final, complete, and exclusive statement of the agreement of the Parties with respect to the subject matter hereof,

All content shall be provided to the Soul Hitz Communications LLC by specified below

* If any content cannot be developed by Soul Hitz Communications LLC because of restrictions toa device, market, or store Soul Hitz Communications LLC will notify for changes in content blueprint or framework.

(a) No Intellectual Property Infringement by Soul Hitz Communications LLC. Soul Hitz Communications LLC hereby represents and warrants that the use and proposed use of the web applications by or any third party does not and shall not infringe. Soul Hitz Communications LLC has not received any notice, complaint, threat, or claim alleging infringement of, any trademark, copyright, patent, trade secrets, industrial design, or other rights of any third party and the use of the application will not include any activity that may constitute "passing off." To the extent the application infringes on the rights of any such third party.

(b) No Intellectual Property Infringement by commits to Soul Hitz Communications LLC and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to Soul Hitz Communications LLC for inclusion in the web application are owned by has permission from the rightful owner to use each of these elements, and will hold harmless, protect, indemnify, and defend the Soul Hitz Communications LLC and its subcontractors from any liability (including attorneys' fees and court costs), including any claim or suit, threatened or actual, arising from the use of such elements furnished by

 

(c) Continuing Ownership of Existing Trademarks. Soul Hitz Communications LLC right, title, and interest in and to all service marks, and agrees not to engage recognizes trademarks, and trade names used in any activities or commit any acts, directly or indirectly, that may contest, dispute, or otherwise impair right, title, and interest therein, nor shall Soul Hitz Communications LLC cause diminishment of value of said trademarks or trade names through any act or representation Soul Hitz Communications LLC shall not apply for, acquire, or claim any right, title, or interest in or to any such service marks, trademarks, or trade names, or others that may be confusingly similar to any of them, through advertising or otherwise. Effective as of the termination of this Agreement, Soul Hitz Communications LLC shall cease to trademarks, marks, and trade names unless specified for direct web application content update.

 

(d) Continuing Ownership of Existing Trademarks. recognizes Soul Hitz Communications LLC right, title, and interest in and to all service marks, trademarks, and trade names used Soul Hitz Communications LLC and agrees not to engage in any activities or commit any acts, directly or indirectly, that may contest, dispute, or otherwise impair Soul Hitz Communications LLC right, title, and interest therein, nor shall cause diminishment of value of said trademarks or trade names through any act or representation acquire, or claim any right, title, or interest in or to any such service marks, trademarks, or trade names, or others that may be confusingly similar to any of them, through advertising or otherwise. Effective as of the termination of this Agreement, shall cease to use all of the Soul Hitz Communications LLC trademarks, marks, and trade names in exemption to all application publication, videos, or marketing in which Soul Hitz Communications LLC can promote the company unless trademarked in web application.

There is a $50 or more monthly service fee for management of mobile apps.

Individual app and website service payments includes videos and more to app or website users will have specified sperate written agreements.

Any video or banner commercial ads that are pre-made will be 100% profit to company

Any video commercial ads that are created by Soul Hitz Communications LLC will have a sharing of profit of 30% to compnay and 70% to Soul Hitz Communications LLC.

GOVERNING LAW

This Agreement shall be governed by the laws of the state of Indiana. In the event that litigation results from or arises out of this Agreement or the performance thereof, the Parties agree to reimburse the prevailing Party's reasonable attorneys' fees, court costs, and all other expenses, whether or not taxable by the court as costs, in addition to any other relief to which the prevailing Party may be entitled.

COUNTERPARTS/ELECTRONIC: SIGNATURES

This Agreement may be executed in one or more counterparts, each of which shall be deemed an original but all of which shall constitute one and the same instrument. For purposes of this Agreement, use of a facsimile, e-mail, or other electronic medium shall have the same force and effect as an original signature.
