This Agreement is executed on & by and between the following:  

The Brand Ambassador 

& 

REPTHEFAITH Clothing Co. 

The Company (REPTHEFAITH) is engaged in the manufacture and sale of apparel and accessories that intend to expand its reach for recognition and sales; the Brand Ambassador is a recognized personality and in a position of influence providing reviews and advocating REPTHEFAITH Clothing Co. products and accessories.

The Parties agree and acknowledge that the Brand Ambassador shall perform promotion services in connection with Company through the Company’s social media channels, including but not limited to Twitter, Facebook, Instagram, Youtube, and Pinterest, among others.

The Parties agree and acknowledge that the Brand Ambassador shall:

-create a minimum of 1 video brand-boosting post per month.

-create a minimum of 2 pictures with text included post per month (1 post per week on any social media platform).

-must wear brand T-shirt/ accessories for free monthly repthefaith package 

-upon receiving the package, you will have 3-5 business days to post content.

-the content shall remain on the page for the duration of the agreement. 

-agrees to share any brand-related post at the Client's request.  

 

Compensation Agreement

As total compensation and consideration for the full and complete performance of all the work and other obligations under this Agreement and all costs, the parties arm that Client shall be paid

1. Faith Package monthly filled with items from repthefaith.

2. The brand ambassador will receive a 15% discount code for the entire store.

3. The brand ambassador will receive a promotional code that when customers use it they will receive an additional 10% sales commission. The code name will be made up by the brand ambassador. 

4. Early access to new content and future content. 

 

Product Use and Ownership

The Brand Ambassador shall be provided products by the Company at no expense for the benefit of the Brand Ambassador. The Brand Ambassador agrees that in such provision of products, the Brand Ambassador cannot, and may not subject the products provided for resale. Should the Brand Ambassador decide to discontinue the use, return, or sale of the products, the Brand Ambassador shall notify the Company prior to such action.

 

Confidentiality

The Parties to this Agreement may not disclose to any third party, the use of the works engaged by the Brand Ambassador with the Company without the other party's written consent. Neither Party may sell, nor disclose with any third party any proprietary or confidential information acquired by them in the course of their engagement with the other, without the written consent of the other party.

The Brand Ambassador agrees to return to Company all confidential documents, records, or any information owned by the company upon the termination of the Agreement. In case of failure to return the confidential documents, records, or information, the Brand Ambassador shall notify the Company and shall agree on how such information shall be disposed of or returned to the Company.

Brand Ambassador may not disclose photos or events without written notice from Client to do so.

Brand Ambassador will not disclose ideas to third parties without written permission from the Client.

Brand Ambassador agrees not to post/talk maliciously at any point about Client.

Brand Ambassador may not reach out to any third-party photographer or any other services met through the Client without written consent from Client.

 

Period and Termination

This Contract shall remain effective for 3 months. After the three months, both parties will discuss whether they want to renew for another 3 months, terminate the agreement, or move into the full marketing and promotion package. If either party decides they no longer want to work together, the party should notify the other at least 24 hours prior to the termination date.
