Terms and Conditions Agreement
Your orders from BRAUM are made subject to these Terms and Conditions. Please review them carefully before placing your order. BRAUM’s Terms and Conditions are subject to change without notice.
By ordering from BRAUM, you agree to be bound by the Terms and Conditions in effect at the time you place your order.
BRAUM objects in advance to any additional or different terms you may propose, whether contained in a purchase order or in any other document or communication and regardless of whether such additional or different terms would materially alter BRAUM's Terms and Conditions. Your submission of a purchase order or other authorization for products or services, or your allowing BRAUM to ship products or commence work, will constitute your acceptance of all of BRAUM's Terms and Conditions, except to the extent specifically consented to by BRAUM in a written confirmation sent to you and signed by an authorized representative of BRAUM. This Agreement shall become effective as of the dates listed below and shall continue in full force for 12 calendar months, unless terminated earlier in accordance with the Terms and Conditions herein. This Agreement will automatically be renewed until terminated by BRAUM, with or without cause and at any time, by giving written notice.
1. Requirements:

2. Orders:
Please contact BRAUM's sales team to open a standard wholesale account.
New wholesale accounts must be verified by an authorized BRAUM representative. Once the verification process is complete, BRAUM will notify you via email and/or telephone.
Once verified, all orders will be entered into your account. All orders must include your account name, product SKU number, quantity, ship-to name, and correct physical address for shipping/drop shipping purposes.
All orders will ship complete unless you request otherwise.
All standard wholesale account orders must be paid in full before BRAUM can process the order.
3. Shipping:
All shipments are subject to carrier regulations.
BRAUM cannot guarantee on-time delivery for orders involving drop shipments, third party billing, customer pickups, shipment outside the contiguous US, unauthorized transportation carriers, extreme weather conditions, and/or acts of God.
Orders will be shipped via FEDEX Ground service or FEDEX Smart post unless you request otherwise. Next Day Air and 2nd Day Air service may also be available for an additional fee.
Orders can be shipped outside of the contiguous United States and Canada upon your request, for an additional fee. Shipping charges outside of United States and Canada are non-refundable under any circumstances.
Orders shipped to Alaska, Hawaii, Guam and Puerto Rico may ship by Air due to carrier regulations.
You are responsible for all duties and broker fees incurred due to international shipments.
Orders cannot be shipped to APO/FPO addresses.
Orders shipped to P.O. Box addresses will be charged additional shipping fees and such fees will be billed to you.
Original shipping charges are non-refundable except for defective items.
Additional shipping and/or carrier fees incurred after an order has been shipped will be billed to you.
4. Back orders and Substitutions:
Out of stock items will automatically be added to BRAUM's backorder list. Items that are on backorder will be shipped out once they have arrived.
If your order contains multiple items, the in-stock items will ship first unless you request otherwise.
Substitutions may be available for backordered or discontinued items. Substitutions will not be shipped without your approval.
5. Stock / Availability:
BRAUM assumes no responsibility for stock shortages or discontinued items.
6. Order cancellations:
Orders can only be cancelled if they are not yet shipped.
Special custom orders cannot be cancelled or modified once the production has started.
All cancellation requests need to be received and approved by an authorized BRAUM representative.
7. Returns:
Merchandise must be returned to BRAUM within 30 days of the invoice date for a credit or exchange.
To process a return, contact your BRAUM representative for a Return Merchandise Authorization (RMA) form. You will be assigned a RMA number once you have filled out the form. You must mark the RMA number on the outside of the shipping box for any returns. If the return reason is not valid or not as you described, BRAUM reserves the right to not issue any credit.
Returns of non-defective merchandise must be in sellable condition: uninstalled, unused, with all original packaging. You are responsible for the return shipping fees, and a 15% restocking fee will be assessed for such returns.
Returns of non-defective merchandise will be credited at the original invoice price, less original shipping and handling charges and a 15% restocking fee. Upon receipt of a return, BRAUM will examine the condition of the merchandise. If BRAUM determines the merchandise to be damaged or not in sellable condition, BRAUM reserves the right to issue no credit.
Incorrect shipments or defective merchandise will be credited upon receipt of merchandise, once BRAUM has examined the merchandise and determines it to be incorrect or defective. If BRAUM determines the merchandise to be correct or non-defective, BRAUM reserves the right to issue no credit.
For incorrect shipments, we must be notified within 7 days from the original delivered date, or you will be responsible for the return shipping fees.
Defective merchandise must be returned within 30 days from the original invoice date, or you will be responsible for the return shipping fees.
BRAUM will only issue shipping fee credit for incorrect shipments or defective merchandise returns done via standard ground service.
Replacement orders must be ordered again as a new order, with a new order number and will include new shipping and handling charges.
Special orders and custom made orders are not eligible for returns under any circumstances.
8. Carries loss, Damage and Shortages:
Orders must be inspected prior to acceptance of the shipment.
Rest assured all items have gone through an extensive check and are carefully packed. However, should any package appear or is received damaged, please record the time of the delivery and file a claim with the responsible carrier involved.
Please double check the number of packages against the packing slip/freight bill at the time of delivery.
Damages are the responsibility of the carrier once the shipment has been released from BRAUM. You are responsible for making damage claims with the carrier as soon as any damage is detected. Please save all packaging for inspection purposes conducted by the carrier. All claims must be made within 72 hours of receipt of goods.
Claims for lost shipments or damage must be reported to BRAUM once such claims are filed with the carrier.
9. Accounting:
All invoices are to be paid in full before shipment.
All major credit cards will be accepted.
Merchandise returned to BRAUM will be eligible for store credit towards your next purchase.
In the event BRAUM retains a collection agency or attorney to enforce any of your obligations to BRAUM, you agree to pay all of BRAUM’s costs and expenses associated with such enforcement, including collection, attorney and litigation fees.
You agree to pay or reimburse BRAUM for any and all sales, use and excise taxes that may be imposed on you or BRAUM by any government entity as a result of any sales to you, regardless of when such taxes may assessed, imposed, or levied.
10. Minimum Advertised Pricing (MAP) Policy:
BRAUM enforces a MAP policy on all wholesale accounts. The MAP policy applies to all advertisements of BRAUM merchandise in any and all media, including but not limited to flyers, posters, coupons, mailers, inserts, newspapers, magazines, catalogs, television, radio, and public signage, as well as Internet sites, social media sites, apps, or any other electronic media.

11. Marketplace:
Wholesale accounts are only authorized to advertise and sell BRAUM's products directly to consumers or end-users from established store locations and/or private, external websites registered with and approved by BRAUM.
BRAUM products may not be sold directly from classified or auction websites such as (but not limited to) eBay, Beezid or Craigslist without prior consent from an authorized BRAUM representative.
12. Enforcement:
The Terms and Conditions of this Agreement will be enforced by BRAUM in its sole discretion and without notice. Wholesale accounts have no right to enforce the Terms and Conditions of this Agreement. Violations of any of BRAUM's policies may result in immediate termination of our business relationship, as well as any available remedies at law. 13. Limitation of Liability:
In no event shall BRAUM be liable to you under any legal theory whatsoever, regardless of whether characterized as tort, negligence, contract, warranty, or otherwise, for any loss of profits or other economic loss, including but not limited to, such losses as (i) wages paid to your employees, (ii) lost revenue, (iii) lost use of equipment, facilities, or services, (v) costs of capital, (vi) costs or losses related to downtime, (vii) manual labor costs, (viii) any other indirect, incidental, special, consequential, or other similar damages arising out of any claim relating to your purchases of goods or services from BRAUM, including losses resulting from your general or particular requirements or needs, whether or not BRAUM, at the time of contracting, had reason to know of such requirements or needs, and whether or not such losses could have been reasonably prevented by you or otherwise. BRAUM’s liability to you shall in no event exceed the purchase price of the nonconforming goods or services giving rise to BRAUM’s liability to you.
14. Compliance with Laws:
You agree to comply with all laws and regulations that apply to your use, or the resale or other transfer, of products that you purchase from BRAUM. In some cases, the export of products from the United States may be subject to restrictions or prohibitions under United States law. You are urged to review the materials regarding such restrictions made available by the manufacturer/supplier and, where appropriate, to consult legal counsel. In any case, however, you remain solely responsible for such compliance, and BRAUM takes no responsibility for advising you regarding such matters or providing any necessary export licenses.
15. Disclaimer:
Certain merchandise offered by BRAUM are intended for off-road or show purposes only and may not be used on public highways or roads. No warranty or representation is made to these products' ability to protect the user from injury or death; the user expressly assumes any and all such risk.

The signer agrees to abide by all Terms and Conditions as set forth on each of this page.
BRAUM may charge the indicated credit card for the full amount of any order(s).
The signer agrees to pay the full cost of an order without deduction, in the event of any chargeback by a credit card issuer, regardless of the reason for the chargeback.
The signer agrees not to initiate any credit card chargeback without first contacting BRAUM and working to resolve any claim or issue that may arise.
