The Sonendo team thanks you for agreeing to grant publicity rights to us, based on these terms and conditions:

1. Publicity Rights. I agree that Sonendo has the right to use my photographs, videoclips, statements, and related voice clips, images, likenesses, quotes, testimonials (collectively referred to herein as “Content”). In particular, I hereby grant to Sonendo, its representatives, successors, assigns, agents, and subsidiary companies (“Representatives”) an irrevocable, worldwide, royalty-free, perpetual, license and right to copy, print, display, distribute, present, reproduce, modify, sublicense, and use the Content for: (i) educational purposes, (ii) marketing and training purposes, and/or (iii) business purposes; in various forms, including marketing materials, collateral, newsletters, publication in professional journals, videotape, on television, radio, internet, and/or any other advertising methodologies.
I also agree that the rights include the right to authorize, prohibit and control the reproduction or other exploitation of the Content by any media and means now known or hereafter devised. I agree that the Content may be (a) combined with other images, text, graphics, film, audio and audio-visual works; (b) cropped, altered or modified; and (c) electronically displayed. I assign to Sonendo all right, title and interest in any copyright in the Content or any trademark or tradename directly related to the Content.

2. Consent and Release. I waive the exercise of any "moral rights" and any analogous rights in any jurisdiction of the world. I waive any right to inspect or approve the finished version(s) of any reproduction of the Content. I release Sonendo and its Representatives from any and all claims, demands, damages, and causes of action arising out of or in connection with the use of the Content including claims for invasion of privacy, appropriation of likeness, or defamation. I agree that I have no right to royalties, additional consideration or accounting rights, and that I will make no claim for compensation for any reason to Sonendo.

I hereby hold harmless, release, and forever discharge and release Sonendo and its Representatives from all current or future claims, demands, and causes of action (including all known or unknown claims) including but not limited to claims based on rights of publicity, invasions of privacy, defamation, copyright, moral rights or any other claims which I, or my heirs, representatives, executors, administrators, or any other persons acting on my behalf or on behalf of my estate have or may have.

3. Miscellaneous. Any changes to these terms must be made in writing and signed by both parties to be effective. This Agreement shall be governed by the laws of the State of California and disputes shall be resolved by arbitration pursuant to the rules of the American Arbitration Association.
