            • AGREEMENT

              Once signed, this agreement exists between Warren County Kennel Club of Ohio, Inc (hereinafter "WCKC") and the above described and undersigned company or individual doing business as a Vendor (hereinafter "Vendor"). This contract exists for the dates noted for the WCKC All-Breed Conformation Shows and associated events and specialties (hereinafter "the Show") setup and presentation. All terms are noted herein, and no other warranties or conditions apply outside of the written form of this agreement as agreed and signed by a representative of each party. 1. The show will be held on the grounds of the Roberts Centre, 123 Gano Rd., Wilmington, Ohio, 45177. 2. The setup date and time for the show begins on Friday, March 29th, 2024, at 12:00 p.m. EST. This means: a) The Vendor may not setup prior to this date or time; b) The Vendor is responsible to keep their space clean and keep all areas in and near its booth free from obstruction; c) The Vendor must break down their setup and remove all concessions and property within two hours after the conclusion of final awards on Sunday March 31, 2024; and d) Vendor spaces will be marked and available on March 29th, 2024, at 12:00 p.m. EST. 3. WCKC reserves the right to select the type of merchandise to be sold at the show and to limit the number of vendors with related items. 4. Vendors may not share or sublet their allotted space to another vendor, or other person(s) selling wares at the show. 5. All reservations must be made by application and will not be taken over the phone. 6. Unless specifically agreed with the Vendor Chair, all contracts, forms, and fees will be remitted no later than midnight, March 25th, 2024, or this agreement is null and void. 7. Vendors may not sell food or beverages on the show grounds during the show. 8. Vendors may not advertise, sell, or gift any pet food product other than Royal Canin; and then, only with the expressed permission of WCKC and according to WCKC’s contract with the Roberts Centre. 9. The Vendor accepts the booth space as is and shall leave the space in the same condition as received. If the building, equipment, or facilities are damaged or destroyed in any way by the Vendor or its agents/employees/volunteers the same shall be replaced or repaired by Vendor immediately. 10. Vendor shall run the booth in an orderly and lawful manner, and in compliance with all applicable federal, state and local laws, taxes, rules and ordinances. 11. Vendors traveling with dogs must keep said dogs always secured in a crate at their booth or in Reserved Grooming, at the Vendor’s expense; except when entering/exiting the facility. No retractable leashes are permitted on show site. 12. Remission may be made by check, money order, or by Square (TM): a) If sending a certified check, make it payable to “Warren County Kennel Club” and memo for “Booth Fees”. b) Remission may not be made in cash. 13. The Vendor will adhere to all communicable disease requirements as noted for Warren County, the State of Ohio, and any U.S. laws and ordinances in place during the time frame of the show.
            • Certification

              The Vendor, or Vendor’s legal representative, certifies they have read this agreement in its entirety and hereby certifies and binds to all the terms and limitations herein. The Vendor further agrees they shall be solely responsible for any legal liability arising out of or relating to any products or services sold, offered, or provided by Vendor and/or any and all claims for loss or injury which may be alleged to have been caused directly or indirectly by Vendor. Vendor agrees to indemnify, defend, and hold WCKC, its officers, directors, employees, volunteers, and agents harmless from and against any and all liability, loss, damages, claims, or causes of action, including reasonable legal fees and expenses, arising out of or related to any products/service/damages/claims/causes of action. By completing and signing this agreement the Vendor commits to adhere to the terms and conditions listed above.
