I acknowledge and agree that by signing below, I am affirmatively assenting to the following terms and making the following representations and warranties: 1. I hereby authorize and irrevocably grant to National Healthcare Corporation ("Producer") licensees, successors and assigns, with respect to the photographs or other likenesses of me (the "Materials"), the unrestricted absolute perpetual, fully paid up, royalty-free, transferable worldwide right to: (a) Reproduce, copy, modify, create derivatives in whole or in part, or otherwise use the Material or any part thereof in combination with or as a composite of other matter, including, but not limited to, advertisements, educational materials, books, calendars, websites, newsletters, magazines, compilations, collections, images, photographs, illustrations, animation and graphics, video or audio segments of any nature, in any media or embodiment, now known or hereafter to become known (the "Works"), for any purpose whatsoever; and (b) Use and permit to be used my name, image and/or likeness whether in original or modified form, in connection with the Materials and Works as Producer my choose; and (c) Display, perform, exhibit, distribute, transmit, print, or broadcast the Materials and/or Works by any means now known or hereafter to become known. 2. I hereby waive all rights and release and discharge Producer from, and shall neither sue nor bring any proceeding against Producer, its licensees, successors, or assigns for, any claim, demand or cause of action whether now known or unknown, for defamation, invasion of right of privacy, publicity or personality, copyright, or any similar matter, or based upon or relating to the use and exploitation of the Materials and/or Works. 3. I agree that there shall be no obligation to utilize the authorization granted by me hereunder. The terms of this authorization shall commence on the date hereof and be without limitation.
4.I warrant and represent that I am over the age of eighteen (18) years or represented by a legal guardian and that I am free to enter into this agreement, that I own or have the right to license the rights granted above, that I have full power and authority to enter into this agreement; and that the materials do not violate or infringe the rights of any persons, including without limitation, rights in copyrights, privacy rights, publicity rights, and other proprietary rights.
