The term "PMC" is used herein to indicate any property including but not limited to club amenities and boat docks which are managed by Perrow Management Corp. (PMC) and owned by Mariners Landing Development Company, LLC (MLDC) and/or Mariners Landing Country Club, LLC (MLCC) (or their successors or assigns), or anyone authorized to represent said club amenities or docks, located at Mariners Landing at Smith Mountain Lake in Huddleston, Virginia (the "Lake"). The word "Licensee" is used herein to indicate the watercraft owner. All guests of Licensee must be accompanied by the Licensee at all times.
Licensee agrees to pay the published consideration defined in Exhibit A, as may be amended from time-to-time, and any additional fees that may apply for this watercraft slip rental license. This license includes use of the following facilities at Mariners Landing: the watercraft slip to which the Licensee has been assigned, private boat launch (only for the watercraft for which a slip is licensed), dock parking, dock bathrooms, and dump station.
One key is issued for the padlock which secures the electric switch to the assigned slip. Any replacement key will cost the Licensee $25. If Licensee requests the assigned slip be unlocked by PMC, a service fee may apply.
NOTE: A key will not be issued until the Watercraft Slip Rental License Agreement is completed in its entirety, signed, and on file with PMC. In the event of a lockout; all required documents shall be on file with PMC, watercraft and slip shall comply with all rules and regulations, and licensee shall be current - prior to PMC unlocking the slip and watercraft.
Licensee shall comply with the terms of this License, all federal, state and county codes, and all applicable Mariners Landing rules and regulations, and posted signage (all of which may change from time-to-time) at all times. PMC reserves the right to cancel this license at any time or limit or restrict Licensee’s access to (and/or use of) any of the licensed facilities. Any citation issued to Licensee or Licensee guests on the Lake, or any infraction of these or any of the Mariners Landing rules and regulations, at the sole discretion of PMC, may cancel this license. In such circumstances, a prorated amount of what was paid for the license may be refunded. This refund will be "short-rated" depending upon the infractions that caused written notice of cancellation to be given to the Licensee. If there is damage or abuse to the facilities, employees, other Licensees or their property, guests, etc., and the Licensee is responsible, in the judgment of PMC, for monetary repair, the prorated amount will be withheld to the extent of damages. Any amount owed beyond the prorated amount will, additionally, be the Licensee's responsibility and Licensee shall pay the same upon demand by PMC.
Please note (in addition to any other stated terms):
- Unsafe activity, as determined by PMC, in its sole discretion is NOT allowed.
- Consumption of alcoholic beverages is prohibited unless in designated areas as permitted by ABC.
- Glass containers are NOT allowed.
- Pets must be leashed or confined at all times.
- NO swimming or fishing allowed in the watercraft slip areas.
- NO outdoor fires are allowed except in designated areas. Beach fires are not allowed.
- Unlicensed recreational vehicles (such as ATVs) are not allowed without prior written approval from PMC.
- Advertising, For Sale signs, soliciting, or commercial ventures of any kind shall not be allowed without prior written approval from PMC.
- The license fee includes moderate use of non-potable water and non-continuous use of electricity (unless otherwise agreed).
- Staying on your watercraft overnight is not allowed and only permissible with prior written consent from PMC.
- No overnight parking in day docks without an overnight tag or prior written permission.
- Fueling of watercraft and fuel containers are not permitted at the docks.
The Licensee agrees to conduct his activities at all times when on PMC managed property, Mariners Landing common areas, or the lake waters adjoining, so as to create no annoyance, hazard, or nuisance to the property or to others. This involves number of guests; attire; conduct; noise level; use of radios, TVs, or other sound equipment; observance of good housekeeping and sanitation practices (no dumping of garbage, sewage, soaps, or other cleaners into or otherwise polluting the lake); and the use of garbage and trash receptacles, as deemed appropriate by PMC.
No contractors, service organizations, or individuals shall undertake any work on watercraft on the premises without the prior written consent of PMC, and a certificate of insurance from said contractor, service organizations, or individual is on file with PMC. Welding, burning, sanding, spray-painting or any other activity that may cause damage to the facilities or other watercraft or property are specifically prohibited. Licensee acknowledges that PMC, at its sole discretion, may cause repairs or maintenance to the watercraft slips and moorings and that Licensee's watercraft may have to be temporarily removed without notice. The same may apply in the event of an emergency.
When a watercraft enters the dock area, it shall be berthed only where permitted and maneuvered as directed. The watercraft shall be operated at no wake speed within 200' of the dock areas. Vehicle parking shall be in designated areas only.
Licensee's watercraft may be entered by PMC or its contractors or agents for emergency purposes or in connection with periodic inspections. PMC, MLDC, MLCC and their employees, agents and assigns are in no way responsible for the Licensee's watercraft. PMC, MLDC, MLCC and their employees, agents and assigns assumes no responsibility for protection of and/or damages to the Licensee's watercraft, including tending mooring lines, the berthing height of the lift or moving watercraft in or from the berths to which they are assigned. However, if PMC, at its discretion and without notice, does so to protect or preserve the watercraft or the facility, the Licensee may be required to reimburse PMC for its costs with a minimum fee of $25 in each such instance.
In the event Licensee will not be on property for an extended period of time it is the Licensee’s responsibility to secure Licensee’s watercraft. Including, but not limited to, lowering of Bimini tops, securing of mooring lines, and berthing height.
PMC, MLDC, MLCC and its employees, agents and assigns shall assume no responsibility for the lake levels, which may affect Licensee's ability to use the assigned slip. AEP states the water level may rise above the 800' contour or fall as low as 787'. PMC makes no guarantee about slip access from the water and does not refund any portion of slip rental fees for non-use due to water levels.
Licensee shall immediately notify PMC of the necessity for repair of any part of the facilities or of any potentially unsafe conditions. Licensee shall not alter or attach anything to piers, slips, fixtures, or other facilities without prior written approval from PMC. Licensee or Licensee's guests shall not place supplies, materials, accessories, or debris on walkways and shall not construct or install thereon any lockers, chests, cabinets, or similar structures, or store personal property upon walkways, in rafters, pylons, or piers. Licensee shall be responsible for damages they or their guests may cause to the facilities and structures, or the property of others.
To be admitted and to continue as a Licensee of the watercraft slips, a watercraft must be: (a) Legally registered, identified and equipped as prescribed by law, (b) Insured. It is the responsibility of the Licensee to furnish a current certificate of insurance to be on file with PMC. After the initial certificate of insurance is provided by the Licensee, PMC has no further obligation to confirm the Licensee's insurance. Licensee understands that Licensee is personally liable for any damage not covered by Licensee's insurance. If PMC ascertains that Licensee has no insurance, access to the slip shall be denied with no refund, (c) Subject to periodic inspection by PMC or its agents or Contractors to determine the maintenance of proper safety conditions. This inspection implies no obligation by PMC or its agent as to the correctness of the watercraft's maintenance or safety conditions; (d) In addition to the hold harmless below, Licensee will waive the subrogation rights of its insurance company for any liability or damage to the watercraft.
PMC reserves the right, in its sole discretion, to assign Licensee a slip other than that of its designated one. Upon receipt of such notice, Licensee may cancel this License whereupon PMC shall refund license fees paid pursuant to this License on a prorated basis.
PMC reserves the right to alter or amend, without notice, the terms, and conditions of this License. Failure of PMC to enforce any of the terms and conditions herein shall not be considered a waiver of such term or condition. The Licensee is responsible for compliance with any terms or conditions of this License.
Licensee agrees to display Mariners Landing identification on his vehicle(s), as required by PMC, and to provide proper identification for Licensee and guests to PMC upon request.
This License shall not be canceled by Licensee until a suitable replacement Licensee, obtained by PMC, in which case a prorated reimbursement for the unused portion of the term shall be made to the original Licensee, less any administrative fees. No subletting or transfer of watercrafts between slips will be allowed by the Licensee, except with prior wrtten consent from PMC, no watercraft except the one represented in this License may occupy the assigned slip. Upon termination of this License, for any cause, Licensee will immediately remove all property owned by the Licensee or his/her guests or invitees. If such property is not so removed, PMC shall have the right to have such property removed and stored and/or disposed of at the sole risk and expense of the Licensee.
Mariners Landing Property Owners that hold a Watercraft Slip License are expected to keep their Association accounts current, both Mariners Landing Community Association, Inc. (MLCA) and its applicable Section Association. PMC reserves the right at its sole discretion to cancel this license should a License become seriously delinquent in any other account specific to Mariners Landing and its Associations.
This License is subject to automatic renewal on March 1 of each year upon payment of the annual license fee in a timely manner, unless written notice is given to the contrary by the Licensee at least 30 days prior to the expiration of the current term. Holdovers shall be invoiced at 200% of the monthly rate. Annual Payments are due on March 1 and Monthly Payments are due starting on March 1 and by the first of each following month through February. Payments not received by the fifth day of the month due are subject to a Late Fee of $25 and interest shall accrue at 18% per annum on any unpaid balance. Late Fees shall apply to Licensees paying both annually and monthly. Following two or more late payments, PMC may require a prorated annual payment in full to avoid cancellation of the License. PMC reserves the right, at its sole discretion, to require annual payment only for certain Licensee’s and/or specific boat slips.
PMC, MLDC, MLCC and their employees, agents and assigns shall assume no responsibility for supervision of any activities of its Licensees, their guests, or other users or any other person using the facilities. Supervision of children at all times is the sole responsibility of the Licensee.
PMC, MLDC, MLCC and their employees, agents and assigns shall not be liable to any Licensee or guest for personal injury or property damage from theft, vandalism, fire, natural elements, or other causes sustained as a result of the operation of Licensee's watercraft, or the use of the facilities.
l, the undersigned, understand that there are risks inherent in water-based activities. Activities in and around water can result in injury or death. These accidents can involve falling injuries from slippery surfaces, diving injuries, accidental drowning, or other misfortunes. Docks also present the opportunity for accidental injury or death. These risks include but are not limited to falling on the docks or falling off the docks, falling into the water with the possibility of drowning, being crushed between the watercraft and the dock and having watercraft, equipment, and/or other objects fall onto me or my family or guests.
Likewise, I understand that there are risks inherent in land-based activities such as walking or jogging on roadways or using restroom facilities. Potential accidents include, but are not limited to tripping, slipping, falling, being pinched, or hit by moving equipment or vehicles.
I hereby freely and expressly assume and accept responsibility for any and all risks of injury or death for me and my family and guests while participating in water-based or land-based activities at or near Mariners Landing at Smith Mountain Lake.
I hereby warrant and represent that I have no physical or mental disability, impairment or ailment preventing me from engaging in active or passive exercise or that will be detrimental to my health, safety, or physical condition or that of any family member or guest associated with me.
l, the undersigned, agree to hold harmless and indemnify Perrow Management Corp, Mariners Landing Development Company, LLC, Mariners Landing Country Club, LLC, and/or any officers, directors, employees or agents thereof from any claims or other loss related but not limited to any injury or death and any court costs and reasonable attorney's fees that may result from or in any way be related to any use of Perrow Management Corp, Mariners Landing Development Company, LLC, and/or Mariners Landing Country Club, LLC facilities by me, family members, or my guests, pursuant to this License.
- As Licensee, I shall be responsible for informing my family members and guests of the responsibilities noted in this License.
- As Licensee, I agree to all the Terms and Conditions of this License.
Licensee acknowledges that ONLY the watercraft identified in this License may occupy the assigned berthing place. Licensee also acknowledges that PMC has described, prior to contract execution, the maximum watercraft sizes allowed in its standard slips: beam 8 feet, length 24 feet max, weight up to 5,000 pounds, depending on watercraft weight distribution. Licensee agrees that the watercraft identified in this License satisfies these requirements and that its assigned berthing place is adequate for the safe mooring of said watercraft.
Applicable Law; Venue; Waiver of Jury Trial. This Agreement shall be interpreted and enforced in accordance with the laws of the Commonwealth of Virginia, without regard to any conflicts of law provisions or principles thereof to the contrary. It is also agreed that this License is performable, and venue shall be in Bedford County, Virginia and Licensee shall be obligated to pay all reasonable legal fees, incurred by PMC or any other party to enforce this License. All notices required by this License and Use Agreement, or the Law shall be to the addresses on file. Licensee agrees to notify PMC within ten (10) days of any change in any of the information required by this License.
Licensor and Licensee agree that this Agreement may be executed by facsimile, electronic, and PDF signature pages which shall have the same force and effect as original executed signature pages.
Licensee acknowledges that ONLY the watercraft identified in this License may occupy its assigned berthing place. Licensee also acknowledges that PMC has described, prior to contract execution, the maximum watercraft sizes allowed in its standard boat slips: beam 8 ½ feet, length 24 feet max, weight up to 5,000 pounds.. Licensee agrees that the watercraft identified in this License satisfies these requirements and that the assigned berthing place is adequate for the safe mooring of said watercraft.
This watercraft does not have marine sanitation equipment. If so, Licensee warrants that the mechanical ability to dump sewage in Smith Mountain Lake has been disabled or sealed by a qualified party.
I authorize my insurance agent to release proof of insurance directly to PMC upon PMC’s request and have additionally asked that PMC and Mariners Landing Development Company, LLC be shown as “additional insured” on the policy.
