This agreement is between: Katherine Flahive (Coach) of Integrated Results Coaching, LLC (Company) and (Client) whereby the Coach agrees to provide coaching services.

Description:
Coaching is a partnership (an alliance, not a legal business partnership) between the Coach and the Client in a thought-provoking and creative process that inspires the Client to maximize personal and professional potential. It is designed to facilitate the creation and/or development of personal or professional goals, and to develop and carry out a strategy/plan for achieving those goals.

It is assumed that the Client is the expert on his or her own personal and professional life. The Client will gain improved awareness of this expertise and of key behaviors impacting personal effectiveness through engagement in the coaching process.

Coach-Client Relationship:
Coach agrees to maintain the ethics and standards of behavior set by the International Coach Federation (ICF).

Client agrees that he/she is fully responsible for his or her physical, mental, and emotional wellbeing, including his or her choices, decisions, actions and results. As such, the Client agrees that the Coach is not and will not be liable for any actions or inaction, or for any direct or indirect result of any services provided by the Coach.

Client understands that coaching does not involve the diagnosis or treatment of mental disorders nor is it a substitute for professional advice by legal, medical, financial, business, spiritual, or other qualified professionals, and will seek independent professional guidance for such matters.

Coaching is not a substitute for any form of medically prescribed or specified services (including psychotherapy, counseling, psychology services, therapy or analysis), nor does it prevent, cure, or treat any mental disorder or medical disease. If Client is currently under the care of a mental health professional, Coach recommends that Client inform the mental health care provider of this coaching partnership.

Client is aware that he/she can choose to discontinue coaching at any time. Accordingly, Coach will be indemnified and held harmless from any claims, demands, causes of action or litigation including but not limited to all costs of reasonable attorney's fees, which may arise or be incurred by reason of the services performed.

Client agrees to communicate honestly, be open to feedback and support, and create the time and energy to participate fully in the program.

Services & Duration:
The parties agree to engage in a 3-month one-to-one coaching package. The parties shall meet virtually via Zoom or by phone. The Coach will be available to Client via e-mail and voicemail in between scheduled meetings during business hours as time permits.

The Coach may also be available for additional support per Client's request, time permitting. on anhourly basis rate of $250/hour (engaging in other client related services outside of coaching hours).

Schedule & Fees:
This coaching agreement is valid as of the date signed below. The fee for this Coaching Package is $1400. The fee is based on 8 coaching sessions over 3 months. Up to 3 coaching sessions may be scheduled per month, at a frequency of no more than once per week. The sessions shall be up to 50 minutes in length. The Client is responsible for scheduling all sessions with the Coach. Any sessions that are not utilized during the 3 month period are forfeited by the Client. Client understands that fees are payable in advance of services.

Refund Policy:
There are no refunds for the term of this agreement. Commitment to the full investment of the Client's coaching package is required.

Procedure:
Virtula sessions via Zoom will be scheduled at least 5 days prior to the session date. If meeting by phone, the Client will initiate all scheduled calls and will call the Coach's designated phone number at 303-601-6222 at the appointed time. The sessions shall be up to 50 minutes in length.

The time of the coaching meetings will be determined by Coach and Client based on a mutually agreed upon time using an online scheduling system.

If the Client is 15 or more minutes late for the appointed start time, the scheduled session will be forfeited by the Client.

Confidentiality:
This coaching relationship, as well as all information that the Client shares with the Coach as part of this relationship, is bound to confidentiality by the ICF Code of Ethics, but is not considered a legally confidential relationship. The Coach agrees not to disclose any information pertaining to the Client without the Client's written consent. The Coach will not disclose the Client's name as a reference without the Client's consent. Confidential information does not include information that: (a) was in the Coach's possession prior to its being furnished by the Client; (b) is generally known to the public or in the Client's industry; (c) is obtained by the Coach from a third party, without breach of any obligation to the Client; (d) is independently developed by the Coach without use of or reference to the Client's confidential information; or (e) that the Coach is required by law to disclose. In the event Coach receives information indicating imminent harm to Client or another entity, Coach may report to appropriate legal agencies at their discretion.

Cancellation and Lateness Policy:

Client agrees that it is the Client's responsibility to notify the Coach at least 24 hours in advance of the scheduled appointment if the client cannot make the session. Cancelling within 24 hours of the appointment time and/or failure to attend will result in forfeiture of the session. If the Client is 15 or more minutes late for the appointed start time, the scheduled time will be forfeited by the Client.

Termination:
Either the Client or the Coach may terminate this agreement at any time with 2 weeks written notice.

Limited Liability:
Except as expressly provided in this agreement, the Coach makes no guarantees or warranties, express or implied. In no event will the Coach be liable to the Client for consequential or special damages. Notwithstanding any damages that the Client may incur, the Coach's entire liability under this agreement, and the Client's exclusive remedy, will be limited to the amount paid by the Client to the Coach under this agreement for all services rendered up until the termination date.

By signing this agreement, you agree to the terms and actions as stated. Please retain one copy of this Client Agreement for your records.
