**LAW-BINDING CONTRACT AGREEMENT**
**This Agreement is entered by and between Innovative Visions Agency ("Agency") and [Recruiter’s Full Name] ("Recruiter").**
**1. PURPOSE OF AGREEMENT**
This Agreement establishes the terms and conditions governing the Recruiter's role within Innovative Visions Agency, including expectations, responsibilities, compensation, confidentiality, and incentives.

**2. ELIGIBILITY**
1. **Recruiter Position**: This position is available to anyone **18 years of age or older**.
2. Recruiters must comply with all legal, ethical, and professional standards outlined by the Agency.

**3. RECRUITER RESPONSIBILITIES**
The Recruiter agrees to:
1. Ensure potential hosts complete a **video audition** and submit it to the Agency for approval. All auditions must meet the Agency’s standards.
2. **Refrain from fraudulent activity**:
- Recruiters must not use the Agency to conduct fraudulent business.
- Recruiters are prohibited from having more than one recruiter account at any time.
- Any fraudulent activity will result in forfeiture of this contract, immediate termination, and possible monetary penalties.
3. Recruit a **minimum of five (5)** people per month to maintain active Recruiter status.
4. Ensure that all **host auditions** are approved for **one shield in BIGO diamonds** or cash payment, as follows:
- Every **two (2) passed auditions** earns **1,000 diamonds** (cash value of $20.00).
- Cash payments will only be made if pre-approved by the Agency.
5. Maintain professionalism and **conduct good business at all times**, including:
- Not running off with anyone’s money during trades or transactions.
- Agreeing to allow the Agency to contact your agency owner in cases of disputes or misconduct.
- Giving full consent to have any owed amount deducted from your pay if found in breach of this provision.
6. Participate in introductions to **agency alliances, family members, and other hosts** as directed by Innovative Visions Agency to facilitate good business practices, networking, and trades when necessary.

**4. PAYMENT TERMS AND INCENTIVES**
1. Payments to Recruiters will be made **in the following month** on payday once hosts pass auditions.
2. If a host joins the Agency toward the end of the month and cannot meet BIGO’s **30-hour requirement**, their first official month will begin the following month, and payments will reflect this timeline.
3. Payments will be issued in diamonds unless alternate arrangements are approved by the Agency.
4. **Incentives** will be given as additional rewards:
- Incentives will normally be paid out in the following month on payday.
- Certain incentives may be paid out within the same month, depending on the incentive program at the time.
- Any changes to the pay amounts, including pay increases or bonuses, are subject to change at the Agency’s discretion. Recruiters will be notified of such changes in a timely manner.
5. The Agency reserves the right to update or change incentive structures as needed to meet business needs and will notify Recruiters accordingly.

**5. CONFIDENTIALITY**
1. Recruiters must maintain the confidentiality of all information related to Innovative Visions Agency, including but not limited to:
- Recruitment materials, documents, and resources.
- Business strategies and host requirements.
- Any content created by Innovative Visions Agency, including but not limited to materials shared via Discord, WhatsApp chats, Zoom sessions, emails, or training resources.
2. Sharing confidential information with third parties, other agencies, or unauthorized individuals will result in immediate termination of this Agreement, and all agreements will be null and void.

**6. NON-COMPETE AND NON-DISCLOSURE**
1. Recruiters are prohibited from sharing Agency-related documents or using Agency resources for competing businesses.
2. Any violations of this clause may result in legal action and termination of the Agreement.

**7. CHANGES TO HOST REQUIREMENTS**
1. Host recruitment requirements are subject to change based on Agency needs.
2. Recruiters will be notified of any changes in a timely manner.

**8. TERMINATION**
1. **Voluntary Termination**: Either party may terminate this Agreement with at least seven (7) days’ written notice.
2. **Involuntary Termination**: The Agency reserves the right to terminate this Agreement immediately for any breach of terms, including but not limited to:
- Failure to meet recruitment targets.
- Fraudulent or unprofessional behavior.
- Breach of confidentiality or non-compete agreements.

**9. DISPUTE RESOLUTION**
1. Any disputes arising under this Agreement shall first be resolved through mediation.
2. If mediation fails, disputes shall be resolved in a court of law within the jurisdiction of Florida.
