PERMITTED USE:
The operation of an independent retail booth selling/displaying ONLY the items or providing ONLY the services as described on page 1 of this document. VENDOR SHALL NOT HAVE AN EXCLUSIVE on this product absent a separate agreement for such with SAJBF. VENDOR shall operate only under the BUSINESS NAME described on page 1 and exhibition is restricted to EMPLOYEE or REPRESENTATIVES of this named company. VENDOR 'S product booth set-up and display are subject, at all times, to SAJBF'S APPROVAL and to all other terms of this agreement. ALL exhibits must be confined to the rented space absent the express written permission of SAJBF. FAILURE TO COMPLY with any of SAJBF'S guidelines or conditions either contained herein or later provided to VENDOR either orally or in writing, shall be grounds for immediate TERMINATION of this agreement with NO REFUND to VENDOR. VENDOR is responsible for safety and legality of its exhibits and COMPLIES WITH ALL APPLICABLE LAWS & REGULATIONS & ASSUMES FULL RESPONSIBILITY IF ANY LAWS ARE BROKEN. NO INTOXICATING LIQUOR of any kind shall be displayed, sold or consumed by VENDOR or VENDOR 'S employees within the leased space. SODA/WATER BEVERAGES MAY NOT BE SOLD. All obligations shall survive the expiration term of this contract.
Payment
PAYMENT: FULL PAYMENT due upon signing. Acceptable methods include business check, money order, and cashier’s check. Returned checks are subjected to a $30.00 service charge.
Setup & Removal
SET-UP & REMOVAL: Set up time for SAJBF vendors and exhibitors will be announced as the event draws closer. Please be advised that setup times and dates are subject to change at the discretion of the SAJBF. NO SETUP will be allowed beyond 2:00 pm on the day of the event. NO EXCEPTIONS. The event begins promptly at 3:00 pm, June 17, 2023. One hour prior to opening, all booths must be fully operational, and all vehicles removed from loading zones and relocated to designated parking areas. VENDORS FURTHER AGREE that dismantling will not begin until 9:00 pm and must be completed by 11:00 pm as per city regulations. VENDOR shall surrender premises in broom-clean condition. ANY EQUIPMENT, PRODUCT OR PROPERTY LEFT IN A VENDOR'S BOOTH AFTER 11:00 PM ON June 15, 2024, SHALL BE DEEMED ABANDONED AND SHALL BECOME THE PROPERTY OF THE SAN ANTONIO JUNETEENTH BLOCK PARTY & FAIR.
Permits & Insurance
PERMITS & INSURANCE: ALL VENDORS MUST HAVE A DBA or LLC IN GOOD STANDING. It is recommended that VENDORS carry property damage insurance for protection from fire, theft loss or damage to inventory fixtures, etc. resulting from any cause whatsoever. VENDORS are further expected to comply with TX State statutes regarding employer's liability and workers’ compensation insurance where applicable. FOOD SELLERS are required to obtain a HEALTH PERMIT from the Bexar County Health Department located at 622 DOLOROSA SAN ANTONIO, TEXAS 210.335.0300 . All VENDORS are required to obtain the necessary insurance and/or licensing PRIOR TO OPENING. FAILURE TO COMPLY will PROHIBIT a VENDOR from opening and the VENDOR WILL NOT be entitled to any refund, offset or compensation whatsoever.
Subletting & Assignment
SUBLETTING & ASSIGNMENT: VENDOR SHALL NOT assign, sublease, apportion, mortgage, pledge or in any way transfer in whole or in part this agreement or any part of this space hereunder without the express written permission of SAJBF.
Restrictions
RESTRICTIONS: NO VENDOR shall display, sell, or wear any items bearing offensive words or graphics, nor display such in their behavior during festival hours. VENDOR MAY NOT sell or display any items which imply or promote violent or criminal acts or which incorporate materials derived from killing an endangered species. SAJBF HAS THE RIGHT TO DECLINE, PROHIBIT OR EXPEL ANY EXHIBITOR OR EXHIBIT WHICH IN ITS SOLE JUDGMENT IS OUT OF KEEPING WITH THE CHARACTER OF THE FAIR. IN SUCH CASE THE VENDOR AGREEMENT WOULD BE CANCELED AND THE OFFENDING VENDOR(S) WOULD NOT BE ENTITLED TO ANY REFUND WHATSOEVER. All booths must be manned at all times. UNMANNED BOOTHS REFLECT NEGATIVELY on the fair.
Liability
LIABILITY: VENDOR agrees to INDEMNIFY AND HOLD HARMLESS THE SAN ANTONIO JUNETEENTH BLOCK PARTY & FAIR and the DREAM BIG SCHOLARSHIP FUND, any co-VENDORs, SAJBF, or any of their representatives or employees for any personal injury or property damages, liabilities, losses, attorney's fees or costs resulting from any cause whatsoever and regardless of fault including any claims resulting from unauthorized or criminal acts of any third party.
Right to Change
SAJBF RESERVES THE ABSOLUTE RIGHT TO MAKE ANY CHANGES necessary in its sole judgment for the benefit of the event including changes in size or duration of the fair. SAJBF reserves the right to settle any dispute between VENDORS, to interpret the terms of this agreement and to recover reasonable ATTORNEY’S FEES AND DREAM BIG SCHOLARSHIP FUND FEES in connection with any dispute arising under this contract.
Electronic Acknowledgement
VENDOR APPLICANT ACKNOWLEDGES having read and understood the terms and conditions of this agreement as set forth in Steps 1 - 4 of this document, and AGREES that if accepted as a VENDOR at this event, to abide by all terms, conditions and rules as set forth in this agreement, as well as any new or additional rules which may be modified or later required by the SAN ANTONIO JUNETEENTH BLOCK PARTY & FAIR or any of their designated representatives. This contract is NON-CANCELABLE, and VENDOR FEES are NON-REFUNDABLE upon signing. Applicant is of the AGE OF MAJORITY and has the authority to execute this contract
I have read and agree to abide by all rules and requirements set forth by the SA Juneteenth Block Party & Fair and City of San Antonio. I understand the importance of noting required space and listing the food items which will be sold from my truck. I further certify that I will have all proper insurance, licensing and permits necessary in effect for June 15, 2024.
