WORKSHOP AGREEMENT
This Agreement is between OLIVIA HATFIELD PHOTOGRAPHY (d/b/a OLIVIA HATFIELD PHOTOGRAPHY, LLC) (hereafter “Photographer”), and (hereafter “Workshop Attendee”).
1. Description of Workshop
The OLIVIA HATFIELD PHOTOGRAPHY Boudoir Workshop: Warsaw Kentucky will take place between on April 20, 2023 at The Presley House. The OLIVIA HATFIELD PHOTOGRAPHY Workshop will include 4 stations lasting 30 minutes each, with one hour of teaching from Olivia Hatfield. The Workshop Attendee agrees that they are participating in a group workshop; therefore they agree to have a cooperative and positive attitude while participating in the styled shoots and group sessions.
2. Fees
The Early Bird Rate for the OLIVIA HATFIELD PHOTOGRAPHY Workshop:is $500 USD) A 50%, retainer secures your spot at the workshop. The final payment will be due 30 days prior to the workshop on March 20, 2023. This retainer will reserve your spot at the workshop; and we will block off other Attendees from joining once the number of Attendees is full. For this reason, the Reservation Retainer of 50% is non-refundable. However, the retainer is transferrable to a new Attendee should the Workshop Attendee cancel on attending the workshop. OLIVIA HATFIELD PHOTOGRAPHY LLC keeps a waitlist of potential Workshop Attendees once the Workshop has been filled, and will make every reasonable effort to assist the Workshop Attendee in finding a replacement Attendee. The Retainer is to be paid at the time of the signing this Workshop Agreement and will be applied toward the final Workshop Balance.
The Workshop Attendee understands and agrees that the amounts due are to be paid on time. If the Workshop Agreement is terminated due to the Attendee not giving OLIVIA HATFIELD PHOTOGRAPHY LLC proper notice of failure to attend (30 days before the Workshop); all payments received prior to the termination are to be retained in full by OLIVIA HATFIELD PHOTOGRAPHY LLC and no refunds may be issued.
3. Image Usage from Workshop
The OLIVIA HATFIELD PHOTOGRAPHY Workshop is designed to provide a beautiful portfolio for the Workshop Attendees. The Workshop Attendees are welcome to use the images they take at the Workshop for their own social media, blog and website use as long as proper credit is given to the workshop team. This credit shall be provided to the Workshop Attendees before the shoots commence; and we ask that Attendees copy / paste the exact credit to the vendor team. Attendees must include credit to Workshop: @oliviahatfieldphotography when sharing on Instagram; as will be outlined in the vendor list provided. Workshop Attendees are welcome to submit their images to publications, while clearly listing the vendor team and with Workshop credit to @oliviahatfieldphotography.
4. Honoring Commitment
Due to the limited number of spots available at the Workshop; we ask for you to honor your commitment. While we understand life happens, and we do our best to assist you with transferring your ticket to another Attendee, it is much easier to assist with this if OLIVIA HATFIELD PHOTOGRAPHY is notified more than 30 days prior to the Workshop.
5. Indemnification
4.1. OLIVIA HATFIELD PHOTOGRAPHY and its team members may have cords, projectors, laptops, photography equipment, setup items and other gear at at the Workshop location. The Workshop Attendee will hold OLIVIA HATFIELD PHOTOGRAPHY harmless for any damage, personal injury, or loss caused by tripping over or otherwise being injured from being onsite at the Workshop location.
4.2. Independent Contractor understands and agrees that OLIVIA HATFIELD PHOTOGRAPHY LLC is not liable for loss or damage of Workshop Attendee’s equipment due to them traveling to join the Workshop.
6. Force Majeure and COVID-19
If the Workshop is cancelled or postponed due to COVID-19 pandemic-related travel restrictions, OLIVIA HATFIELD PHOTOGRAPHY agrees to promptly inform the Workshop Attendees of any changes to the dates, location, or information regarding the Workshop. All payments will be rolled over into a new date and/or location. If OLIVIA HATFIELD PHOTOGRAPHY LLC or the Workshop Attendee cannot join the Workshop by reason of earthquake, fire, flood, pandemic or other casualty or due to strikes, riot, storms, explosions, acts of God, death of him/herself or a family member, war, terrorism, or a similar occurrence or condition beyond the reasonable control of the parties, the party so affected shall, upon giving prompt notice to the other party, be excused from such performance, and any failure or delay resulting therefrom shall not be considered a breach of this Agreement.
7. Confidentiality
The independent contractor understands that all materials, price lists, contracts, financial documents, agreements, and other information or documents that are given to him/herself in the Workshop are shared in person as a symbol of trust, openness and honesty by OLIVIA HATFIELD PHOTOGRAPHY LLC and the Workshop team. The Workshop Attendee agrees not to reveal this sensitive information to anyone not in the Workshop, nor to use this information to the detriment of the company, including to circumvent or to undercut sales, to replicate OLIVIA HATFIELD PHOTOGRAPHY LLC's pricing guides, or to replicate and resell workshop content and slides.
8. Meals
The Workshop will include a small lunch. Workshop Attendees joining with special dietary restrictions are more than welcome to share those needs with OLIVIA HATFIELD PHOTOGRAPHY before the workshop takes place, so we can accommodate your needs. Workshop Attendee agrees to send any dietary restrictions more than 30 days prior to the Workshop.
9. Cancellation
In the event that, due to an unforeseen event or tragedy, the Workshop is cancelled or needs to be postponed, OLIVIA HATFIELD PHOTOGRAPHY LLC will provide notice as soon as possible to the Workshop Attendee. If OLIVIA HATFIELD PHOTOGRAPHY LLC cancels the workshop for a personal reason, the Workshop Attendee will be refunded in full.
10. Non-Disparagement
OLIVIA HATFIELD PHOTOGRAPHY LLC and the Workshop Attendee agree that, at all times during this Agreement, they shall use reasonable and good faith efforts to ensure that neither party engages in any vilification of the other, and shall refrain from making any false, negative, critical or disparaging statements, implied or expressed, concerning the other; whether written or spoken. The parties further agree to do nothing that would damage the others business reputation or good will; provided, however, that nothing in this Agreement shall prohibit either party’s disclosure of information which is required to be disclosed in compliance with applicable laws or regulations or by order of a court or other regulatory body of competent jurisdiction.
11. Entire Agreement
This is a binding Agreement that incorporates the entire understanding of the parties, supersedes any other written or oral agreements between OLIVIA HATFIELD PHOTOGRAPHY LLC and the Workshop Attendee, and any modifications must be in writing, signed by both parties, and attached to the original agreement.
12. Venue and Jurisdiction
The laws of the State of Kentucky shall govern this contract. Workshop Attendee assumes responsibility for all collection costs and legal fees incurred by Attendee should enforcement of this Agreement become necessary.
13. Severability
In the event that any part of this Agreement is found to be invalid or unenforceable, the remainder of this Agreement shall remain valid and enforceable. Any failure by one or both parties to enforce a provision of this Agreement shall not constitute a waiver of any other portion or provision of this agreement.
14. Release of Images
All attendess agree to release their photos to OLIVIA HATFIELD PHOTOGRAPHY to release the photos to the workshop models to allow them to use for their potfolio.
15. Signature
I have read read, understand, and agree to the terms and conditions of this Agreement.
