Non-Disclosure Agreement (NDA) for LJ Productions (also known as LJ Picture)

This Non-Disclosure Agreement ("Agreement") is made and entered into as of [Today], by and between LJ Productions (hereinafter referred to as "Disclosing Party") and [Actor's Name] (hereinafter referred to as "Receiving Party"). The Disclosing Party and the Receiving Party may be collectively referred to as the "Parties."

1. Purpose and Scope of Agreement: The Parties acknowledge that during the course of their professional relationship, the Receiving Party may have access to and/or become aware of confidential and proprietary information owned or controlled by the Disclosing Party. This information may include, but is not limited to, trade secrets, financial data, scripts, storylines, film concepts, business strategies, marketing plans, and any other information not publicly disclosed by the Disclosing Party (hereinafter collectively referred to as "Confidential Information").

2. Obligations of the Receiving Party: a. The Receiving Party agrees to treat all Confidential Information received from the Disclosing Party as strictly confidential. b. The Receiving Party shall not, under any circumstances, disclose, publish, or reveal any Confidential Information to any third party without the prior written consent of the Disclosing Party. c. The Receiving Party shall use the Confidential Information solely for the purpose of evaluating potential collaboration with LJ Productions and shall not use it for any other purpose or for personal gain. d. The Receiving Party shall take all reasonable measures to maintain the confidentiality and prevent unauthorized use or disclosure of the Confidential Information.

3. Exceptions: The obligations set forth in this Agreement shall not apply to any information that: a. Was already known to the Receiving Party prior to its disclosure by the Disclosing Party. b. Becomes publicly available or enters the public domain through no fault of the Receiving Party. c. Is independently developed by the Receiving Party without reference to the Confidential Information received from the Disclosing Party. d. Is required to be disclosed by law, regulation, or court order, provided that the Receiving Party gives prompt notice to the Disclosing Party to enable them to seek a protective order or other appropriate remedy.

4. Return or Destruction of Confidential Information: Upon the request of the Disclosing Party or termination of discussions between the Parties, the Receiving Party shall promptly return or, at the Disclosing Party's option, destroy all copies of the Confidential Information in their possession or control.

5. Non-Solicitation: During the term of this Agreement and for a period of [5 years] following the termination of discussions between the Parties, the Receiving Party shall not attempt to hire or solicit for employment or engagement any personnel or actors currently working with or engaged by LJ Productions, without the prior written consent of LJ Productions.

6. Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of [DELAWARE/USA], without regard to its conflict of laws principles. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in Wilmington, Delaware.

7. Entire Agreement: This Agreement constitutes the entire understanding between the Parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, whether oral or written, between the Parties.

Non-Union and Non-Paid Status: Please be aware that LJ Productions operates as a non-union production company, and at this time, our projects are non-paid. We are a growing independent production house focused on creating compelling and innovative films, but we do not currently have the resources to compensate actors for their participation. We believe in providing valuable on-set experience and a platform for actors to showcase their talent and creativity.

Commitment to Collaboration: Although our projects are non-paid, we emphasize the collaborative nature of our work. We strive to maintain a professional, respectful, and supportive environment for all team members, including actors. As part of our productions, you will have the opportunity to work alongside a passionate team, gain valuable experience, and contribute to the realization of artistic visions.

Recognition and Credits: We value the contribution of every individual who participates in our projects. All actors will be credited for their roles and given recognition for their valuable involvement in our films. We are committed to acknowledging the hard work and dedication of our team members.

Opportunities for Growth: While we cannot provide monetary compensation, we believe that the experiences gained and the connections made within the film industry can be invaluable for aspiring actors. Working with us can open doors to future opportunities and provide a strong foundation for your acting career.

Voluntary Participation: It is essential for you to understand that your involvement with LJ Productions is voluntary. As a non-union and non-paid actor, you are not obliged to participate in any of our projects. We encourage you to carefully consider your personal circumstances, goals, and interests before making a decision to collaborate with us.

Open Communication: We prioritize open and honest communication with our actors. If you have any questions, concerns, or suggestions, please feel free to reach out to us. We want to ensure that all individuals working with us have a positive and fulfilling experience.

By continuing with the audition and casting process for any of our projects, you acknowledge that you have read and understood this disclosure regarding the non-union and non-paid status of LJ Productions. You also agree that you are voluntarily choosing to participate in our projects based on your passion for filmmaking and the opportunities it presents.

DISCLAIMER: By agreeing to participate in any film or video production produced by Lj Production DBA Lj Picture, you acknowledge and agree that Lj Production DBA Lj Picture may use your likeness, including any photographs or videos of you, in any and all media, including but not limited to television, film, internet, and print advertising, for any purpose related to the production, promotion, or marketing of the film or video production, without further compensation or notice.You hereby release and discharge Lj Production DBA Lj Picture, its agents, employees, and all persons acting under its permission or authority, from any and all claims, demands, or causes of action that you may have against them arising out of the use of your likeness in connection with the film or video production.You acknowledge that you have read and fully understand this release and that it shall be binding upon you, your heirs, assigns, and legal representatives. *
