Music Publisher vs. Music Publisher Administrator

Music Publisher: A publisher is the owner of a composition copyright.  If there is no deal in place with an outside publisher, then the songwriter(s) is the publisher.

Music Publisher Administrator: A publishing administrator is empowered by the publisher to manage their copyrights and account for the income they earn. A publishing administrator manages licensing and collects for your part or all of the royalties your music generates.

CONSULTATION FEE

UtopianMGAStudio charges a non-refundable $200 consultation fee if you require consultation before agreeing to this Publishing Administration Agreement. The consultation will be for 60 minutes via phone at an arranged time. The agent will explain the details of this agreement. If you choose to sign the agreement after the consultation, the consultation fee will be applied to the publishing administraton filing fee.

The Publisher and Record Label must be real entities registered with both state and federal governments. We may ask for proof of verification for businesses legitimacy.

Letter of Direction (LOD)

You will be emailed a LOD following the submission of this agreement. The LOD is a formal notice that will be sent to the  societies that UtopianMGAStudio will be taking administrative control of your catalog on your behalf.

Your signature will be required on the LOD. Failure to sign the LOD will result in termination of this Agreement. NO REFUND WILL BE ISSUED FOR ANY REASON. Please contact administrator@utopianmusicadministration for any questions.

Clients MUST use SyncNTune for distribution. You will have thirty (30) calendar days from the day this form is submitted, to release a project on SyncNTune . Recoupment Fee Clause

This Recoupment Fee Clause ("Clause") is hereby incorporated into the Music Publishing Agreement ("Agreement"), between Utopian Media Graphic Art Studio, LLC, hereinafter referred to as the "Publisher," and you, hereinafter referred to as the "Artist."

1. Advances and Expenses:

1.1 The Publisher may, at its discretion, provide advances and incur certain expenses on behalf of the Artist in connection with the exploitation, promotion, and administration of the musical compositions covered by this Agreement. Such advances and expenses may include, but are not limited to, marketing expenses, cover art, video visualizations, and other reasonable and customary costs associated with the management and promotion of the compositions.

2. Recoupment:

2.1 The Publisher shall have the right to recoup any advances and expenses previously provided to the Artist from the Artist's share of income generated by the exploitation of the musical compositions as outlined in this Agreement.

2.2 Recoupment shall occur as follows:

(a) The Publisher shall deduct any recoupable amounts from the Artist royalty earnings or any other income due to the Artist under this Agreement.

(b) The Publisher may recoup advances and expenses in full or in part, at its sole discretion, until such time as the total recouped amount equals the total advances and expenses provided by the Publisher.

3. Priority of Recoupment:

3.1 The recoupment of advances and expenses shall take priority over any other payments due to the Artist under this Agreement. This includes, but is not limited to, mechanical royalties, synchronization fees, and performance royalties.

4. Accounting and Statements:

4.1 The Publisher shall provide the Artist with regular accounting statements detailing the recoupment of advances and expenses and the remaining balance, if any, due to the Artist.

5. Termination and Balances:

5.1 In the event of termination of this Agreement, any remaining balance of advances and expenses not recouped by the Publisher shall become immediately due and payable by the Artist to the Publisher.

6. Effect of Recoupment:

6.1 Upon full recoupment of advances and expenses, the Publisher's right to further deductions shall cease, and the Artist shall be entitled to receive their full share of income generated by the compositions as outlined in this Agreement.

 

 

Promotional Campaign Clause

This Promotional Campaign Clause ("Clause"), is hereby incorporated into this Publishing Administration Agreement ("Agreement "), between UtopianMGAStudio, hereafter referred to as the "Administrator" and you, hereinafter referred to as the "Artist".

All Artist are required to run monthly promotional campaigns on their own projects. All promotional campaigns MUST be run through the Administrator's promotional campaign services to ensure legitimacy and integrity of the campaign through organic streaming.

1. Acceptance of Terms

By utilizing the Administrator's organic streaming promotion services, the Artist acknowledge and agree to these terms and conditions. If the Artist does not agree with any of these terms, please refrain from using the Administrator's services.

2. Services Description

The Administrator's organic streaming promotion services are designed to assist artists and content creators in increasing their visibility and engagement on streaming platforms such as music and video streaming services. The Administrator will use it's best efforts to promote Artist content to a wider audience through legitimate and ethical means.

3. Payment Obligations 

The Administrator and the Artist will agree upon a set monthly budget amount for the invoice to be billed on the 1st monthly via the email address provided by the Artist in this document. The minimum monthly budget payment is $150.00. The Artist will have three (3) business days to fulfill payment obligation before campaigning is interrupted.

4. Results Are Not Guaranteed

While the Administrator strives to provide effective promotion services, the Administrator does not guarantee specific results, including a certain number of streams, likes, followers, or any other metrics. The effectiveness of the Administrator's services can vary depending on numerous factors beyond the Administrator's control, including audience preferences, content quality, and market conditions.

5. Refunds Policy

Due to the nature of the Administrator's organic streaming promotion services and the fact that results cannot be guaranteed, the Administrator does not offer refunds once the promotion campaign has been initiated. You are paying for the Administrator's efforts and services, and these are non-refundable. NO REFUNDS UNDER ANY CIRCUMSTANCES.

6. Content Guidelines

The Artist must provide content that adheres to the terms and conditions of the streaming platforms the Administrator will be promoting on. Content that violates copyright laws, contains explicit or offensive material, or violates the terms of the respective platforms will not be promoted. The Administrator reserve the right to refuse promotion for any content that the Administrator deems inappropriate or against the agency's ethical guidelines.

7. Artist Responsibilities

The Artist agree to provide accurate and up-to-date information during the promotion campaign setup. The Artist is responsible for ensuring that they have all necessary rights and permissions for the content being promoted. The Artist also understand that engagement and success of the promotion can be enhanced by having high-quality content.

The Artist agrees to pay the Administrator a minimum of $150.00 on the 1st of each month for promotional campaigning services.

8. Intellectual Property

The Artist retains all rights to the content the Artist provides for promotion. The Administrator does not claim ownership of Artist content. By using the Administrator's services, the Artist grants the Administrator the non-exclusive right to promote the Artist content for the duration of the campaign.

9. Indemnification

The Artist agree to indemnify and hold the Administrator harmless from any claims, damages, losses, liabilities, costs, or expenses arising out of or related to the Artist use of our services, including any violation of these terms and conditions.

10. Limitation of Liability

The Administrator is not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from the Artist use of the Administrator's services.

11. Modifications to Terms

The Administrator reserves the right to modify these terms and conditions at any time. The Artist will be notified of changes via email.

TERMS

The Administrator charges a one time, NON-REFUNDABLE $155.00 mechanical licensing registration fee and a $20 monthly subscription. This allows the Administrator to manage the Artist entire catalog, no matter the size. This administration agreement is a 24 month agreement. Due to the global song registration process. It can take up to 9 - 12 months for the Artist songs to be registered with all entities worldwide. Payment will occur the following quarter if the Artist has reached a balance of $100.00.  If the Artist has not reached the $100.00 threshold, the monies will collect until royality income has reached or surpassed the $100.00 threshold.  Payment will occur the followng quarter.

There is a 25% administration fee for all royalty types collected around the world.  

The Publisher will recoupe all fees advanced and incurred expenses on behalf of the Artist in connection with the exploitation, promotion, and administration of the musical compositions. 

The Artist keep 100% of their copyrights. The Administrator exercises the rights the Artist grants to the Administrator to license their works to collection sources around the world during the Administrator's term. The Administrator will register the Artist songs and collect royalities on the Artist behalf. At no stage does the Administrator claim ownership or shares of the Artist works.

The Artist will have thirty (30) calendar days to sign up and release a project on SyncNTune . If the Artist fails to release a project within thirty (30) days;  then this agreement will be terminated. NO REFUNDS WILL BE ISSUED.

All Artist must sign a Letter of Direction (LOD). Failure to sign the Letter of Direction (LOD) will result in termination of this Agreement. NO REFUNDS WILL BE ISSUED.

All Artist are required to submit a valid state government issued ID for verification upon submission of this Agreement. Email a copy of your ID to administrator@utopianmusicadministration.com.

Administration of the Artist works will not begin until all aspects of this agreement are fulfilled. NO REFUNDS WILL BE ISSUED AT ANY TIME.

This Agreement will automatically renew at the end of the 24 month term for another 12 months unless the Artist notifies the Administrator request for cancelliation via administrator@utopianmusicadministration.com.  Please make "Cancel Agreement" the subject.  

This Agreement shall be governed by and construed in accordance with the laws of the state of Maryland.
