Designer Agreement

This agreement is made effective as of April/12th/2023, by and between Party (A) MODEL MAFIA LLC Production ("MODEL MAFIA LLC") of 8500 Wilshire Blvd, Beverly Hills, CA 90211 and Party (B) : {input15:1}

Whereas, the PARTY (A) MODEL MAFIA LLC is the organizer of "The Fashion Week Tour" Powered by Party (A) MODEL MAFIA LLC at 8500 Wilshire Blvd, Beverly Hills, CA 90211.

 

Where the "L.A Swim Week Show" Powered by PARTY (A) MODEL MAFIA LLC will be conducted; and whereas, Party (B) {input15:1} is engaged in the business of Designer Showcasing.

Now, therefore, it is agreed that: 

 

Purpose, MODEL MAFIA LLC agrees to provide {input15:1} space to conduct Designer Showcasing ( A Fashion Show) in  MODEL MAFIA LLC at {input15:2}  .  to the space selected by MODEL MAFIA LLC as identified prior to the event. In general, {input15:1} is guaranteed a Runway Space.

{input15:1} accepts the opportunity to participate as a vendor in the building for MODEL MAFIA LLC commencing on June/23/2023 and ending on June/25/2023 •

{input15:1} hereby accepts the following listed conditions and limitations.

 

Hours of operation. MODEL MAFIA LLC area shall remain open from {showStart} to {showEnd} each day the event is in progress unless MODEL MAFIA LLC notifies {input15:1} of other hours of operation.

Apart of the payment/deposit from {input15:1} will provide for the space at {input15:2}  in exchange for $ {paymentdeposit} be paid upon signing this agreement. Space locations will be assigned and provided to MODEL MAFIA LLC Production in advance for the event.

 

Insurance {input15:1} is solely responsible to obtain insurance coverage on property brought into {input15:2} , {input15:1} assumes full responsibility for items left in the facility. MODEL MAFIA LLC accepts no liability for lost, stolen, or damaged property and is not required to carry additional insurance to cover {input15:1} property.

Indemnification. {input15:1} agrees to indemnify and hold MODEL MAFIA LLC harmless from claims, losses, expenses, and fees including attorney fees, costs, and judgments that may be asserted against MODEL MAFIA LLC that result from the acts or omissions of {input15:1} and/or  MODEL MAFIA LLC employees, agents, or representatives. MODEL MAFIA LLC shall be solely

responsible for insuring all applicable laws are followed and complied with in selling and presenting MODEL MAFIA LLC products and services at the event.

 

 Default. The occurrence of any of the following shall constitute a material default under this agreement:

 

• The failure to make a required payment when due.
   
• The insolvency or bankruptcy of either party.
   
• All Benefits Provided within your Requested Sponsorship Tier Will Be Provided Day Of Event/Events
   
• The subjection of any of the parties’ properties to any levy, seizure, or general assignment for the benefit of. creators, application, or sale by any creditor or government agency.
   
• The failure to make available or deliver the services in the time and manner provided for this agreement.

Remedies. In addition to any and all other rights a party may have available according to law, if a party defaults by failing to substantially perform, term or condition of this agreement (including without limitation the failure to make a monetary payment when due), the other party may terminate the agreement by providing written notice to the defaulting party. This notice shall describe with sufficient detail the nature of the default. The party receiving such notice shall have 3 days from the effective date of such notice to cure the defaults). Unless waived by a party providing notice, the failure to cure the default(s) within such time period shall result in the automatic termination of this agreement.
