TMI & Partners, Ltd has agreed to Introduce the Client to third party Factor/ Purchase Order funder described herein, for the purpose of evaluating a potential transaction involving either a Factoring or Purchase Order financing.
WHEREAS, in order to induce TMI & Partners, Ltd to Introduce third party described herein to the Client , the Client has agreed, for itself, and on behalf of its directors, officers, employees, agents, advisors, affiliates or their respective representatives, to compensate TMI & Partners, Ltd in the event that the Client consummates a Transaction with a third party described herein, upon the terms and conditions set forth herein;
NOW, THEREFORE, in consideration of the mutual covenants contained herein, and intending to be legally bound, the parties hereto agree as follows:
1. Terms of Compensation.
a) It is understood that in the event TMI & Partners, Ltd directly Introduces Client to a person or entity, not already having a preexisting relationship with the Client, with whom Client, or its nominees, ultimately finances or causes the completion of a Financing with a person or entity, Client agrees to compensate TMI & Partners, Ltd for such services with a "finder's fee" in the amount of .04 cents of total each gross funding provided by such lender.
b) Client agrees that said compensation to TMI & Partners, Ltd shall be paid in full at the time said financing is closed. These payments shall be made within 24 hours of receiving of funds. (Payment information will be provided)
c) It is specifically is understood that TMI & Partners, Ltd is acting as a finder only, is not a licensed securities or real estate TMI & Partners, Ltd or dealer, and shall have no authority to enter into any commitments on the Client behalf, or to negotiate the terms of any funds or securities in connection with a merger or to perform any act which would require TMI & Partners, Ltd to become licensed as a securities or real estate TMI & Partners, Ltd or dealer. The consummation of any transaction shall be separately negotiated between the Client and the person or entity introduced by the TMI & Partners, Ltd .
