Please note, if you are a minor, you will need a parent or guardian to complete the second half of our consent form.

Consent and Release

JOHNSON & JOHNSON SERVICES, INC. a New Jersey, corporation with offices located at 1 Johnson & Johnson Plaza, New Brunswick, New Jersey 08933 on behalf of itself and the other sponsors of the Nurse Hack4Health Hackathon on September 22-24, 2023 (the “Event”), desires to use and publicize the name, likeness, statements, testimonials, images, and other personal characteristics and private information of the individual named below ("I" or "me") for sales, presentations, advertising, promotional, training, and other commercial and non-commercial purposes in various forms and on various platforms.

Subject to the terms of this Consent and Release ("Release"), in exchange for good and valuable consideration, I hereby irrevocably (1) authorize, license and grant Company and its respective parents, employees, affiliates, subsidiaries, (collectively, "Company"), and Company’s agents, licensees, spokespeople, and vendors acting on behalf of Company, as well as the other sponsors of the Event, including, but not limited to, Microsoft Corporation, and SONSIEL (collectively, the “Authorized Persons”), the rights to use, create, reproduce, distribute, transmit, adapt, create derivative works, publicly perform, publicly display, publish, republish, advertise, license, sell, and otherwise use and permit others to use in any manner, my name, biographical and occupational description, testimonial, picture, image, appearance, likeness, voice, video, ideas, inventions, moving imagery, audio, signature, and other personal characteristics and private information collected or provided during the Event, and all materials created by or on behalf of Company or Authorized Persons that incorporate any of the foregoing (collectively, the “Authorized Material”), in whole, or in part, composite or distorted in character or form, without restriction as to changes or transformations, on an irrevocable, non-exclusive, perpetual, worldwide, paid-in-full, royalty-free basis throughout the world and in all forms, formats, and media, including, but not limited to, television, radio, print, social media, internet websites, presentations, sales presentations, electronic media, in-store, and any and all other forms of media, which now or hereafter may exist, for any purpose, including, but not limited to, advertising, training, sales presentations, publicity, and promotion of the Authorized Persons and their businesses, products, and services, (2) assign to Company any and all of my worldwide right, title, and interest in and to the Authorized Material and intellectual property rights therein, and (3) authorize the Authorized Persons to attribute to me any statements and/or testimonials (collectively, “Statements”) contained in the Authorized Material that are true expressions of my personal experiences and beliefs. I will advise the Authorized Persons if my personal experiences and beliefs change at any point in the future with respect to any Statements contained in the Authorized Materials.

I hereby waive and relinquish any and all rights to review or approve the Authorized Persons’ use of the Authorized Material and agree that the Authorized Persons may exploit, edit, or otherwise modify the Authorized Material, and combine the Authorized Material with materials furnished or created by others, without my further approval or liability to me. I agree that the Authorized Persons may paraphrase, amplify, shorten, put in conversational form and/or dramatize my Statements, provided the general sense of such Statements is not changed. I agree that I shall have no claim to additional compensation or benefit and no claim (including, without limitation, claims based upon invasion of privacy, defamation, moral rights, or right of publicity) arising out of any use or any blurring, distortion, alteration, optical illusion or use in composite form, whether or not intentional, of the use of the Authorized Material. I hereby release the Authorized Persons of and from any claim that I might otherwise have as a result of any such use, sale, display, performance, adaptation, transmission, or publication. The Authorized Persons have no obligation to use the Authorized Material or exercise any rights granted herein. Authorized Persons may use the Authorized Materials in connection with other projects, contexts, manners, or forums than originally anticipated when initially collected, without providing notice of same.

I represent and warrant that (a) I am of legal age or am represented by my legal guardian who is of legal age and has the right to contract on my behalf in my name without violating any other commitment, (b) the Authorized Persons’ use of the Authorized Material and the rights granted to the Authorized Persons hereunder do not, and will not, violate any right of, or conflict with or breach any contract with, any person or entity, (c) no authorization from any third party is required in connection with this Release, and (d) any and all testimonials and/or statements provided about the Event and/or the Authorized Persons are true expressions of my personal experiences and beliefs.

I understand and agree that Authorized Persons shall not be liable for any unauthorized third-party uses of the Authorized Materials in violation of the terms hereof, it being understood and agreed that such third-party uses shall not constitute a breach of this Agreement or an infringement of my publicity or privacy rights by the Authorized Persons.

This Release is binding on and inures to the benefit of the parties hereto and their respective successors and assignees. This Release is governed by the laws of New Jersey, without giving effect to New Jersey’s conflict of laws rules to the extent those rules would require applying another jurisdiction’s laws. Any action or proceeding arising out of or relating to this Release must be commenced in, and I hereby consent to the exclusive jurisdiction of, the federal and state courts located in New Jersey. If a court of competent jurisdiction holds unenforceable any provision of this Release, (i) that provision is to be construed either by modifying it to the minimum extent necessary to make it enforceable (if permitted by law) or disregarding it (if not), and (ii) all other provisions of this Release are to remain in effect as written. I have read and understand the contents of this Release prior to its execution and have voluntarily signed this Release.

If Individual is a Minor

I hereby warrant that I am of full age and have every right to contract on behalf of the minor in the above regard and that I am a parent or guardian of the below named minor. I have read the above authorization, release and agreement, prior to its execution, and represent that I am fully familiar with the contents thereof. This release shall be binding upon the minor, me and my heirs, legal representatives, and assigns. I agree that this release does not in any way conflict with any existing commitment on my part and that this release is a legally binding agreement and will be construed broadly to provide a release and consent to the maximum extent permissible under applicable law. Any provisions found to be void or unenforceable shall be severed from this agreement, and not affect the validity or enforceability of any other provisions. I have read this document and I understand its content. I understand that by signing below, I have given up substantial rights for myself and the minor. I have voluntarily signed this release.
