USA Memory Championship Terms & Conditions
In this agreement: “MEL” is defined as Memory Enterprises, LLC. The “Event” is defined as the 2023 Virtual USA National Memory Championship, including all preliminary rounds. A “Sponsor” is defined as any official sponsor of the Event, or any other business organization (or their affiliates) or other entity with whom MEL has been in talks regarding sponsorships or other business relationships within the twelve months preceding or following the Event.
It is important to stress that this relates only to those sponsors and businesses that have been in discussions with MEL or have been in a contractual agreement with MEL in the 12 months preceding and/or following the event.
I, the Applicant/Mental Athlete listed above, certify that I am a resident of the United States of America; and without any compensation or payment to me, I agree as follows: I will make myself available for interviews, photography and filming by press, media and film/video productions at the request of MEL; I hereby allow my likeness, voice and photograph to be used in news broadcasts, documentary films, articles and in the marketing, advertising or promotion of the Event in any and all media, whether now known or a medium invented in the future; If requested by MEL, I will wear apparel designated by them during the Event, and during media or film/video coverage of or relating to the Event; I will refrain from wearing apparel that displays, or to otherwise display, logos or other identifying brands or marks of any other company or other organization, unless approved by MEL at least fourteen days prior to the Event.
In the event that any Sponsor or other entities with whom MEL has discussed sponsorships or other business relationships in the 12 months preceding or following the Event approaches me to discuss the use of my name or likeness in the promotion or advertising of a company, product or service (or any similar so-called “sponsorship deal”), then the following will apply: (a) I will immediately inform MEL (in particular, Tony Dottino) that the Sponsor in question has approached me regarding such a deal, and (b) I recognize that the opportunity to participate in such sponsorship is a result of my participation in the Event, and the efforts and resources of MEL, and therefore I will not, without MEL’s prior written consent, participate in any such sponsorship.
I further understand and accept that MEL is the owner, organizer and official promoter of the Event, and I agree not to participate in any engagement, activity or event of any kind that utilizes in any manner, way or form, the USA Memory Championship name, brand, or game formats without the prior approval of MEL.
I understand that MEL is granting me the right to compete and participate in the Event and its preliminaries and that MEL may revoke that right for any reason whatsoever and at any time in its sole discretion.
I understand and agree that the USA Memory Championship is a competition directed and judged by MEL and its designees. I agree that any and all decisions, awards, prizes may and will be made solely by MEL, and any such decisions, awards or prizes may be changed or eliminated at any time and for any reason. I agree that neither MEL nor its owners, officers, principals, employees, agents or licensees shall have any liability whatsoever for any harm, damages or claim arising from or relating to the Event, and I agree to indemnify and hold harmless MEL and its owners, officers, principals, employees, agents or licensees from any and all damages or claims arising from or relating to the Event or my participation therein.
VIDEO/PHOTOGRAPH RELEASE FORM
In this agreement, Memory Enterprises, LLC is defined as “MEL” and the “Event” is defined as participation in the 2023 Virtual USA Memory Championship being held online on Saturday, July 29, 2023.
I have participated as indicated on the filming of above Event (the “Picture”). In consideration of my appearance in the Picture, and without any further consideration from you, I hereby grant permission to you to utilize my appearance in connection with the Picture in any and all manner and media and all rights of every kind and character whatsoever in perpetuity in and to my performance, appearance, name and/or voice and the results and proceeds thereof (the “Performance”) in connection with the Picture, and I hereby
authorize MEL to photograph and record (on film, digital, video, tape, or otherwise), the Performance; to edit same at its discretion and to include it with the performance of others and with sound effects, special effects and music; to incorporate same into the Picture or other program or not; to use and to license others to use such recordings and photographs in any manner or media whatsoever, including without limitation unrestricted use for purposes of publicity, advertising and sales promotion; and to use my name, likeness,
voice, biographic or other information concerning me in connection with the Picture, commercial tie-ups, merchandising, and for any other purpose. I further acknowledge that MEL owns all rights to the results and proceeds of my services rendered in connection herewith.
I agree that my participation in the Picture may be edited in your sole discretion. I consent to use of my name, likeness, voice and biographical material about me in connection with Picture publicity and related institutional promotional purposes. I expressly release you, your agents, employees, licensees and assigns from and against any and all claims which I have or may have for invasion of privacy, defamation or any other cause of action arising out of production, distribution, broadcast or exhibition of the Picture. This release is binding on me and my heirs, assigns and personal representatives.
