• Nominations for Co-Chairperson, Secretary, and General Board Member - OutLine Aotearoa Incorporated

    For election at the 2023 Annual General Meeting, Wednesday 28 June.
  • OutLine is looking for dedicated members of our community to serve as members of our governance Board. 

    Our Board members:

    • Help set and guide the strategic direction of OutLine, and the work of the General Manager.
    • Ensure the organisation is governed well, to meet its legal and financial obligations.
    • Attend and actively participate in monthly Board meetings by video (Zoom) and occasional meetings in person.
    • Contribute to decision-making between meetings by email.

    OutLine's Board is elected at our Annual General Meeting, normally for a term of two years. This year, we are electing one Co-Chairperson, one Secretary, and one General Board Member. At least one of these positions must be filled by a Māori member.

    Call for nominations

    In accordance with the terms of the OutLine Aotearoa Incorporated constitution (view here), the Secretary of OutLine calls for nominations to the positions of Co-Chairperson, Secretary and General Board Member for the organisation, to be voted on by the membership at the upcoming AGM, 6.30-8.30pm 28th June 2023.

    From section 5 of the consititution:

    (i) Nominations in writing for any position on the Board must be
    received by the Board or its agent/s in the form prescribed seven
    days prior to the Annual General Meeting and each nomination
    must be supported by two full members and accepted in writing
    by the nominee.

    (j) If no written nominations are received for any Officeholder
    position by the deadline seven days prior to the Annual General
    Meeting, those members at the Annual General Meeting may
    elect the un-nominated position from those eligible
    members present at the meeting. If fewer written nominations for
    General Member positions are received than exist vacancies,
    those members at the Annual General Meeting may elect such
    members of the Board from those eligible members present at
    the meeting.

    All applications must be received by the organisation prior to 6pm, Wednesday 21st June.

  • Support of nomination by two full members

    Each nomination for the positions of Co-chairperson, Secretary, or General Board Member must be signed by two full members of the organisation. Completion of this section is taken as intent to sign the nomination, and OutLine Aotearoa may contact the full members to verify their support of this application. If you are unable to give details of two full members, please still complete the rest of this form and contact our current co-chairs, Grace Abbott (grace@outline.org.nz) and Moira Clunie (moira@outline.org.nz)
  • Eligibility to hold the role of Officer

    The Co-Chairpersons, Treasurer, Secretary and General Members of OutLine are Officers of the organisation, as recognised by Charity Services and the Charities Act 2005, given OutLine's status as a registered charity. They must be eligible to hold an Officer role.
  • An individual or body corporate will not qualify as an officer under the Charities Act 2005 if they are:

    • an individual who is an undischarged bankrupt
    • an individual who is under the age of 16 years
    • an individual who, or a body corporate that, has been convicted of a crime involving dishonesty (section 2(1) of the Crimes Act 1961) or tax evasion or other offence under section 143B of the Tax Administration Act 1994 and sentenced within the last seven years
    • an individual who is prohibited from being a director or promoter of, or being concerned or taking part in the management of, an incorporated or unincorporated body under the Companies Act 1993, the Financial Markets Conduct Act 2013, or the Takeovers Act 1993
    • an individual who, or a body corporate that, has been disqualified from being an officer of a charitable entity by the Charities Registration Board under section 31(4) of the Charities Act 2005
    • an individual who is subject to a property order under the Protection of Personal and Property Rights Act 1988, or whose property is managed by a trustee corporation under section 32 of that Act (this relates to people who are not fully able to manage their affairs)
    • a body corporate that is being wound up, is in liquidation or receivership, or is subject to statutory management under the Corporations (Investigation and Management) Act 1989
    • an individual who, or a body corporate that, does not comply with any qualifications for officers contained in the rules of your charity. 

    If any of the above disqualifying factors apply to an officer who has been appointed under an Act or by the Governor-General, Governor-General in Council, or a Minister of the Crown, that officer will automatically qualify as an officer.

  • Restrictions

    An OutLine Board member may not concurrently hold a volunteer, staff or contractor role at OutLine Aotearoa, nor may they access OutLine’s non-anonymised support services, due to the conflict of interest inherent in their being OutLine staff, volunteers’ and contractors’ employer. They may however resign one of these roles to sit on the Board, and vice versa.
