  • These Rules & Policies, as modified and amended from time-to-time (the “Rules & Policies”), are incorporated into and a part of the Client Intake Form, Membership Agreement and/or Package Holder Agreement with us (collectively referred to as the “Studio User Documents”), as applicable. Neither OTF Franchisor, LLC (the “Franchisor”), Ultimate Fitness Group, LLC, nor any of their past, present, or future parents, subsidiaries, predecessors, successors, entities under common ownership, assigns, or affiliates, or their respective officers, directors, incorporators, members, partners, owners, agents, management, controlling parties, entities under common control, vendors, suppliers, service providers, investors, attorneys, employees, or representatives (collectively, the “Franchisor Parties”), is a party to the Studio User Documents or the Rules & Policies. Capitalized terms used but not defined in the Rules & Policies have the meanings given to them in the applicable Studio User Document. Unless otherwise noted, the term “Class” as used herein refers to any in studio, outdoor, online, or other fitness class or physical activity provided by us or any other Orangetheory Fitness Studio.

  • Diversity, Equity, and Inclusion: Orangetheory is MORE than a studio. We are an embracing commUNITY committed to a culture that celebrates diversity and is driven by each person's unique contributions. Our environment is an inclusive space of belonging for ALL people. We appreciate, respect, and welcome ALL races, skin colors, genders, nationalities, religions, sexual orientations, gender identities, ages, and sizes. Each individual is esteemed for their differences and our members are expected to embody these same values of championing diversity, inclusion, and belonging by respecting everyone at all times while present at the studio. Only then can we deliver MORE LIFE. FOR ALL.

  • Membership Cancellation Policy: Your written cancellation request must be mailed, emailed, or delivered to our address or email address at the top of the
    Membership Agreement. Your cancellation request will be effective 30 days after it is received. Any payments due under this Agreement prior to the cancellation or
    termination effective date will be charged by us as scheduled and therefore an additional billing cycle will occur before the cancellation is effective.

  • Advance Notice of Changes: We may change the charges and/or amounts for late cancellation, no shows, or other fees, similar to the recurring monthly membership payment or the price for additional sessions per month as reflected in the Membership Agreement, after providing you written notice at least thirty (30) days in advance of such a change, to be mailed or emailed to you at the address(es) you provide to us or to any updated mailing address or email address of which you notify us in writing.

  • Daily Booking Limit: To ensure all members can book classes, your daily class booking limit is 2 In-Studio classes per day.

  • 8 Hour Class Cancellation Policy: We enforce a strict 8-hour class cancellation policy. If you reserve a place in a class but fail to cancel 8 hours in advance and fail to show up for the class, you may forfeit a membership or package session or, if you have used your monthly membership or package sessions, you are not a member or package holder (i.e., you are a drop-in user at the studio) or you are a Premier member, as applicable, your credit card on file may be charged the amount for an additional session consistent with the terms of the applicable Studio User Document. You may also be subject to an additional surcharge if such a surcharge is in place at the studio where you registered for a class.

  • Late Arrival Policy: We enforce a strict late arrival policy. If you are more than 5 minutes late for your class, you may not be permitted to enter the class and may
    forfeit a membership or package session or be charged for the class session as set forth above. This is to ensure time for a proper warmup prior to your workout.

  • Early Entry into Studio: For the safety of all members and guests, you will not be permitted in the workout area unless a coach is present.

  • Station Assignments: Studio staff will use a Station Assignment Worksheet to assign you to a workout station on a first-come, first-served basis. Depending on the class type (i.e., 2G or 3G) you may be able to request a station on either the treadmill, rower, or floor. You should follow your assigned station number throughout the class to help ensure a smooth and consistent experience for all members and guests. Stations will not be assigned more than 30 minutes prior to the start of class and can only be reserved for individuals who are present in the studio.

  • Waitlist Procedure: If you are a member or class package holder, you may add yourself, or request that a sales associate add you, to the waitlist of any normally scheduled class session. Being added to a waitlist, however, does not guarantee your entrance into a class. If you are on a waitlist for a class and a spot opens at least 8 hours in advance of the class, you will be automatically added into the class. If you fail to show up for the class, you may forfeit a membership or package session or be charged for the session as set forth above. Please see a studio sales associate for more details regarding the waitlist sign-up process.

  • Personal Valuables: For your convenience, Orangetheory provides designated areas for personal belongings to be stored throughout the duration of your class.
    Designated areas may include lockers, cubbies, key holders, etc. Storage of your personal valuables/belongings within these areas is strictly at your discretion and
    studios assume no liability in the event your items are mistakenly taken or stolen. It is highly recommended that you use a personal lock for the duration of your class. Locks left behind after class will be removed along with any contents so the locker can be available for all members and guests. It is recommended to never leave items of high and/or sentimental value in open areas including front desk, cubbies, treadmill cup holder, etc.

  • Dress Code Policy: We want you to come to class fully prepared for strenuous activity: enclosed running shoes, athletic shorts/pants, athletic top, towel, and water bottle. A sports bra is considered an appropriate athletic top. Franchisees reserve the right to refuse entrance to any client who is not properly attired or is wearin clothing that may be considered offensive to other members such as a t-shirt with vulgar, sexually suggestive, or racially offensive language or graphics. If you are refused entrance, you may forfeit a membership or package session or be charged for the session as set forth above.

  • Children in the Studio: Guest and members are not allowed to leave children unattended in the lobby while taking a class. We welcome children aged 14-15 to participate in the workout when accompanied by their parent or legal guardian. Children 16-17 years of age can participate in the workout without a parent present provided their parent or legal guardian has signed the required studio paperwork. For special events, such as fitness challenges or competitions, children are welcome in the lobby area when accompanied by a non-participating adult supervisor.

  • Use of Personal Technology: For the safety of all members and guests, no personal technology devices (cell phones headphones, Air Pods, tablets, or similar
    technology) can be used during the class/workout. For those that require access to their cell phone for emergency situations, cell phones must be silenced during class
    and any emergency calls must be taken outside the workout area. Holding cell phones or texting during class is strictly prohibited. Individuals requesting to take
    content photos/videos may do so between workouts with permission from the studio staff and should be accompanied by a staff member. Content photos/videos are not permitted during the workout.

  • Participation in Online Classes: We kindly ask that registration and participation in online classes be limited to your individual participation only.

  • Rules: All rules and modifications to rules as provided and as posted in the studio or at www.orangetheoryfitness.com are part of your Studio User Documents, and you agree to comply with the same. If you fail to comply, your Studio User Documents may be terminated.

  • Membership Freeze Policy: You have the option to freeze your membership for a minimum of 30 days and a maximum of 60 days. You may freeze your membership up to 2 times per year (for a maximum of 120 days per year). You may not freeze your membership for more than 60 consecutive days. Once any freeze period ends, your membership will revert to regular monthly billing. If you decide to cancel your membership while your membership status is frozen, you must reactivate your membership for the cancellation to be processed.

  • Service Animals: Our studios operate under the Americans with Disabilities Act and recognize service animals as dogs, any breed or size, trained to work and/or perform tasks for a guest/member with a disability. Reasonable accommodation can be made to ensure guests/members with a service animal are properly stationed within the workout area to participate in class. Service animals must be harnessed, leashed, and tethered to the designated area and must remain under the guest/members control and be housebroken. Emotional support animals are not permitted in the studio lobby and/or workout area at any time.

  • Suspend Fee: During any freeze period, you will be charged a monthly suspend fee on the regular autopay (EFT) date based on the fee in place at the studio where you purchased your membership.

  • Credit Card On File: All individual studio locations require that a credit card be placed on your profile for any purchases occurring at the studio. The credit card may be charged for in-studio purchases including, but not limited to, retail merchandise, beverages, late cancel fees, additional sessions or drop-in sessions for any classes taken beyond the membership level, and/or class package allotment and any applicable surcharges.

  • National Reciprocity: Unless otherwise noted, you may use your membership and package sessions or purchase additional sessions at any Orangetheory Fitness studio in the United States; however, prices and sessions offered at each studio may vary and may require additional payments (i.e., a surcharge).

  • Session Capacity: Orangetheory Fitness class sessions are limited in size and may reach capacity. Nothing in your Studio User Document guarantees your ability to attend class sessions that have reached capacity and for which you did not register in advance.

  • State and Local Taxes: All memberships and charges are subject to state and local taxes.

  • OTbeat Heart Rate Monitor: Orangetheory Fitness offers heart rate based, interval training fitness programs. We strongly encourage you to purchase and use an OTbeat Heart Rate Monitor. Otherwise, we rent loaner monitors for a fee, which are available on a first come, first- served basis, with first-time guests of a studio having priority. If you borrow an OTbeat Heart Rate Monitor from a studio and you do not return it, your credit card on file may be charged the then-current retail price of such monitor.   • The above terms and conditions have been thoroughly explained to me by an Orangetheory Fitness representative and I agree to be bound by these terms and
    conditions.
