BME LOGSITICS DISPATCH SERVICE SIGN-UP

This Dispatcher-Carrier Agreement (hereinafter “Agreement”) is made and entered into this Type here day of Type here , 20Type here, by and between BME LOGISTICS DISPATCH SERVICE, a division of , LLC, a Texas limited liability company (“Dispatcher”) and Type here, a Registered Motor Carrier with its principal office at Type here, (“Carrier”); collectively referred to as the “Parties”.

The DISPATCHER is an independent transportation company conducting Load Tendering Transitions between Shippers and/or Brokers, and Carriers who are authorized by the FMCSA to operate as a Registered Property Carrier Pursuant to licenses issued.

CARRIER, an independent motor carrier, is licensed by the FMCSA to operate as a for-hire motor carrier pursuant to authority issued in Number MC-Type here.

The transportation service provided by CARRIER for Shippers/Brokers is contract carriage between the CARRIER and Freight Shippers/Brokers and not between DISPATCHER. DISPATCHER is not a broker nor acting as a broker to the CARRIER.

Both DISPATCHER and CARRIER enter into this Agreement for the purpose of providing and receiving specified professional dispatch services under specified rates and conditions. DISPATCHER and CARRIER deem it essential to their respective interest to establish and maintain an Independent Contractor relationship in the execution and performance of this agreement.

DISPATCHER is NOT responsible for the following: load problems, Hours of Service issues; equipment issues, billing issues, advances, handling and storage of paperwork (all documents may be sent to CARRIER, at CARRIER’s expense), DOT compliance issues.

NOW THEREFORE, for and in consideration of the mutual covenants and undertakings herein, and subject to the terms and conditions hereinafter set forth, the Parties hereto warrant, covenant and agree as follows:

CARRIER desires to retain DISPATCHER by executing a Limited Power of Attorney to find, negotiate, and procure freight and to dispatch CARRIER’s equipment at the following rates: CARRIER AGREES to pay a flat fee of 10% per rate confirmation gross of all dispatched loads after initial set up.
CARRIER AGREES to pay DISPATCHER an additional 5% to 10% to BME LOGISTICS, LLC in the event carrier wants to utilize BME LOGISTICS, LLC to manage driver payroll statements and payroll submission. This will not be approved without the written consent of CARRIERS AGREEMENT TO SERVICES PROVIDED.

Carrier agrees to not contact any Brokers/Shippers soliciting services for one full year of termination of this Agreement that was established under BME LOGISTICS DISPATCHING SERVICES. Default of this agreement are automatic grounds of 15% of gross proceeds. Unless otherwise approved by BME LOGISTICS, LLC.

All DISPATCHER fees must be paid via Zelle, Apple pay or through CARRIERS factoring company direct deposit when the load is accepted and delivered by the CARRIER the Next day. This assures that the dispatcher is compensated for services provided. If the CARRIER falls off a load after accepting it, the CARRIER will be responsible for any fines imposed by the broker/shipper. CARRIER must provide, prior to the implementation, of this agreement to furnish to DISPATCHER the following:

1. A signed Limited Power of Attorney form.
2. This AGREEMENT form completed and signed.
3. Copy of CARRIER’s Motor Carrier Authority.
4. Copy of Insurance Certificate. **Coverage of at least $1,000,000 liability insurance and at least $100,000 cargo insurance.
5. A current, signed W-9.
6. Company Profile Sheet.
7. NOA of factoring company

This Limited Power of Attorney is made and entered into this Type here day of Type here, 20   Type here, by and between BME LOGISTICS DISPATCH SERVICE, a division of BME LOGISTICS, LLC, a Texas limited liability company (“Dispatcher”) and Type here, a Registered Motor Carrier with its principal office at Type here, (“Carrier”); collectively referred to as the “Parties”.

The CARRIER hereby appoints and authorizes BME LOGISTICS, LLC DISPATCH SERVICE, to act and speak on its behalf as pertaining to: Professional Dispatch Services. BME LOGISTICS DISPATCH SERVICE shall have the power to:

- Contact shippers and brokers, negotiate rates, and procure agreed upon freight for carrier.
- Sign and execute broker contracts and rate confirmations for freight.
- Transfer paperwork as it pertains to each load (broker contracts, rate confirmations, BOLs, PODs, lumper
receipts and any other relevant documents) to move cargo for shippers and/or brokers.
- Transfer company credentials (carrier profile, MC Certificate, W-9, certificate of insurance, and any other
relevant documents) to move cargo for shippers and/or brokers.
- Submit load documents for payment (invoices, rate confirmations, BOLs, PODs, lumper receipts, and any
other load documents) to shippers, brokers, and/or carrier’s current factoring company), if requested.
- Submit fuel advances, follow up on accounts receivable, make collection calls/emails, assist with claim
resolutions, if requested.
- Request trip and oversize, overweight, and over-dimensional permits, if requested.

IN WITNESS WHEREOF, the parties hereto have executed this AGREEMENT on the date below and it shall remain in
effect until terminated by either party.
