In consideration of American Business Brokers Group, LLC, representing __________ (the Business), described as described in Bizbuysell.com providing Business and financial information, I (we) understand and agree:

• That any information provided on the Business is sensitive and confidential, and that its disclosure to others may be damaging to the Business and its Owners.  Under no circumstances is any information provided to be used to compete against the Business.  Legal action may be taken if confidentiality is breached.
• Not to disclose any information regarding this Business to any other person who has not also signed a Non-Disclosure/Confidentiality Agreement, except to secure the advice and recommendations of my business advisors (accountants, attorneys, brokers, etc.).  Information as used in this Agreement shall include the fact that the Business, or its assets may be for sale, plus any other data provided prospective Buyers.
• Not to contact the Business Owners, the Business’ landlords, employees, suppliers or customers without the knowledge and permission of ABBG.  All correspondence, inquiries, offers to purchase and negotiations relating to the possible purchase or lease of the business or its assets will be conducted exclusively through ABBG.
• Not to interfere with ABBG’s contract with the Seller in any way. 
• That all information regarding the Business is provided by Seller, or other sources and is not verified in any way by ABBG.   ABBG has no knowledge of the accuracy of said information I (we) receive or fail to receive and makes no warranty, express or implied, as to the accuracy of such information, and as such holds ABBG and its representatives harmless from any claims or damages which may occur because of the inaccuracy or incompleteness of any information received regarding the business I (we) might purchase.

The terms of this Agreement shall survive for a period of two (2) years from the date of the last disclosure of information.
