1. SERVICES
The Company agrees to provide the Client with a Biolink landing page service (the "Service") as described in the official invoice. The Service will include setup and customization of the Client's Biolink landing page based on the information provided by the Client.
2. PAYMENT TERMS
The Client agrees to pay the Company the yearly fee as stated in the official invoice. The fee covers the Service for a duration of one year, commencing from the Effective Date.
3. SERVICE AVAILABILITY
The Company strives to provide maximum uptime. However, scheduled maintenance will be carried out between 1 AM and 4 AM GMT-4 during weekends, which may result in temporary unavailability of the Service.
4. SUPPORT AND MAINTENANCE
Support will be available to the Client 5 days a week from 9 AM to 3 PM.
5. DATA PROTECTION
The Company adheres to the highest standards of data privacy and security, in compliance with EU standards.
6. TERMINATION
Either party may terminate this Agreement at any time. In the event of termination, the yearly fee will be divided into 12 equal parts representing each month, and the Client will be refunded for the unused months, rounded up to the nearest whole month.
7. DISPUTE RESOLUTION
Any disputes arising out of this Agreement shall first be addressed by mediation. If a resolution cannot be reached, the dispute shall be settled by the courts of Trinidad & Tobago.
8. LIMITATION OF LIABILITY
The Company shall not be liable for any indirect, special, consequential, or punitive damages (including lost profits) arising out of or relating to this agreement or the transactions it contemplates (whether for breach of contract, tort, negligence, or other form of action) and irrespective of whether the Company has been advised of the possibility of any such damage.
9. INTELLECTUAL PROPERTY
The Company retains ownership of the platform and all associated intellectual property rights. The Client retains ownership of their own data and information.
10. CONFIDENTIALITY
Both parties agree to keep all the confidential information received from each other, confidential, and to use it strictly for the purposes of this Agreement.
11. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of Trinidad & Tobago.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the Effective Date.
