CONSULTING AGREEMENT WITH THE AWAKENING ARTIST ACADEMY 

The consulting agreement referred to as "The Agreement" entered into becomes effective upon the completion of the recipient's signature, which is a requirement to enter into the Awakening Artist Academy.

 SUMMARY

The Awakening Artist Academy has extensive expertise, skills, training, and art business coaching. The Academy offers education regarding art making and selling.

Client is engaged in a business. Client recognizes the reputation, good-will, and track record of The Awakening Artist Academy, and Client desires to engage in the education offered by the Awakening Artist Academy.

The Awakening Artist Academy agrees to provide the services detailed in this agreement, and Client agrees to adhere to the terms and conditions of this agreement. 

1. SCOPE  

1.1. Commencement: The Awakening Artist Academy shall commence services immediately upon both the completion of the agreement, and receiving the first (or total) payment for the Academy. 

1.2. Termination: If Client does not follow the policies in The Agreement, the Awakening Artist Academy reserves the right to enact same day termination of the agreement.

1.3. Relationship: This agreement does not create a partnership, joint venture, or employment relationship between the Client and the Awakening Artist Academy. Client shall not represent him/herself as an official representative of the Awakening Artist Academy unless expressly agreed upon between the CEO Dana Wilcher and the Client.

1.3. Curriculum: Client understands the parameters of the courses, curriculum, and support offered by the Awakening Artist Academy. Dana Wilcher reserves the right to make adjustments and alterations to the academy as she sees fit.

2. CLIENT PAYMENTS

 

2.1. Paying in Full: Client agrees to pay the Awakening Artist Academy the immediate total of $947 or $2,000 depending on their opt-in purchase, which will result in immediate access to the Academy and lifetime access to resources and worksheets offered within the academy, and lifetime access to the coaching calls and community support.

2.2. Enrolling in the Payment Plan: Client agrees to pay the Awakening Artist Academy three consecutive monthly payments of $333 or $500 depending on their opt-in purchase, beginning on the date the client executes the completion of this agreement, and the remaining payments shall automatically occur on the same date each of the following months (30 days after) Client has made their first payment.

2.3. Payment Methods: The initial payment made on the date the client completes The Agreement shall be made by credit card, or other method as requested by The Awakening Artist Academy. In signing this agreement, Client agrees to complete payment in the manner listed in The Agreement.

2.3. Receipt Of Payment: Each payment made by the client must be successfully received by the Awakening Artist Academy on the date specified in this agreement, and if payment is not received as agreed upon, Client is aware they are breaching the terms of The Agreement and the Awakening Artist Academy shall have no further obligation to Client. Additionally, if payment is not received in a timely manner as agreed upon in The Agreement, past due amounts shall accrue interest of one and a half percent monthly beginning the day following the due date, until payments have resumed. In the case of payment negligence in breach of The Agreement, client agrees to pay the Awakening Artist Academy reasonable collection fees of 30% of past due amounts.

2.4. Refund Policy / Cancellations: Client is entitled to a 30 day refund of the amount paid either in full ($947 / $2000) or the first monthly payment ($333 / $500) if reasonable effort has been made in the Academy and Client is still unsatisfied. In order to receive the refund, Client must enter a conversation with the CEO Dana Wilcher and show effort made in the Academy; no refunds will be issued in less than a week of course purchase. This means that Client has gone through and implemented the teachings in one or both programs, and can prove effort made. Reasonable effort is required for refund. After the 30 day period, refunds are not possible under any circumstance, and if enrolled in the three month payment plan for $333, Client is still responsible for the following two monthly payments. Client agrees not to request a refund after the 30 day period. Client agrees not to attempt to dispute monthly payment charges that they are responsible for with their payment institution.

3. PROPERTY RIGHTS AND CONFIDENTIALITY 

 

3.1. Use of Client's Likeness: Client agrees and consents to grant the Awakening Artist Academy use of the Client's likeness in the form of video, photo, writing, results, and testimonials as it relates to the Academy for use in business operations unless expressly and formally denied by Client through writing to Dana Wilcher. If Client does not expressly deny access to this information through writing, it is available for operations and use by the Awakening Artist Academy.

3.2. Ownership of Information: The Awakening Artist Academy provides Client access to confidential information which is specific to the Academy. Confidential information includes trade secrets, formulas for developing a Creative Commission Offering trademarked by the Awakening Artist Academy, scripts, worksheets, emails, coaching strategies, sales methods, client acquisition, technical systems, courses, advertisements, studio practices, spiritual methods, social media practices, and pricing artwork. All information that Client acquires during the term of service rendered within the Academy under The Agreement, which client would reasonably believe is confidential information or that which The Awakening Artist Academy takes measures to protect, is regarded as confidential information. 

3.3. No Disclosure: While The Agreement is active and at all times thereafter, Client shall maintain a strictness of confidentiality regarding trade secrets developed by the Awakening Artist Academy. Client agrees not to disclose, sell, replicate, copy, transfer, or convey information directly nor indirectly to any person or entity outside of the Awakening Artist Academy, except with express written consent by Dana Wilcher. Client will not make copies, record, photograph, distribute, or transfer any content or information within the Academy to any sources.

4. MISCELLANEOUS PROVISIONS 

 

4.1. Release of Liability: Client understands that the Awakening Artist Academy does not guarantee any specific results from going through the program. Client understands that the education, coaching, and community support provided by the Academy serves as a tool, and that only the effort made by the Client will guarantee results. Client agrees to take responsibility for their own success, and not hold the Awakening Artist Academy nor CEO Dana Wilcher responsible for their results. Additionally, Client releases liability of Dana Wilcher and the Awakening Artist Academy for any financial, legal, and tax information provided understanding that any/all information given does not classify as official legal consulting advice. Client understands this and agrees to take responsibility for their own financial, legal, and tax decisions.

4.2. Non Solicitation: Client agrees not to solicit their private material, attempt to sell, or take on other members of the Academy as private clients unless express written consent is issued by Dana Wilcher. Non solicitation applies to the Facebook community, coaching calls, emails, and any other forms of communication. Failure to adhere to non solicitation will result in the termination of the agreement.

4.3. Community Guidelines: Client agrees not to harm, bully, attack, belittle, nor harass any member of the Awakening Artist Academy under any capacity whatsoever at any time. Failure to adhere to this guideline will result in immediate termination of the agreement and potential legal action. If personal concerns arise beyond the scope of community appropriate questions or Client at any time feels unsafe, Client agrees to privately contact Dana Wilcher to resolve the matter and receive support before sharing publicly.
