This Influencer Contract (the "Contract") is made and entered into by and between [Your Name] (the "Influencer") and [Brand/Company Name] (the "Brand/Company") collectively referred to as the "Parties."
1. Scope of Work:
1.1 The Brand/Company hereby engages the Influencer to promote its products/services through various social media platforms, including but not limited to Instagram, YouTube, TikTok, (the "Platforms").
1.2 The Influencer agrees to create and share content, including posts, stories, videos, and other promotional material (the "Content"), that positively promotes the Brand/Company's products/services as per the agreed specifications, guidelines, and timeline provided by the Brand/Company. Please note all content creation can take 3-5 business day once payment is submitted. I do not guarantee sales.
1.3 The Influencer will disclose the nature of the promotional relationship with the Brand/Company in compliance with applicable laws and regulations, ensuring transparency to their audience.
2. Compensation:
2.1 The Brand/Company agrees to compensate the Influencer for the agreed-upon upfront payment of services as follows: [Specify compensation terms, such as a flat fee, commission, or a combination of both]. Specific compensation details are outlined in Annex A attached hereto.
2.2 The Influencer shall invoice the Brand/Company for the services rendered, and payment shall be made within [number of days] days of receipt of the invoice.
3. Usage Rights:
3.1 The Influencer hereby grants the Brand/Company a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, and publicly display the Content created under this Contract for promotional and marketing purposes.
3.2 The Brand/Company shall credit the Influencer appropriately when using the Content and shall not make any alterations to the Content without the Influencer's prior written consent.
4. Term and Termination:
4.1 This Contract shall commence on [start date] and shall continue until [end date]. Either Party may terminate this Contract upon written notice to the other Party in the event of a material breach.
4.2 Upon termination, the Influencer shall cease using the Brand/Company's products/services in any promotional material and return any materials or property provided by the Brand/Company.
5. Confidentiality:
5.1 The Influencer agrees to keep confidential any proprietary or confidential information disclosed by the Brand/Company during the course of this Contract.
5.2 The Influencer shall not disclose, use, or exploit any such confidential information for any purpose other than the performance of their obligations under this Contract.
6. Governing Law and Jurisdiction:
6.1 This Contract shall be governed by and construed in accordance with the laws of [State/Country].
6.2 Any disputes arising out of or in connection with this Contract shall be subject to the exclusive jurisdiction of the courts of [State/Country].
