This Marketplace Vendor Agreement ("Agreement") is entered into by and between Perrimore Creative Agency ("Event Producer") and the undersigned Vendor ("Vendor") collectively referred to as the "Parties". This Agreement outlines the terms and conditions under which the Vendor may participate in the event organized by Perrimore Creative Agency ("Event").

3. Vendor Space and Fees: The vendor shall be allocated a booth space of the specified size as indicated below:
10x10 space: $175
20x20 space: $225
Food Trucks: $225
4. Food Vendor Revenue Share: In addition to the booth space fee, Food Vendors shall pay an additional 15% of their total revenue sales from the Event. This payment shall be due at the end of each event night. Food Vendors must also provide a photo or documentation of their total sales for verification purposes.
5. Harmless Clause: Vendor agrees to indemnify, defend, and hold harmless Perrimore Creative Agency, its officers, employees, and agents, from and against any and all claims, liabilities, damages, losses, costs, expenses, attorney's fees, and judgments arising out of or related to Vendor's participation in the Event. This includes but is not limited to, any injury, loss, or damage caused by Vendor's products, equipment, or actions.
6. Sales Responsibility: Vendor acknowledges and agrees that Perrimore Creative Agency is not responsible for the sales, profits, or revenue generated by Vendor during the Event. The vendor is solely responsible for its own business operations, products, pricing, and sales strategies.
7. Vendor Setup and Requirements: Vendors shall be responsible for setting up, decorating, and maintaining their booth space. Vendors must adhere to all event guidelines and requirements provided by Event Producer, including any safety, health, or sanitation regulations.
8. Termination and Cancellation: The event Producer reserves the right to terminate or cancel this Agreement and revoke Vendor's participation in the Event, with or without cause, at any time. In the event of cancellation, a prorated refund of the booth space fee (if applicable) may be provided.
9. Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Event takes place. Any legal actions or proceedings arising out of or relating to this Agreement shall be exclusively subject to the jurisdiction of the courts in that jurisdiction.
By signing below, Vendor acknowledges that they have read, understood, and agree to the terms and conditions outlined in this Marketplace Vendor Agreement.

This Agreement is effective as of the date of Vendor's signature and shall remain in effect for the duration of the Event as specified above.
