This Agreement ("Agreement") is entered into between Tournament Organiser (referred to as "TO") and {pleaseEnter} (referred to as "Club") for the use of the Tournament Management System (TMS). The Agreement commences on {todaysDate} and ends on {dateAgreement}.
1. Scope of Services
1.1 TO agrees to provide the following services as part of the Premium Package:
1.1.1 Creation of the TMS tailored to the requirements of the Club, including features such as team entry, age group fixtures, results, league tables, and player registration.
1.1.2 Assistance in transferring team names into the TMS, provided the Club provides a full, clear, and complete list of teams and allocation details.
1.1.3 Provision of access to the TMS for the Club until the day after the tournament, with results remaining available on the website for six months post-tournament.
1.1.4 Support and training on the usage of the TMS. The Club agree to watch all training videos provided at least 3 days before the tournament to ensure they have full understanding of how the system works.
1.1.5 Acting as the Data Controller for all data associated with the tournament, in accordance with the Data Protection policy attached to this Agreement. TO agrees to delete all personal data from player registration files within 48 hours after the completion of the tournament.
1.1.6 Ensuring the continuous availability of the TMS and website, to the extent within TO's control.
1.2 The Club agrees to the following:
1.2.1 Using the TMS as intended, refraining from engaging in illegal or offensive behaviour.
1.2.2 Recognising that certain functions of the TMS are locked for editing to ensure smooth tournament operation and agreeing not to jeopardise the system's functionality.
1.2.3 Ensuring that the TMS is for the sole use of the Club and shall not be shared with other clubs or organisations. Failure to comply will result in immediate termination and withdrawal of TMS access.
1.2.4 Accessing the team registration form through the event page on the TO website.
1.2.5 Displaying tournament results on the TO website and directing all tournament attendees to the designated webpage that will be provided by TO
1.2.6 Promoting the TMS positively by acknowledging TO and the TMS in the tournament programme and communications with participating teams.
1.2.7 Acting as the Data Processor for team entry and player registration functions, complying with Data Protection regulations as outlined in the attached policy.
1.2.8 Confirming the total number of teams signed up, entered into and attending the tournament the day before the tournament.
1.2.9 Paying a non-refundable 50% of the total cost within 7 days of signing this Agreement and the remaining balance within 7 days after the completion of the tournament.
2. Intellectual Property and Confidentiality
2.1 Ownership: The intellectual property rights associated with the TMS, including any enhancements or modifications, shall remain the property of TO.
2.2 Confidentiality: Both parties agree to treat any proprietary information exchanged between them as confidential. This includes, but is not limited to, system specifications, pricing details, and any other information designated as confidential by either party.
3. Mobile Signal and WiFi
3.1 The Club acknowledges that this Agreement is entered into with TO with the understanding that the tournament venue has adequate mobile signal and/or WiFi connectivity. TO shall not be held responsible for any disruptions, delays, or failures in service that may arise due to insufficient mobile signal or WiFi connectivity at the tournament venue.
4. Payment Details

Payment Terms:
4.1 The cost of the TMS is £5 per team.
4.2 A non-refundable 50% payment is due within 7 days of the date this Agreement is signed.
4.3 The remaining balance is due on or before {dateFinal}. This date is 7 days after the completion of the tournament.
