Non-Cancellation Agreement for Copier Machine Delivery
1. Parties Involved:
Josantoner Enterprise (referred to as "Supplier")
End User/Client (referred to as "Client")
2. Purpose: This agreement outlines the terms and conditions under which the Client agrees not to cancel or terminate the order for copier machines from the Supplier.
3. Term: The term of this agreement shall be from the date of signing until the delivery and installation of the copier machines as specified in the purchase order.
4. Orders and Deliveries:
The Client agrees to place an order for a specified number of copier machines as per the purchase order.
The Supplier agrees to deliver and install the copier machines within the agreed-upon timeframe.
5. Non-Cancellation Clause: The Client agrees that once an order has been placed and confirmed by the Supplier, the order is considered final and cannot be canceled or terminated by the Client, except in cases of force majeure or as otherwise provided in this agreement.
6. Force Majeure: If circumstances beyond either party's control, such as acts of nature, governmental actions, or other unforeseen events, prevent the delivery and installation of the copier machines, both parties agree to negotiate in good faith to find an appropriate resolution.
7. Payment:
The Client agrees to make the required payments as specified in the purchase order, regardless of any subsequent change in circumstances.
The Supplier agrees to provide invoices and payment details to the Client in a timely manner.
