This Agreement is made this {date}, between MVMT Socials, hereinafter referred to as the "Designer," and {name}, hereinafter referred to as the "Client."
1. Services:
The Designer agrees to provide Website Design and related services as described in the attached Exhibit A.
2. Payment:
The Client agrees to pay the Designer a total fee of $3,000 AUD, payable as follows: Payment Terms: 25% ($750) upon signing this agreement and 3 instalments of 25% ($750). Payment to be completed and finalised before complete site handover. Any additional time required or further revisions will be billed at the hourly rate of $175.
3. Timeline:
The Designer agrees to complete the services by 14 August 2024. Any changes or additions to the project scope may affect the timeline and costs.
4. Revisions:
The Client is entitled to 2 revisions for the website. Additional revisions will be billed at our hourly rate of $175.
5. Ownership:
Upon full payment, the Client will have full ownership of the final website design. The Designer retains the right to use the design for promotional and marketing purposes and display the Designer Website in the Footer Design of Client Site.
6. Termination:
Either party may terminate this agreement with 21 days written notice. If terminated, the Client will pay for all services rendered up to the termination date.
7. Confidentiality:
Both parties agree to keep all materials and information confidential.
8. Limitation of Liability:
The Designer's liability is limited to the amount paid by the Client and will not be held responsible for any indirect damages or loss of profits.
9. Governing Law:
This agreement shall be governed by the laws of Queensland, Australia.
10. Entire Agreement:
This agreement contains the entire understanding between the parties and supersedes all prior understandings and agreements, whether written or oral.
11. Amendments:
Any changes to this agreement must be in writing and signed by both parties.
12. Website Edits:
The designer is not liable for damages arising from any edits, updates, or other changes made by the client to their hosting or site. If the designer is asked to assist in resolving such issues, the time spent will be billed at the designer's current hourly rate.
13. Referral Incentive Program
We value the power of referrals and love when our clients share their positive experiences with others. To show our appreciation, we offer a Referral Incentive Program. If you refer a new client to us who signs up for the Full Custom Website VIP Experience, you may be eligible for a $75 cash reward. Detailed terms and conditions of the program will be provided upon project completion, and we encourage you to take advantage of this opportunity to earn rewards while helping us grow our community.
