FENATIQ DISTRIBUTION AGREEMENT (read and sign)
1. Distribution Services: Fenatiq Distribution agrees to provide music distribution services to 
the Client. This includes the digital distribution of the Client’s music tracks, albums, and related 
content to various online music platforms, as selected by the Client. The Client acknowledges 
that the distribution will be subject to the terms and conditions of the chosen platforms. 

2. Package Selection: The Client has chosen the [Selected Package Name] package for 
distribution. The details of the selected package, including pricing and services, are outlined in 
the corresponding package description provided by Fenatiq Distribution. 

3. Term of Agreement: This Agreement shall commence on the effective date and shall 
continue for a period of [Duration of Agreement], unless terminated earlier in accordance with 
the terms of this Agreement. 

4. Compensation: The Client agrees to pay the agreed-upon fee as specified in the selected 
package for the distribution services provided by Fenatiq Distribution. Payment shall be made in 
accordance with the payment terms provided by Fenatiq Distribution. 

5. Royalty Payments: For revenue generated from the distribution of the Client’s music, 
Fenatiq Distribution shall deduct any applicable fees or percentages based on the chosen 
package. Royalty payments will be processed and paid to the Client according to the schedule 
and terms outlined in the package details. 

6. Intellectual Property: The Client retains all rights, title, and interest in the music and content 
provided for distribution. Fenatiq Distribution is granted the necessary rights solely for the 
purpose of distributing the music as per this Agreement. 

7. Representations and Warranties: Both Parties represent and warrant that they have the 
necessary rights and authority to enter into this Agreement. The Client further represents that 
the provided music and content do not infringe upon the intellectual property rights of any third 
parties. 

8. Mutual Indemnification. Each party (an “Indemnifying Party”) will indemnify, defend, and 
hold harmless the other party, its parents, subsidiaries, affiliates, and their respective directors, 
officers, employees, and agents (an “Indemnified Party”), with respect to any claim, demand, 
cause of action, or debt or liability brought by or claimed by any third party, including reasonable 
outside attorneys’ fees (collectively “Claims”), to the extent that any such Claim is based upon 
or arises out of a breach of any of the Indemnifying Party’s representations, warranties, 
covenants, or obligations hereunder. (b) Indemnification Notice. In claiming any indemnification 

hereunder, the Indemnified Party will promptly provide the Indemnifying Party with written Legal 
Notice of any Claim which the then Indemnified Party believes falls within the scope of this 
Section 11; provided, that the failure to promptly notify the Indemnifying Party will not affect the 
Indemnified Party’s right to indemnification if such delay did not materially prejudice the defense 
of such Claim. The Indemnified Party may, at its own expense, assist and participate in the 
defense if it so chooses, provided that the Indemnifying Party will control such defense and all 
negotiations relative to the settlement of any such claim and further provided that any settlement 
intended to bind the Indemnified Party may not be entered into without the Indemnified Party’s 
prior written consent, which will not be unreasonably withheld or delayed. 
(c) Limitation of Damages. UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY, 
WHETHER IN TORT, CONTRACT, OR OTHERWISE, INCLUDING UNDER THIS SECTION 11, 
WILL EITHER PARTY BE LIABLE TO THE OTHER PARTY FOR ANY INDIRECT, SPECIAL, 
INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES OF 
ANY CHARACTER, INCLUDING DAMAGES FOR LOSS OF GOODWILL, LOSS OF 
ANTICIPATED PROFITS, LOSS OF REVENUE, WORK STOPPAGE, COMPUTER FAILURE 
OR MALFUNCTION, INTERRUPTION OF SERVICE, DOWNTIME COSTS, LOSS OF USE OF 
EQUIPMENT, FACILITIES OR SERVICES, LOST PRODUCTION, LOST 
DATA OR USE, INCURRED BY THE OTHER PARTY OR ANY THIRD PARTY REGARDLESS 
OF WHETHER ANY REMEDY SET FORTH HEREIN FAILS OF ITS ESSENTIAL PURPOSE. 
THE LIMITATIONS APPLY TO ALL CAUSES OF ACTION, INCLUDING, WITHOUT 
LIMITATION, WHETHER SUCH LIABILITY IS ASSERTED ON THE BASIS OF CONTRACT, 
TORT (INCLUDING NEGLIGENCE OR STRICT LIABILITY) OR OTHERWISE, EVEN IF THE 
PARTY WILL HAVE BEEN INFORMED OR ADVISED OF THE POSSIBILITY OF ANY SUCH 
LOSSES OR DAMAGES. 

9. Termination: Either Party may terminate this Agreement with written notice in the event of a 
material breach by the other Party. Termination shall not relieve either Party of any obligations 
or liabilities that accrued prior to the termination date. 

10. Confidentiality: Both Parties agree to keep any confidential information exchanged during 
the course of this Agreement confidential and not to disclose such information to third parties 
without prior written consent. 

11. Governing Law: This Agreement shall be governed by and construed in accordance with 
the laws of [Jurisdiction], without regard to its conflict of laws principles. 

12. Entire Agreement: This Agreement constitutes the entire understanding between the 
Parties with respect to the subject matter herein and supersedes all prior agreements, 
understandings, and representations. 
In witness whereof, the Parties have executed this Distribution Agreement as of the date first 
above written.
