7. Our Smart Start funding round packages are designed for early-stage investment rounds, such as friends and family rounds. For larger, or more complicated, investment rounds, a simplified, fixed fee approach is unlikely to be suitable. Accordingly, in order to qualify for one of our Smart Start funding round packages, the prospective funding round must meet the following criteria: (i) There will be no more than eight investors; (ii) None of the investors is a venture capital fund (or similar); (iii) You do not require the assistance of Ignition Smart Start in relation to any due diligence exercise being undertaken by the investor(s); and (iv) No warranties (other than standard warranties as to title and capacity) will be required by the investors, and accordingly no formal disclosure process is required to be carried out by the company. 8. Will any of the following apply to the company (once the funding round is completed)?* This field is required.
The company (i) will have only a single director or (ii) will have more than one director but it is to be possible for only one of those directors to take decisions on behalf of the board.
The company is to have maximum flexibility to buy back shares from its shareholders in the future.
If a shareholder dies, any person inheriting such shareholder’s shares in the company should be required to offer the company the opportunity to buy back such shares, rather than being given an absolute right to keep them.
It should be possible for directors of the company to participate in decision-making at board level even when they have a conflict of interest in respect of the business being discussed.
The company should be permitted to pay any reasonable expenses a director incurs in connection with the exercise of their powers and responsibilities.
When a company intends to issue more shares, it is common for the existing shareholders to be given the prior opportunity to purchase a portion of such shares on the same terms as are to be offered to any proposed new recipient, allowing the existing shareholders to protect themselves from dilution. These are known as “pre-emption rights”. Often such rights are offered “pro rata”, which means that, if an existing shareholder holds 5% of the company’s shares before the new shares are issued, they will be given the opportunity to purchase 5% of the new shares.
