By purchasing a course or program from Holistic Health Educators ("HHE," "we," or "us"), you ("the Student" or "you") agree to the terms below.

1. Acceptance, Changes, and Termination

By accessing https://www.holistichealtheducators.com/ and participating in HHE courses, live calls, and events, you agree to these terms, which represent the entire agreement between you and HHE on this subject. HHE may update these terms from time to time; we will notify you of material changes, and your continued use of the Services after notice constitutes acceptance.

HHE may suspend or terminate your access if you materially breach this Agreement; where practicable, we will provide notice and an opportunity to resolve the issue first. HHE’s intellectual property and confidentiality protections survive termination. If any provision of this Agreement is found unenforceable, the remaining provisions stay in full effect.

2. Privacy

HHE collects information you provide (such as your name, email, address, and phone number when you enroll, complete a form, or communicate with us) and information collected automatically when you visit our sites (such as device, IP address, browser type, and page visits, including via cookies and third-party cookies used for analytics and advertising).

We use this information to provide and improve our programs, process transactions, communicate with you, market our services, and prevent fraud, and we retain it only as long as needed for those purposes. We share information with service providers who help us operate (payment processing, email, hosting, advertising), and when required by law.

You may opt out of marketing emails at any time, and you may request that we update, correct, or delete your information by emailing info@holistichealtheducators.com, though some requests may limit your ability to use certain services. Third-party websites we link to are governed by their own policies. HHE uses reasonable safeguards, including encryption of sensitive data, but no Internet transmission can be guaranteed secure; you submit information at your own risk.

3. Disclaimers

Not medical advice. Nothing on our website or in our materials is medical or psychiatric advice or a substitute for care from your own licensed health care provider. Do not disregard professional medical advice, delay seeking it, or stop taking medications based on anything you learn from HHE. We do not diagnose, treat, prevent, or cure any condition. Every person is biochemically unique, and HHE cannot guarantee any specific results.

Not legal or financial advice. Our materials are not a substitute for advice from your own lawyer, accountant, or financial advisor. You are solely responsible for your business decisions and results. Check your state’s licensing requirements for health and wellness practitioners.

No earnings guarantee. HHE does not promise any level of earnings or specific results. Your success depends on your own skill, dedication, and effort.

Accuracy. Scientific research evolves constantly. We work to keep our materials accurate and current but make no warranty as to their accuracy, completeness, or suitability, and assume no liability for errors or omissions to the fullest extent permitted by law.

4. Payments and Refund Policy

You authorize us to charge your card according to the payment plan you selected, and you agree to keep your payment information current. Payments are processed in local currency or US Dollars, plus applicable sales tax. We cannot accommodate price adjustments after purchase.

PAYMENTS ARE NONREFUNDABLE.

All transactions are final. Changing your mind, not completing the program, or not achieving the results you hoped for does not entitle you to a refund.

Transferring your program. If you discontinue your studies, an eligible person may take over your program. An eligible person is a peer, colleague, or family member who is interested in learning the science of natural healing and who successfully completes an intake call with an HHE academic advisor. Contact HHE to arrange a transfer; financial details are handled case by case.

Missed payments. If a payment fails, we will notify you and may pause course access until your account is current. If a payment plan adjustment would help, reach out — we are happy to work out a modified plan where reasonable. Accounts more than sixty (60) days past due with no response to our communications may be referred to collections, with reasonable collection costs recoverable as permitted by law. If you believe a charge was made in error, contact us before initiating a chargeback so we can resolve it together.

Completion timelines. Your program follows the graduation requirements and timelines that were shared with you at the time of your enrollment. If you need more time, contact HHE before your deadline; extensions may be granted at HHE’s discretion and may carry a reasonable extension fee.

5. Your License, Credentials, and Materials

You receive a non-exclusive, revocable license to access HHE courses for your personal use. The license is not transferable, except through the process described under "Transferring your program" above. Your login credentials are for you alone; sharing them is a breach of this Agreement and may result in suspension of access following notice.

HHE may suspend or terminate participation, without refund, for material breach — including persistent disruption after a warning, repeated failure to follow program guidelines, or impairing the participation of instructors or other students. Except in cases of serious misconduct, we will give notice and a chance to correct the issue first.

Using Your Certification Title

Do not use the title of any HHE certification — or represent yourself as certified or credentialed by Holistic Health Educators — until you have completed your practicum and graduated in that program.

You are welcome and encouraged to say that you are a student of Holistic Health Educators, that you are studying with us, or that you are working toward a specific certification. Simply don’t state or imply that you already hold it.

Once you graduate, the title is yours to use. You are responsible for knowing your own state’s rules on titles and scope of practice. HHE reserves the right to pursue available legal remedies to protect its credentials, name, and materials from unauthorized use.

Our Courses and Materials

Our courses, videos, workbooks, handouts, and recordings are the property of Holistic Health Educators. Do not share logins, links, or any materials not expressly allowed for your use as an educator, coach, or practitioner. Do not copy, resell, or repackage our materials into a course, curriculum, or training program of your own. If you want to use our materials in a way not described below, request written permission at info@holistichealtheducators.com. Unauthorized use may result in loss of access without refund, and we will take further action to protect our work if necessary.

Using HHE Materials With Your Clients

You may use the HHE materials we supply in your work with clients — one-on-one coaching, group coaching, workshops, classes, and educational presentations. You do not need to wait until you graduate; you may put them to work while you are still enrolled.

One condition: keep our branding and attribution intact. Do not remove or alter the HHE name, logo, or copyright line on our materials, and do not present our work as your own. What reaches your client should be recognizable as an HHE material.

What you may not do is sell our work as a product: do not reproduce our courses or materials for sale, and do not use them to build your own coaching or certification training program. Teach with them; do not resell them.

We do encourage you to share our brand in your work and on social media and to tell people where you trained or where you are studying. If you’d like to be compensated for referrals, ask us about our affiliate program.

6. Your Participation in the School

Your interactions on live calls and in the community of Holistic Health Educators are recorded, stored, and kept in our library so students can revisit them. This covers classes, calls, and practicums; posts and comments in our online communities; messages and support conversations with our team; surveys, feedback, reviews, and testimonials; and comments on our social media pages.

By enrolling and taking part, you give us permission to record, store, edit, and use your participation — your questions, comments, posts, voice, image, likeness, and story — in our library, teaching materials, communications, and marketing, in any format, without asking you again and without payment. This covers full sessions, clips and excerpts, and material featuring you individually.

A few things worth knowing:

• Anything you create on your own — your work, materials, offers, and social media — stays entirely yours. We claim no rights to it.
• Participation is voluntary. What you say, post, or show on camera is up to you, and you can keep your camera off.
• Recordings and materials produced through the school belong to HHE.
• What you share in classes and communities is not private. Other students see it, and it may stay in the library.
• What other students share stays within the school. Do not repost or circulate it.
• Share only what is yours to share, and only if you are 18 or older.
Asking Us to Take Something Down

You can ask us to stop using something at any time. Email info@holistichealtheducators.com and tell us what you would like removed.

• If it is about you alone — your photo, your story, a clip of just you — we take it down promptly.
• If you appear alongside others in a group photo, a retreat video, or a recorded discussion, that piece stays in use. We cannot rebuild a group work around one person.
• If you shared something sensitive on a live call, tell us and we will remove it on request.
Removal applies going forward. We stop using the material, but we cannot recall copies already printed, distributed, or shared by others.

7. Community Conduct and Confidentiality

As a participant, you agree not to:

• harass, impersonate, or inhibit other participants, or post unlawful, threatening, abusive, defamatory, or obscene material;
• post material that infringes others’ rights (privacy, publicity, copyright, trademark) or contains viruses or harmful code;
• attempt unauthorized access to the program or any connected account, system, or network;
• use the program for advertising, solicitation, or commercial purposes without our written approval, or harvest other members’ contact information.
Confidentiality. Information shared by other participants belongs to them. You are free to discuss your own results, but you must keep other participants’ experiences and statements confidential and may not use or disclose them outside HHE sessions. Because money damages may not be an adequate remedy, HHE and affected participants may seek injunctive relief for violations of this section.

8. Disputes, Liability, and Legal Terms

How disputes are resolved. As a student, you are a member of the Holistic Health Educators Membership Association. Disputes between you and HHE are resolved through the membership association’s own dispute process, as set out in the PMA membership agreement you signed, rather than through the public courts. That process governs, and you agree to use it first and in good faith.

If legal action is nonetheless pursued. Should a dispute reach a court despite the above, the following terms apply. This Agreement is governed by Georgia law. Before filing any claim, you agree to contact us and attempt in good faith to resolve the dispute informally for at least thirty (30) days. Disputes may only be resolved on an individual basis — no class, consolidated, or representative actions. Any claim must be commenced within one (1) year after it accrues or it is permanently barred, unless contrary to applicable law.

Limitation of liability. HHE programs are provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law, HHE is not liable for any damages arising from your use of or inability to use the programs or materials — including indirect, incidental, or consequential damages and lost profits — under any legal theory. HHE’s total liability for any claim is limited to the amount you paid HHE for the program.

Indemnification. You agree to indemnify and hold HHE, its affiliates, and their officers, agents, attorneys, and employees harmless from any third-party loss, liability, claim, or demand (including reasonable attorneys’ fees) arising out of your breach of this Agreement or what you share.

Force majeure. Neither party is liable for delays caused by events beyond its reasonable control (natural disaster, war, strike, government action, infrastructure failure, and the like); performance deadlines extend for the duration of the delay, except your payment obligations for services already delivered. If a force majeure event continues beyond thirty (30) days, either party may terminate this Agreement.

General. You may not assign this Agreement without HHE’s written consent; HHE may assign its rights and obligations. The parties are independent — nothing here creates a partnership, joint venture, or agency. No waiver of one breach waives any other. Not using the Services after purchase does not void this Agreement. This Agreement is interpreted fairly according to its plain meaning, with no presumption against the drafting party.

MEMORANDUM OF UNDERSTANDING

I understand that the fellow members of the Association that provide services and care, do so in the capacity of a fellow member and not in the capacity as a licensed health care provider. I further understand that within the association no doctor-patient relationship exists but only a contract member-member Association relationship. In addition, I have freely chosen to change my legal status as a public patient, customer, or client, to a private member of the Association.

I further understand that it is entirely my own responsibility to consider the advice and recommendations offered to me by my fellow members and to educate myself as to the efficacy, risks, and desirability of same and the acceptance of the offered or recommended diagnosis, therapy, treatment and care is my own carefully considered decision. Any request by me to a fellow member to assist me or provide me with the aforementioned diagnosis, therapy, treatment and care is my own free decision in an exercise of my rights and made by me for my benefit, and I agree to hold the Trustee(s), staff and other worker members and the Association harmless from any unintentional liability for the results of such care, except for harm that results from instances of a clear and present danger of substantive evil as determined by the Association, as stated and defined by the United States Supreme Court.

The members have chosen Karen Ziemer Armes as the person best qualified to perform and/or provide certain services to members of the association, and to identify and select other highly qualified members to perform additional member services. In addition, I understand that, since the Association is protected by the First and FourteenthAmendments to the U.S. Constitution, it is outside the jurisdiction and authority of Federal and State Agencies and Authorities concerning any and all complaints or grievances against the Association, any Trustee(s), members or other staff persons. All rights of complaints or grievances will be settled by an Association Committee and will be waived by the member for the benefit of the Association and its members.

If located outside of the United States, I also understand that the Association is created and protected under the International Covenant on Civil and Political Rights, as ratified by the United Nations General Assembly, pursuant to (among others) Part III, Articles 21 & 22 et. seq. regarding the Right of Peaceful Assembly and Freedom of Association. Because the privacy and security of membership records maintained within the Association which have been held to be inviolate by the U.S. Supreme Court, the undersigned member waives HIPAA privacy rights and complaint process. Any medical or healthcare records kept by the association will be strictly protected and only released upon written request of the member.

I agree that violation of any waivers in this membership contract will result in a no contest legal proceeding against me. In addition, the Association does not participate in any medical insurance plans or collections on behalf of the member but will provide a suitable invoice for the member to pursue reimbursement by his/her insurance company, if applicable.

I agree to join the Association, a private membership association under common law, whose members seek to help each other achieve better health and live longer with good quality of life. I understand that the doctors, nurses, and other providers who are fellow members of the Association are offering me advice, services, and benefits that do not necessarily conform to conventional medical care. I do not expect these benefits to include on-call coverage, hospital care, or the usual and customary care provided by most physicians. I will receive such primary and specialist care elsewhere.

I fully understand that the benefits I receive from the Association might or might not be covered by my health insurance and not at all by Medicare.As a member, I accept the goals of helping my body function better and choosing techniques that are both very safe and have a reasonably good chance to succeed, realizing that no diagnostic technique or treatment is foolproof. If I choose to forgo drugs, surgery, or radiation that has been recommended to me by others, I fully accept the risk that I might suffer serious consequences from that choice. Other aspects of informed consent will take place in my discussions with the providers and my fellow members of the Association. My activities within the Association are a private matter that I refuse to share with the State Medical Board, the FDA, FTC, Medicare, Medicaid, or my own insurance company without my expressed specific permission.

All records and documents remain as property of the Association, even if I receive a copy of them. I fully agree not to file a malpractice lawsuit against a fellow member of the Association unless that member has exposed me to a clear and present danger of substantive evil. I acknowledge that the members of the Association do not carry malpractice insurance. I agree to and acknowledge that no member, including myself, will intentionally cause any other member of the association harm be it physical, spiritual, emotional or financial.

I enter into this agreement of my own free will or on behalf of my dependent without any pressure or promise of cure. I affirm that I do not represent any State or Federal agency whose purpose is to regulate or approve any products. I have read and understood this document, and my questions have been answered fully and to my satisfaction.

I understand that I can withdraw from this agreement and terminate my membership in this association at any time. Upon termination of their agreement, I understand and agree that I will immediately lose my right to view or participate in any programs offered by Holistic Health Educators, and if applicable, any of its affiliates that require private membership. I agree to notify Holistic Health Educators, in writing, upon my termination of this agreement. These pages and Article I of the Articles of Association of the Association consist of the entire agreement for my membership in the Association and they supersede any previous agreement.

ARTICLE I of the ARTICLES OF ASSOCIATION

Declaration of Purpose

 

1. This Association of members hereby declares that our main objective is to maintain and improve the civil rights, constitutional guarantees, and political freedom of every member and citizen of the United States of America, through the exercise of our constitutional rights. This objective also pertains to all law-abiding citizens of other countries around the world whose constitutional provisions embrace similar rights and freedoms as those in our United States of America.

2. As members, we affirm our belief in the Constitution of the United States of America. We believe that the First Amendment of the Constitution guarantees our members the rights of free speech, petition, assembly, and the right to gather together for the lawful purpose of advising and helping one another in asserting our rights under the Federal and State Constitutions and Statutes. We strive to maintain and improve the civil rights, constitutional guarantees, freedom of choice in health care and political freedom of every member and citizen of the United States of America and abroad.

IT IS HEREBY Declared that we are exercising our right of “freedom of association” as guaranteed by the 1st and 14th Amendments of the United States Constitution and equivalent provisions of the various State Constitutions. This means that our association activities are restricted to the private domain only.

3. We declare the basic right of all of our members to select spokespersons from our number who could be expected to give counsel and advice concerning the need for physical and mental health care assistance and to select from our number those members most qualified to assist and facilitate the delivery of education, therapy, treatment and care to other members.

4.We proclaim the freedom to choose and perform for ourselves the types of therapies and treatment modalities that we think best for diagnosing, treating and preventing illness and disease of our minds and bodies and for achieving and maintaining optimum wellness. We proclaim and reserve the right to provide medical and health options that include but are not limited to cutting edge treatment modalities and therapies practiced or used by any types of healers, therapists or practitioners the world over whether traditional or nontraditional, conventional or unconventional.

5.The Association specializes in health and wellness education, explaining therapy options, human body functionality, and various other wellness techniques for optimization of health and well-being. It is each member’s responsibility to practice due diligence in research and consult with the professional healthcare provider of their choice, before moving forward with any therapy or lifestyle change, and no member of the association will be held responsible for another member’s health outcome or level of understanding.

6. The Association will recognize any person (irrespective of race, color, or religion) who is in accordance with these principles and policies as a member, and will provide a medium through which its individual members may associate for actuating and bringing to fruition the purposes heretofore declared.

Acknowledment

1. I understand that the membership fee entitles me to receive those benefits declared by the Trustee(s) to be “general benefits” free of further charge. I agree to pay as levied those benefits that I receive that are declared by the Trustees to be “special assessments OR SERVICES”, per Fee Schedule.

2. I am aware that the cost of $20.00 is consideration for my one-time lifetime membership contract, said term beginning with the date of the signing of this contract, and by these presents do hereby certify, attest and warrant that I have carefully read the above and foregoing HOLISTIC HEALTH EDUCATORS Contractual Application for Membership and I fully understand and agree with same.
