Dispatcher - Carrier Agreement

This agreement is effective dated   Date   between Day Night Dispatching LLC, located at 3707 Cypress Creek Pkwy Ste 310, Houston, TX 77068, hereinafter referred to as "DISPATCHER," and   Your Company Name, located at   Company Address, hereinafter referred to as "CARRIER."


1. Services
DISPATCHER agrees to provide dispatch services for CARRIER. These services include handling paperwork, phone and fax communication with SHIPPER/BROKER to facilitate the transportation of commodities by CARRIER in interstate commerce within CARRIER'S operating authority.
2. Financial Responsibility
DISPATCHER bears no financial or legal responsibility in the transaction between SHIPPERS/BROKERS and CARRIER. DISPATCHER may pre-vet SHIPPERS/BROKERS on behalf of CARRIER and provide feedback if issues arise after obtaining access to a CREDIT portal with their factoring company.
3. Compensation
CARRIER agrees to pay DISPATCHER a fee of 10% of the face value of the agreed contract between SHIPPER and CARRIER, as stated on the load confirmation sheet. Payment to DISPATCHER will occur at the following Friday of cargo delivery.
4. Authorization
CARRIER authorizes DISPATCHER to sign rate confirmation sheets, invoices, and any associated paperwork necessary for securing cargo and billing purposes.
5. Liability
CARRIER shall be liable for any loss, damage, or liability arising during the transportation of property arranged by DISPATCHER.
6. Indemnity
CARRIER agrees to indemnify DISPATCHER from any liability for personal injury or property damage during operations conducted by CARRIER pursuant to this agreement.
7. Compliance
CARRIER will comply with all state and federal regulations governing motor carriers.
8. Customer Information
Customer information provided by DISPATCHER is the exclusive property of DISPATCHER. CARRIER, its employees, agents, and subcontractors shall not solicit, communicate, or provide services for compensation to any account previously tendered by DISPATCHER, nor disclose customer information to third parties.
9. Solicitation
CARRIER agrees not to solicit, directly or indirectly, any customer account initially procured by DISPATCHER.
10. Rate Provisions
CARRIER waives any rate provisions in its published carrier tariffs and agrees to operate strictly as a duly permitted contract carrier.
11. Effective Date
This Agreement becomes effective on the first date that CARRIER and DISPATCHER commence business together, and this Agreement supersedes any prior written or verbal agreements.
